Shareholding Rights of a Subsidiary in its Parent Company

Introduction

In this corporate world, a subsidiary company is known as an entity that is owned and controlled by its parent company. The parent companies own more than 50% of the stock and also control the operations of the subsidiary. However, when 100 percent of the shares of an Indian subsidiary are owned by another company, such a company is known as a wholly owned subsidiary. As per the Companies Act, 2013 a subsidiary company has no right to hold or own the shares of its holding company. In this blog, we will discuss the shareholding rights of a subsidiary company in its holding company under Section 19.

What is a subsidiary?

A subsidiary company is a company that is controlled and operated by another company, and the controlling company can be either a parent company or a holding company. It is a separate legal entity governed under the Companies Act, 2013. However, he may acquire, alienate and purchase property in his name and the existence of the company shall not be affected by the death or removal of any of the members.

What is a parent company?

A parent company is a company that owns more than half of the stock of an Indian subsidiary and can therefore control its operations. A parent company is a holding company that owns a significant number of voting shares of another company.

Shareholding Rights of a Subsidiary in its Parent Company

As per the provisions of Section 19 of the Companies Act, 2013, a subsidiary company is prohibited from holding any shares in its parent company, by itself or its nominee. In other words, the Indian subsidiary has no shareholding rights in its holding company. A provision of the Act also prohibits a holding company from allotting any shares in its Indian subsidiary.

However, there are certain cases where a subsidiary company holds shares in its parent company. The cases are as follow

●A subsidiary company holds shares in its parent company as the legal representative of a deceased member of the holding company. 

●An Indian subsidiary may own shares of the parent company as a trustee. 

●When an Indian subsidiary is functioning as a shareholder in its holding company prior to the establishment of that holding company. 

●An Indian subsidiary has the right to vote in a meeting of the holding company only as a legal 

representative or in respect of shares as a trustee, as referred to in (a) and (b). 

 What would be the effect if a subsidiary company could hold shares in its parent company?

●There will be overlapping interests of the members of the holding company as well as the subsidiary company. 

●The holding company's control over its Indian subsidiary will be affected. 

●For the parent company, the objective of solving critical issues and  risk diversification will no longer exist. 

●A holding company may not enjoy various tax benefits. 

●Dividend distribution will be a matter of conflict between parent and subsidiary companies. 

A holding company in India is an authority that exists independently and manages other companies via ownership of their shares.

Summary

A subsidiary company has no shareholding rights in its parent company as per the provisions of section 19. Such allotment or transfer of shares is prohibited under the Companies Act. However, there are certain legal conditions under which a subsidiary company can own the shares of the holding company. In case the holding company is limited by guarantee or the unlimited company has no share capital, the shares shall be converted in the interest of the members and then it shall determine that such company is a holding company of Indian subsidiary.

Y/n was sitting in her carriage for 5 minutes, not having the courage to open the door. She was outside the Viscount and Viscountess Bridgerton mansion, in other words her sister and her brother-in-law. Her hands trembled in her lap as she took a deep breath to try to calm her anxiety and her irregular heartbeat.

Her mother Mary had to travel to India and decided to not let her youngest go with her. As Y/n was still too young to consider it safe to keep her at home alone, even with maids, Mary asked Anthony and Kate to welcome her into their home.

Ever since Mary's older daughter found a husband and went to live a new life, Y/n felt that her relationship with her mother got worse.

The house was quieter, both of them no longer had the usual company of the other sisters. It made Y/n realize how she couldn’t hold a conversation with Mary, at least not like Kate and Edwina. It also didn't help that Y/n was extremely similar to their father, who had already died. It seemed like Mary was grieving again for her late lover, and Y/n was the cause of it.

So, like a snowball effect, Y/n couldn't help but think that Kate and Anthony were just taking her in out of obligation, since they were family, but that she was actually considered a burden for them.

"Would you like for me to open the door, Miss?" the maid who accompanied her asked with a gentle smile.

"There is no need for that, Anne. Thank you." she replied, snapping out of her thoughts.

With a last deep breath, Y/n opened the door just as Anthony and Kate were leaving the house. As soon as she saw them, Y/n bowed slightly. When she lifted her head again she found the two of them with a smile directed at her. But even so, she had doubts, after all, in this society, everyone had learned to master the fake polite smile. Kate hurried to her, pulling her into a tight hug.

"Y/n! It's so nice to have you here. The house can get so quiet when the Viscount is working. It'll be great to have our conversations like we had before." Kate whispered in her ear, Y/n only responding with a small smile.

Anthony approached the younger Sharma to greet her, Y/n bowing again. "Lord Bridgerton, thank you for your hospitality. It was very kind of you."

"By all means, Miss Y/n, you are family. Now let's come inside, Phillip can bring your belongings to your room." Anthony said, linking his arm with his wife and starting to head towards the room where the maids were setting the table for the tea.

Y/n followed behind the couple, her steps cautious. She looked at the huge mansion and sighed, her fears continuously running through her mind. This was going to be a very long month.

It was still quite early, the sun's rays barely illuminating the mansion. However, Y/n was already awake and ready for the day. She went down to the kitchen, wanting to help the cooks and maids. It was the least she could do, since now they were cooking for one more person and the day before they had brought her a rather late meal since she didn't eat all of dinner.

The maids were surprised to see the youngest Sharma in the kitchen, tying an apron around her waist. However, with a lot of resistance on Y/n's part, they let the girl help. Y/n had a lot of fun, the maids had a good relationship with each other, throwing in some jokes from time to time that made her laugh.

Y/n was placing the last dish on the table. She had to admit that everything looked great. The food varied from fruit to various cakes and breads. Just in time, Anthony entered the kitchen, stopping in surprise when he saw Y/n there.

"Miss Sharma, I wasn't expecting you to be awake already. It's quite early."

"I'm a morning person, Lord Bridgerton." Y/n chuckled, running her hands down her dress nervously. She then pointed to the table, desperate not to remain in an awkward silence. "Breakfast is ready."

"I see that, everything looks great." he sat at the end of the table. Y/n remained standing, looking around, causing Anthony to hesitate before asking, "Aren't you going to sit down to eat too?"

"Oh! I already ate with the maids, thank you. Hm, is my sister awake?"

Anthony clears his throat, looking down. A frown appeared on Y/n's face when she saw the man's cheeks start to turn pink. "Your sister is still sleeping. She was not feeling well last night so she couldn't sleep much."

"Very well..." The girl nodded slowly. "I shall bring her tea when she wakes up. Until then, I was hoping I could go on for a walk in the gardens? Please?"

"Of course, Y/n, you don't have to ask." Anthony nodded, wiping his mouth with a napkin after drinking some orange juice. "Do you want me to ask a maid to go with you and keep you company?"

"No, it's okay, I prefer to go alone."

"No problem. In the afternoon we should go to my mother's house to play pall-mall. It would be lovely if you decided to join us."

"Oh, I'm not sure yet. I wouldn't want to interrupt your family time." Y/n looked away so as not to show the sadness she felt.

She had never even met Anthony's family properly, only meeting them briefly at the couple's wedding. Either way, with all the stories she'd heard from Kate, she doubted she'd be able to fit into the family dynamic. She was afraid that Anthony was only extending the invitation to her out of obligation to now be living with them, after all, she had never been invited even when her two sisters were.

However, with all these thoughts, the girl did not see the frown that appeared on her sister's husband's face. What do you mean she didn't want to interrupt family time when it was part of it?

Although his family never spent much time with Y/n, it was just because since she was younger, they thought she would feel more comfortable with her mother instead of being dragged around with Edwina and Kate to every event. She had lost her father and moved countries, they didn't want to overwhelm her. However, Anthony's siblings really wanted to meet her, especially Francesca and Hyacinth, who wanted to have a new friend.

"Y/n, you are family. My siblings would love to spend more time with you, especially my sisters." Anthony finally said.

"I will think about it." Y/n offered him a small smile out of politeness. "I will be heading to the gardens. Let me know if you need me. Excuse me, Lord Bridgerton."

When Y/n finally left the dining room, Anthony rubbed a hand over his face in frustration. He really needed to talk to his wife about this.

Y/n was lying down on the grass, enjoying the sun's rays that warmed her skin, when Kate found her. After Anthony told her about what happened at breakfast, Kate knew there was something wrong with her younger sister.

Anthony's wife lay down beside Y/n, alerting her to her presence. Y/n lifted her head, offering her sister a small smile. "Are you feeling better?"

"Pardon?" Kate frowned, not understanding the question. Her mouth opened in realization as she remembered what Anthony had told her with a light blush. "Oh, yes, I'm fine. Nothing that a few more hours of sleep couldn't solve."

"I'm glad." Y/n closed her eyes again, enjoying the sunny day.

"Are you enjoying your time here? Lord Bridgerton told me that you cooked with the maids today." Kate said after a few moments of silence.

"Yes, they were lovely. I wanted to help."

"If you had a good time then there's no problem. But you know you don't need to get up early to cook for us. I want you to have fun and be comfortable while you're here."

Y/n remained silent. Her hand started messing with the grass, a way to distract herself. "I know." she replied with a small voice.

"Do you?" the elder Sharma raised her eyebrows teasingly.

But Y/n remained silent, a small frown forming on her face as she thought about what Kate said. In turn, Kate felt her heart tighten with guilt. As she looked at her little sister, she remembered when she was a baby and made exactly the same face when she thought. A sigh escaped her lips, missing having Y/n's company all day.

The three Sharma sisters used to spend every waking moment together, strolling around the garden or simply relaxing in silence. But now, with Kate married and Edwina being courted by the prince, they didn't think about how it would affect Y/n.

"Tell me what is really wrong." Kate asked with sad eyes. Y/n sat down, opening her mouth to start speaking, but nothing came out. "Y/n, I'm sorry I haven't spent much time with you. But I love you, and I want you to be comfortable being here with me and Anthony."

"You didn't just let me stay out of obligation?" the younger sister asked shyly, refusing to look into Kate's eyes, who had also sat up and was trying to lift Y/n's chin with her hand.

"No! In fact, I was the one who asked mother to let you stay with me instead of considering you going with her to India. We wanted you here. I miss seeing my little sister every day. It can get lonely when Anthony works, and I love having you here."

"Really? But when you're bored, don't you visit Lord Bridgerton's siblings?"

"Yes, but no one can replace you. And I'm always talking about you to them, from all the stories I've told, I think they like you more than me!" Kate laughed, her smile widening when Y/n also chuckled. "I'm sure they would be delighted for you to go with us to play pall-mall."

"Oh!" Anthony's wife gasped as if it was the most ridiculous idea. "That's impossible! With your heart and your kindness, they would be fools to not like you!"

"I really missed you." Y/n admitted, resting her head on Kate's shoulder.

"Me too. And after mother comes back, our house is still open. You can come here whenever you wish."

"Thank you, Kate. I'm glad you found Anthony, you seem very happy."

"I am happy." Kate assured her. "And just because I am married now, nothing changes between us. You are still my priority."

"Thank you. And I believe a game of pall-mall is not the worst thing in the world. I will join you." the younger girl nodded with a smile, gaining confidence from her sister's words.

"Great! Then you'll also get to see Lord Bridgerton be a sore loser when I win."

She was already starting to regret her decision when she saw Anthony's family in the garden, already bickering with each other. She and her sisters were competitive, but not at this level.

"Dear siblings, if you could please just listen to me first." Anthony caught their attention with a sarcastic smile. "This is Miss Y/n, Kate's younger sister. She will be joining us today."

"Another Sharma? We are going to lose!" the younger boy, who Y/n assumed was Gregory, said.

Two other girls came to her, introducing themselves as Francesca and Hyacinth, Anthony's younger sisters. As they excitedly talked, Y/n's nerves began to disappear. Kate watched them closely, relaxing when she noticed that her sister was smiling, looking happy to be making friends. Her husband joined her, letting her lean against him and kissing her cheek.

"I told you it was going to be okay."

"Yeah, I know. But I was so sad that she thought we didn't want her here with us. It's my fault." Kate whispered sadly, feeling Anthony put his arm around her waist in comfort.

"It's not your fault, my love. We have to make her feel welcome, but for now, I think she's having fun." Noticing that Kate still wasn't convinced, he added. "What if the three of us went for a horse ride tomorrow? You once told me that Y/n always wanted to ride a horse, but she never got to learn since your father died. What if I taught her?"

"You would do that?" his wife smiled in delight. "Oh, Anthony, thank you. I'm sure she would love that."

"Anything for my wife and her little sister." Anthony smiled, giving her a chaste kiss on the lips. "I love you."

"Are you being this lovely just so I won't be so competitive in the game?" she laughed teasingly. "Forget it! Prepare to lose, my dear husband."

Kate turned her back on him, going to the others so they could start the game. Anthony enjoyed the view of his wife, wondering how he got so lucky. "I love my life."

While they were playing, Eloise told Y/n how women deserved to go to college and not live just for their husbands. Benedict appeared later, declaring that he was going to save her from her sister's obsessions, making Y/n hide a giggle behind her hand. In turn, he and Collin were extremely funny, especially when Anthony made a bad move and Kate beat him.

Y/n also had time to meet Daphne's son, who seemed to like her and demanded with a cry that she pick him up. She didn't complain, the baby was too cute to refuse anything.

She and her two new friends got tired of playing, preferring to sit under the shade with the baby and play a little with him. Meanwhile, they talked about everything and got to know more about each other. They only realized how much time had passed when Lady Violet Bridgerton called them to drink and eat something.

By late afternoon, Y/n was exhausted but happy. Her family was more complete, and she loved being part of its dynamic.

From middle school students involved in the recent Nth room cases to police being involved in these cases to K-pop idols involved in sexual assault cases in south Korea ,I wonder what's really going on in korea, women not being safe and that why it's so important for everyone to raise a voice for sexual assault victims nomatter where they are from ,sadly woman in any part of world aren't safe ,someday its India ,next its Korea ,someday it will be another country ,and I hope and expect that with these cases being surfaced,we should remove the rose coloured glasses and see idols , celebrities as a men ,as a woman ,as a human being , and with this being said don't get involved in fanwars don't make it a matter of fanwars and please support victims

It doesn’t get mentioned enough that this moment is actually the first confession of Anthony’s feelings for Kate

I’ve seen people saying that he was so panicked at the thought of Kate leaving, going somewhere far away from him, that he was just saying anything and not making sense, but his train of thought actually makes complete sense if you think about it.

Anthony was planning to propose to Edwina and Kate knows that. Then, Kate tells him that the moment Edwina is married, she immediately plans to set sail for India. She’s not going to stick around any longer than that. This means that as soon as Anthony proposes to Edwina, a deadline will be set for when Kate has to leave.

Why would this be a way to keep him away from Edwina? BECAUSE HE DOESN’T WANT KATE TO LEAVE AND HE THINKS KATE KNOWS THAT.

In Anthony’s head, this is a threat. If he goes ahead and proposes to Edwina, Kate will simply go ahead and walk away, from England and from him. The need he feels to keep her close, to be in her company, is so profound that he cannot fathom that Kate wouldn’t be aware of it.

So when she says that she’s going to leave as soon as Edwina marries, knowing that he’s planning on proposing to her, what he perceives is, ‘do that and I’ll walk away’. That’s why he says she’s saying that as an excuse to keep him away.

Of course, if he’d taken a deep breath, thought about it calmly, he’d be able to see that Kate doesn’t have a single clue about his feelings or the power she holds over him. But he’s never been the most rational when it comes to Kate anyway. So, instead he lands on this gem of a convoluted conclusion.

And if you think about it, I don’t think he ever realised that his feelings weren’t obvious until much later on. Because right after this, his conversation with Daphne tells him that his feelings for Kate are also obvious to her. So I really don’t think he grasped how not-obvious they were to Kate.

It just goes onto show the extent of his feelings for Kate, even before YATBOME.

Carmy is about to pull this shit. He is really about to go in and likely blow up one of the only good relationships he has left from The Beef. After yelling at Tina from the pass. After stressing out everyone and their fucking dog cos he thinks this is acceptable behaviour if its all in service of a star?

This part of 3x03 Doors was such a jagged scene for me because of a few things (including what I've said above). What else got me:

Tina is someone Carmy knows, that Carmy loves (go back to their scene in 1x08 Braciole talking about Mikey. Go back to Carmy's soft "hey Tina you go ahead, you take the night off okay? I got you.");

Tina is an older woman of colour who has made the commitment to skill up so that she can work at The Bear after working at The Beef. Carmy has seen the work she has put in but in this moment, he pays none of it any mind. Imagine being T. Imagine how that would feel. Imagine how it would feel knowing all we know after watching Tina's journey in 3x06 Napkins. The thing is, Carmy doesn't need to know all of T's backstory to know his behaviour is unacceptable. The fact that he knows some of it and proceeds to act in this way is just more evidence of his white privilege showing its ass.

Carmy does not have the self reflexivity here to look at his young, white, male self yelling at this older WOC and see how fucked this is: how he's become another white guy in a litany of white men barking at workers of colour, not seeing Tina for the whole human she is but reducing her to a means of production. The racial dynamics on this show are so evident but don't get talked about nearly enough. I know the writers have crafted those dynamics on purpose because as beautiful a character as Carmy is, he's also a product of his environment as a white chef trained in a highly racially segregated field. This has repercussions for his relationships in season 3, particularly with the BIPOC characters in his life. @november-rising speaks about Carmy's behaviour in relation to Black women's experiences of love and professional recognition devastatingly here. While this shit made me so mad this season, it was also in character - as I've said here - for a white guy trained in fine dining to revert to established patterns of behaviour. Though, I'm gonna need the writers of the show to show US that they did this on purpose and have Carmy ATONE for this shit in season 4. Otherwise, what kind of redemption arc will this man have? This shit is hurtful to the BIPOC characters and BIPOC viewers of this show in no small part because white men the world over have a LONG history of using BIPOC people as a means of production and as a means of production alone. If you're unsure about this, please go look up the Transatlantic slave trade. Please go look up the history of colonial indentured labour. Please go look up The British East India Company. Please look up the forced labour regime in the modern prison industrial complex. Please go read a fucking book. And no I'm not saying Carmy is responsible for the slave trade (LMAO please hold fire if this is where your mind is going). I'm saying BIPOC folks carry with us a long ass history, an intergenerational history of this shit. But guess who else does too? White folks. So don't act like they dont.

This shit is also hurtful because we know how respectful Carmy can be. We’ve seen him in seasons 1 & 2. We know he knows what being a practical ally looks like (even if he may not have the language to name what he was doing) when he made sure to bring the staff of The Beef with him to The Bear and invested in them accordingly. We know he loves and respects them, none more so than Sydney. But there were so many times where he did not act like it in season 3. And when folks have got histories - not just personal but cultural too - as long and as loaded as we ALL do, actions account for a lot. What you do is the shorthand for who you are in the world, whether you like it or not.

Ok back to the scene.

Who comes in and simultaneously saves Carmy's ass and ANOTHER of his relationships? Who protects Tina and keeps the kitchen from exploding AGAIN?

Who supervises her sous chef like a fucking pro?

And who knows that he's in the presence of greatness but doesn't know how to articulate it cos he's not integrated, not by a fucking long shot. Who needs to attend some anti-racism training along with Al-Anon and therapy (so he can get the benefit of understanding his role in this system and get a better understanding of his own mind)?

1. just because you agreed to go on a date with a man does not mean he's entitled to touch you anywhere

You don't have to kiss, hug or whatever

Don't feel pressured into thinking that "omg I'm on a date I HAVE to kiss him whether I want to or not" 🚫 a date is just two people meeting and talking, nothing more

2. You can be celibate and still date

People think dating = sex but you can meet as many people as you want and have a meal with them (or whatever u wanna do) and never sleep with them or even see them again lol

You don't have to date to have sex. You can date to meet and hang out with people

Obviously if you want to bang, you can.

3. If you want to hook up with people, be clear about that but be realistic

A lot of women get their feelings mixed up. You're not in love with this guy, you just enjoy being intimate with him. Being intimate is not the same as being in love. Men especially have no emotional attachments to sex , so be prepared to never see him again or for this to never lead to a regular fling or more. Sex does not promise anything. Be mature about it. A guy having sex with you is NOT him saying he wants to be with you.

4. Date multiple people at once

Again, for me this involves zero sex so I literally just mean going out to meet many different people. This makes me less attached or fixated upon any one guy bc I know that I have other people I can meet and spend time with.

5. Weed out the creepy men

If you go out with a guy and he's just sleazy and super sexual, then don't see him again. 7. Don't go on a trip with him until you're completely comfortable with him and trust him !!!!!

Being alone with a guy in a different place is risky. So be 100% sure he's not a creep or an asshole before you go on trips.

Trips ≠ having sex every minute

Obviously trips generally imply having sex but you're not obligated to turn into a sex machine. It's literally just the experience of being with someone and having a good time (sightseeing, eating, swimming etc) . Obviously this will also depend on the man you're with but like I said, don't travel with a guy you don't trust and know well enough ✨

You know in honor of Valentines Day, how about I make a list of Valentines headcanons about Jotaro Kujo:

♡ When someone asks what flag color he is, one would most likely say red because of his rude, standoffish, and aloof personality (mostly seen in his teenage years)

♡ However, if you think about it aside from the rough exterior, he's actually a subtle green flag. Let me explain-

♡ This is one of those instances where you have to look past his awkward loner-esque personality and observe how he treats people that don't constantly piss him off.

♡ There's a reason why some of us compare his "heart of gold" to the Amazon Forest that is Jonathan:

♡ Jotaro respects boundaries. As someone who's space often gets violated by unwanted fangirls, he's very aware of the importance of personal space. He won't force you to do stuff you don't want to.

♡ Jotaro is open-minded. He likes to explore his surroundings a lot and isn't exactly rigid with preferences or routines. He's willing to accompany you to wherever you want to go and would try out stuff you'd like for him to try out. After all, he did surprise Joseph when he said India was a neat place to be in.

♡ Jotaro is an active listener. Unlike Jonathan, he can't really offer you solid words of comfort. It's not his expertise. But to make up for that, he'd lend a ear to whatever you want to say to him. Sure, he won't talk much but at times, when you really need someone, he'd be there for you- help you out by giving advice on how to not get hurt again, and help provide you logical reasoning that validates your feelings.

♡ Jotaro is loyal and caring. Yes, he's all "mean and grouchy" no one's denying that, but behind that tough skin is someone that loves his friends and family. He values their security above all else and is willing to put his life on the line just to keep them safe from danger. He also isn't one to condone cheating as evident by his statement about Joseph's infidelity.

♡ Jotaro's love languages are Acts of Service and Quality Time. He likes company but he just can't express it well. At times, he'd spend some of his free time just being by your side, lowkey glad seeing you happy with him around. He can tell when you're upset just by reading your body language or can tell what you need from piecing together recollections of your words. As a result, he'd find ways to make you happy using the methods he can do. He'd buy stuff you like, offer you dinner dates at a restaurant that serves your current cravings, put on your favorite movie or music etc.

♡ Jotaro isn't as possessive as you'd expect him to be. He's very aware he's shit at being an entertaining guy, so he isn't in the position of being all high and mighty of wanting you to just be with him. If anything, he likes seeing you enjoy your day hanging out with friends... but he'd really appreciate it when you'd often have him in mind and you invite him to hang with your friend group. Whether he accepts or declines, he's happy you considered inviting him. But if he sees someone blatantly trying to make moves on you, then he has to intervene to remind everyone that you're taken.

♡ Honestly, don't expect him to show up in public being head-over-heels with some grand display of affection because he's not Jonathan nor Joseph.

♡ Instead, you'd find him waiting for you to finish your tasks and either tells you ahead of time where they're going to spend the day or asks you where do you want to go.

♡ Either way, you engage in usual banter and conversation, just how you both liked it over the months, and continue to do so even when dining or spending time in said place.

♡ You both don't show much PDA as an average couple would, and you didnt mind it one bit. But there are times where Jotaro wouldn't mind holding your hand in public. He'd slowly reach your hand, hold it, and place your interlocked hands in his pocket. And you find that genuinely endearing.

♡ Depending on his impromptu plans, he'd either bring you out in a quiet area of a park or ask you if you'd like to hang in his place or yours. And when reaching somewhere private, it's only there that you find out he actually bought you a bouquet and a gift containing something you wanted.

♡ With the way he approached you all bashful under his hat throughout the entirety of the day, you're reminded why you fell in love with him despite the awful first impressions.

♡ To end it off, you both finish the day either by cuddling to sleep or having an intimate session before going to sleep.

When he smacked down the rice porridge, his first instinct was to kill her on sight. But then, his eyes met the one of the women in front of him, and he knew. 

No lies can hide from him; every truth is like clear water, but that was truth that he saw was icy as an ocean wave.

Her hair was white, and so was her skin. Like the snow she was, almost a ghost of her former self. 

Her eyes were now red like the blood that once was in her veins. Lost was her so lovely and natural color.

She was something different, but it was her. After all these years, she was still her.

His precious one, his wife.

Before his master and his brothers could speak, his finger had already cast the immobilized spell on them. He didn't want an audience.

Their eyes met, both of them confused, shocked, and full of emotion that was lost so many times ago.

He embraced her, feeling her cold skin against him. Since when she was so cold? Since his own embrace could not hold her? Or since she abandoned him under the mountain, broken heart, and without her own husband at her side.

Her fragile arms embrace him, skinny from her change during the years, yet so full of love for him.

"..." He didn't respond, but it was clear who was responsible for this.

"He did it? He made you his slave?!"

"It's not important the name! If they chain you, who cares about if you follow or you're forced! ...did he hurt... you?"

Of course he did. The Golden Rod was made for that, and she knew. The hairy became suddenly cold, the life from the ground drained, plants started to rot, and water became ice.

His staff was now towards her, his body in a fighting pose.

Working oneself to exhaustion, particularly if you are not at the survival level or at risk of being homeless/houseless if you do 2 less shows or work 2 less shifts, say "no" to a new project or new client, don't work extra hours, don't work at night, don't give all your life force to the company you work for, change your mind and say "no I can't go today"....etc. Holding an underlying fear of being disliked or disappointing people or power-hungry, money-hungry, overly-ambitious, or so overly-masculine and achievement-focused that you would be willing to hurt your body in the process then try to patch yourself up later....

Putting everyone and everything first before the wellness of your body, trying to do it all, mommy guilt when taking care of self, socially distracted in ways that provide less time for self-care, attempting to meet impossible deadlines....

Too much blue light e: scrolling social media, watching tv, reading google, or on your phone and computer in any other way right before bed time ....Not going to bed when tired and staying up late for no reason...not properly preparing one's body for deep rest...

Not building a relationship with one's body, including most intimate parts like pussy, breasts, deep throat area, belly/womb, hips, ass, scalp, pelvis, etc. Forgoing self-curiosity and self intimacy for a lover or relationship...

Limerence: Obsessing over someone who is not thinking about you or hasn't shown they care for you--using your life force to text that fool who hasn't called you back from your last text, settling for less in your relationships...

Not stretching or taking care of your body in other deeper ways and only focused on the superficial, what you look like on the outside, and not on how your body feels. Ignoring your body warnings....

Allowing stress and 'fight or flight' (the news, social media, celebrity culture....) into your brain chemistry (subconscious) and physiology first thing in the morning after you wake up, reaching for your phone rather than relaxing peaceful acts like music, meditation, chanting, humming, singing, stretching, lovemaking, going on a morning walk, , and the like....having a morning routine is helpful....

.. 10th May 1857 .. the great Indian rebellion .. the 1st war of independence against the British at Meerut .. the rebellion began in the form of a mutiny of sepoys of the East India Company's army in the garrison town of Meerut ..

Meerut is situated between the holy rivers Ganga and Yamuna ..

Thanks to its geographical importance, the fertile Ganga-Yamuna doab had been an important centre of human activities since the very early times of Vedic Civilisation.

From the medieval period onwards, the proximity of this city to Indraprastha (present day Delhi) helped it play an important role in the affairs of India.

With the capture of power by the British, Meerut became a major military centre. The aggrieved Indian soldiers of the British Army began their fight against the imperial powers in this soil on 10th May, 1857. They captured the control of the city in one day and marched to Red Fort in Delhi, which was considered to be the symbol of control over the whole of India. On their way, they were joined by the common people who shouted patriotic war cries. By the next morning, Red Fort had fallen into the hand of the freedom fighters.

Black Hole of Calcutta

The Black Hole of Calcutta refers to a prison cell which was used to hold 146 mostly British prisoners captured after the Nawab of Bengal had taken over the city from the East India Company. Interred on 20 June 1756 in a tiny cell in Fort William, 123 of the prisoners died of dehydration and suffocation.

The number of the Black Hole deaths may have been exaggerated, but testimonies to the event actually happening are numerous. The East India Company used the story as a justification for taking over Calcutta completely. It was really in the next century, though, that knowledge of the incident was spread through textbooks and literature as one of a host of equally dubious means to justify Britain's colonial presence in India. The incident's grip on the popular imagination can be seen in the long-lasting use of the expression "like the Black Hole of Calcutta" to refer to any dark and forbidding place.

Background

In the mid-18th century, the British East India Company (EIC) was seeking to expand its control of trade and territory in India. The rich region of Bengal was an obvious target, and Calcutta (Kolkata) became a major trading port for the company. The French East India Company was also present in the region at Chandernagore (Chandannagar) further up the coast. Balancing between these two foreign companies, both essentially representatives of their respective government's imperial ambitions in India, was the Nawab of Bengal, Siraj ud-Daulah (b. 1733), nominally under the suzerainty of the Moghul emperors in Delhi. Siraj ud-Daulah wanted to remove the EIC from Calcutta since it would not pay to improve the city's fortifications, and so he marched on the city in June 1756. A short siege followed, and the city fell. The fate of those captured was the source of the infamous Black Hole legend.
