Trump promises to block Nippon Steel’s $14bn offer for US Steel
US President-elect Donald Trump reiterated his commitment to block Nippon Steel’s bid to acquire United States Steel Corp. according to bne IntelliNews.
In a statement released on his Truth Social platform on Monday, Trump reaffirmed his stance, pledging to prevent the purchase as soon as he returned to the White House next month.
I am totally against the once great and powerful US Steel being bought by a foreign company, in this case, Nippon Steel of Japan.
The statement came after Japan’s leading steelmaker said it intended to buy US Steel for more than $14bn by the end of the year, before Trump’s inauguration on 20 January 2025. Trump’s move matched his campaign promise to prevent key US companies from being taken over by foreign actors. He also vowed that his administration would utilise a combination of tax breaks and tariffs to improve US Steel’s competitiveness.
However, the proposed deal received significant support from US Steel shareholders, who saw the acquisition as a strategic move to enhance the company’s position globally. Meanwhile, influential groups such as the United Steelworkers union opposed the takeover. They argued that the deal could lead to job losses or weaken labour protection.
The timing is particularly sensitive given the importance of the steel sector in key states like Pennsylvania. US Steel, founded in 1901 and based in Pennsylvania, is currently ranked 24th in the world, according to the World Steel Association.
The US Committee on Foreign Investment (CFIUS), which is responsible for assessing national security risks in foreign acquisitions, is expected to complete its scrutiny of the proposed acquisition by the end of December.

I'm not dunking on anyone, I'm trying to clarify policy and the political process, emphasizing that the distinctions matter. I don't cushion my tone because I'm not interested in distracting from the substance of my point. I emphasize areas where there isn't a "why" to emphasize what does and doesn't make sense as a framework for approaching policy effectively, which I'm in a position to do because, as I allude to in my post, I am speaking from a professional knowledge base. This isn't about you, nor are you beholden to explain yourself to me. I am reblogging with replies to tags where I can add information or context that is useful for a broader audience and to clarify the substantive or procedural matters discussed.
It is frustrating to me that I have to then muddle the substantive discussion with assurances that this isn't some elaborate setup to insult anyone. I wouldn't care if you were being passive aggressive, because this isn't about you or me or any individual ego: this is about an expansion of US executive power over a matter which impacts literally anyone with any connection to the global economy.
I typically keep work/Tumblr separate nowadays, but the Senate passed the TikTok bill, and the President is aching to sign it.
It's wildly unlikely TikTok will manage to divest within 270 days, and the potential three month extension won't do much either, so this amounts to a ban. But more than just TikTok, the language of the bill-soon-to-be-law grants the President incredibly broad authority to ban or force the sale of other foreign-owned apps, too, especially given its very expansive definition of "foreign-owned apps."
I don't have a particular call to action that I care to offer here. But, it's something people (not only US citizens) should be aware of, as this is a pretty big fucking deal.

I think the "pro-palestinian sentiments" element is a bit laughable to bring up re: tiktok and I don't buy the free speech argument, sorry - this isn't even the first time this has happened period, much less to a tech company, it's just so prominent because it's everyone's pet social media (I still think the twitter deal to musk should have been handled similarly considering his financing and I think the lack of CFIUS involvement is another large misstep) and because Congress actually did something instead of just via executive action.
I just also can't take seriously people who downplay or ignore tiktok's very significant issues that are unique compared to other social media sites.
But don't worry - Trump is trying to save tiktok so we can continue to keep the misinformation and erosion pumping full-stream.

President Joe Biden’s decision to block Nippon Steel’s proposed purchase of U.S. Steel was a political act made in “clear violation of due process and the law,” the two companies said Friday, signaling that a courtroom fight is imminent. The government’s review of the deal “was deeply corrupted by politics and the outcome was predetermined, without an investigation on the merits, but to satisfy the political objectives of the Biden White House,” the two companies said in a joint statement.
The companies said they were “left with no choice but to take all appropriate action to protect our legal rights,” reiterating earlier warnings that they would go to court to challenge a presidential rejection. Biden’s rejection of the dealcame in a presidential order posted on the White House website, declaring Nippon Steel’s $14.9 billion bid for the U.S. steelmaker “prohibited.” In a statement accompanying the order, the president said the nation would be “less strong and less secure” without a U.S.-owned steel industry. “This acquisition would place one of America’s largest steel producers under foreign control and create risk for our national security and our critical supply chains,” Biden said. Biden opted to kill the deal despite intense efforts in recent days by some of his senior advisers, who warned that rejecting a sizable investment from a top Japanese corporation could damage U.S. relations with Japan.
Nippon Steel and U.S. Steel had previously vowed to pursue legal action against the government, claiming it failed to follow proper procedures during its consideration of the acquisition. The president’s action comes after a Dec. 23 report by the interagency committee responsible for reviewing foreign investments in the United States for potential national security concerns. The Committee on Foreign Investment in the United States (CFIUS) said it was unable to reach a consensus on the risks of the Nippon Steel deal, leaving the final verdict with the White House. In its final evaluation of the transaction, the committee warned that after buying U.S. Steel, Nippon Steel could reduce domestic steel output and pose “risks to the national security of the United States.” Among the industries hit hardest in that case would be the transportation and energy sectors, said the panel, chaired by Treasury Secretary Janet L. Yellen.

A fourth-generation steelworker who rose to lead the union following the 2023 death of his predecessor, McCall objected to the deal from the moment it was announced in December 2023. At the time, Nippon Steel said it wanted to buy U.S. Steel to benefit from the industrial revival spurred by Biden’s economic policies. The president’s signature legislative achievements — the 2021 bipartisan infrastructure law, semiconductor industry subsidies and the 2022 Inflation Reduction Act’s clean-energy projects — were driving steel demand higher. And U.S. tariffs made it more profitable to produce industrial metals here rather than import them from Japan.

But CEO David Burritt already has warned that it lacks the financial resources needed to reinvigorate some of its aging blast furnaces in Pennsylvania’s Mon Valley and in Gary, Indiana.

それに対するUSスチール社からの声明文が凄いというか、いやぁ、正直ここまで人さまをコテンパンにした公式文書というものは寡聞にして初めて拝見。なのでちょっと自分なりの和訳をしてみた。
そもそもUSスチール社はアメリカ第二位の鉄鋼産業企業であるも、経営難に苦しみ単独での再建を諦め、同盟国である日本の企業に買収されることで経営を立て直そうと考えていた。しかも鉄鋼業は自動車産業はもちろん軍需産業にも直結する。戦車の装甲やキャタピラを誰が作るのか、どんな組成の鉄鋼で作るのか、極めて軍事機密性が高い技術分野でもあり、それゆえ同社は��向きに日本製鐵による買収を進めていたところであった。

政治的ポーズもあるとは思うけど、ここまで燃えさかるためのジェット燃料として、同盟国企業による買収がダメならダメで、なんであかんのかという理由がバイデン大統領サイドから明確に示されていないことなど、突けばいろいろ出てきそう。 そしてそれらを昨今のトレンドとしてサルでも分かるくらい分かりやすく示しているのか。
まぁそれゆえだとは思うけども、それにしても超巨大企業のトップが超大国の国家元首に対してここまで直球ストレートに言うというのも、ますますこれからの人類の行く末が案じられる昨今。

9月10日、米国下院はチャイナウィーク議会ともよばれる期間中に三本の法律を可決した。
最初は「中国の孔子学院やその他の懸念を引き起こす団体と関係のある米国の高等教育機関への資金提供を禁止する法案」を可決。249対161だった。
国土安全保障長官は、この法律の制定から一年後に始まる会計年度から、孔子学院または懸念を引き起こす中国の団体と関係のある高等教育機関が、孔子学院または中国の関係団体との関係を終了しない限り、国土安全保障省の資金提供対象から外されるという内容で、事実上の孔子学院規制である。
ワシントン州選出の共和党下院議員ダン・ニューハウスは「中国共産党は長年にわたり、アメリカの若者をターゲットにするために工作をつづけ、中国共産党と人民解放軍の工作員は大学生に影響を与える戦略を実行してきた。大学は、中国共産党や人民解放軍との関わりや関係について責任を負わなければならない」と法案理由を説明した。
民主党一部はトランプ政権時代に司法省が打ち出した「中国行動計画」を『新マッカーシズム』と呼び、反対に回った。
同日、「香港経済貿易局認証法」も413対3の圧倒的多数で可決した。
中国外交部はただちに反論し「在米香港特区経済貿易事務所の特権と免除待遇の撤廃、ひいては事務所の閉鎖まで騒ぎ立て、香港の国際的な名声を汚し、香港の対外経済貿易協力を抑圧しています。中国外交部駐港公署の報道官はこれについて強く非難し、断固として反対する」。
9月11日には「2024年米国農業保護法(HR9456)」を269票対149票で可決した。
これは米国農業への外国投資に関する1950年国防生産法の改正である。
対米外国投資委員会(CFIUS)に対して、中国、北朝鮮、ロシア、またはイランの外国企業が関与し、米農務省によって提出された報告対象の農地取引について報告���務を謳っている。
農地、農業用バイオテクノロジー、または農業産業(農産物の輸送、保管、加工など)に関する規制で、すでに6月に共和党のジョン・ムーレナー下院議員(中国共産党下院特別委員会委員長)が提出していた。
すなわち連邦所有地に隣接する地域で中国共産党が土地を取得することを阻止する法案だ。「中国共産党の米国土地禁止」と呼ばれ、中国共産党の代理人や中国共産党所有の企業が連邦所有地に隣接する米国内の土地を購入することを禁止する内容となっている

For the last 50 years, the United States military has enjoyed air superiority over essentially every other nation on the planet. In addition to good-ol’ American ingenuity and freedom to create, this superiority was created and is maintained by the government’s support of ongoing research and development to maintain that superiority. The research and development process for new fighter jets can take decades, as with the F-22 Raptor and the F-35 Joint Strike Fighter (JSF). China has always lagged significantly behind the United States in this department, but they’ve recently made major strides.
A significant factor in China’s progress comes as a result of the 2015 acquisition of Henniges Automotive, a Michigan company whose anti-vibration (stealth) technology is used on the F-35 (stealth) fighter, by Aviation Industry Corp of China (AVIC), the state-owned entity that produces fighter jets for the Chinese military.
Guess whose company partnered with AVIC in that acquisition? That’s right -- Hunter Biden, Devon Archer, and Chris Heinz’s BHR.
As a refresher: BHR is a Chinese venture capital firm in which Rosemont Seneca Thornton (the Biden/Heinz/Archer/Bulger partnership) owned a 30 percent stake, and which is majority-owned and controlled by the state-owned Bank of China. (Hunter Biden still owns 10 percent through his Skaneateles, LLC entity.)
For the 2015 transaction a wholly-owned subsidiary of AVIC, AVIC Auto, partnered with BHR to acquire Henniges, with AVIC Auto owning 51 percent and BHR owning 49 percent -- meaning that the Chinese government-owned military manufacturer ended up with a controlling interest in Henniges.
The Chinese government and military have attempted for decades to catch up to the aforementioned US military superiority, by any means necessary. At the time of the sale, U.S. government officials -- and the public, through Edward Snowden – were aware that China had hacked “terabytes” of data, including F-35 technology, and made use of it in their J-20 fighter. By acquiring Henniges and their anti-vibration technology, AVIC could put that technology directly to use in the Chinese military jets.
In a press release announcing the deal Daen Lu, described as chairman of Henniges Automotive, said (emphasis added):
“This acquisition represents a long-term, strategic investment by AVIC Auto to sustain and grow the Henniges business, while keeping the successful leadership, culture, benefits and contracts associated with the company intact. We are excited about this acquisition, and look forward to the addition of their significant expertise and the benefits it will bring to both of our companies.”
Yes, we’re sure AVIC looked forward to the significant expertise Henniges brought to the table. And who is Daen Lu? A Bloomberg profile describes him as both the Chairman of the Board of Henniges Automotive and as Chairman of AVIC Capital Co., LTD. So, was he on the board of Henniges before the acquisition, or was he inserted by AVIC?
BHR’s press release shares similar sentiments. In a March 2016 interview, BHR CEO Jonathan Li characterized the Henniges transaction as BHR’s “typical business model”:
Henniges [an automotive equipment manufacturer acquired last year] is our typical business model. We set up a joint venture with AVIC -- they own 51% and we own 49% – and did the acquisition together. AVIC has industry experience, operations in China, and it knew Henniges well. As a financial investor, we use our international network and our professionalism. While the AVIC is very experienced in international acquisitions, some Chinese companies don’t have the same cross-border experience and so may appreciate what we can offer in this domain.
Xin Wang, a US-educated Canadian attorney who serves as BHR’s Managing Partner, said that by BHR serving as a conduit for the SOE they “can facilitate the transaction.”
Just by virtue of being an SOE there is the perception -- rightly or wrongly – that there will be some cross-cultural issues. Having us and our global resources there as a financial investor, and serving as a conduit, can facilitate the transaction.
A look at the research and development timelines of the F-35 and the J-31 illustrates the advantage that both hacking and the strategic acquisition of Henniges have given the Chinese.

The ban had nothing to do with speech, never did. Had to do with the usages of Americans data.
The US Government has always had the right to regulate what foreign governments and their agents own and operate in the US. There is a government body called the Committee on Foreign Investment in the United States (CFIUS)
in 2019 CFIUS reviewed the Chinese firm Kunlun's ownership of the popular gay hook up app Grindr and found, much like later with TikTok that its collection of data posed a threat to national security and ordered it sold, which it was
In 2020 CFIUS did much the same review of Chinese company ByteDance's ownership of TikTok, you can review the whole history of it here but the CFIUS found that ByteDance's buying of musical.ly and ownership of TikTok was a threat to national security for much the same reasons as Kunlun's ownership of Grindr. Unregulated mass data collection by an organization controlled by the Chinese Government.
The later law was seeking to speed up the normal process set in motion by the CFIUS, an organization that has reviewed foreign ownership of US companies since the 1970s.
and like with Grindr, it was never a ban, like with Grindr, ByteDance could (and can) always sell for hundreds of billions of dollars, but they have chosen not to make a ton of money? At best it was cynical brinkmanship, a hope that if they kissed Trump's ass enough he'd opt to just illegally not enforce the law (which is what he's doing, he literally signed an EO saying "ignore this law" which seems bad)

but thats not why it faced a ban, it faced a ban because an evil foreign government owns it and is taking massive amounts of data from Americans for uses unknown and thats a threat to national security.
