Little bit of bg but in Age of Apocalypse (shortened to AoA id I have to talk abt it again) basically in earth 295 Legion (Charles Xavier’s son) goes back in time to kill magneto to make papa proud but ends up killing Charls Xavier. Which I mean how tf does that happen anyways this leads to Apocalypse taking over and basically humans are put in cages and idk what happened to mutants o read but like the words weren’t prossesing in my brain I’ll go back and reread it ig tho I think the mutants are put up to fight each other?? Idk

ALSO IMPORTANT LATER ON THAT I FORGOT TO MENTION BUT AFTER HE PUTS NATE IN THE FREAKY TUB MR SILLY INSTALLS A BOMB IN HIS BRAIN BASICALLY THATLL KILL HIM AT 21

So where we left off Nate was put on his stupid bath tub and basically this bath tub quickly aged him up to the point of 17 😍😍 anyways bro is mistaken for a human and is like hanged???? To something (like hands are cuffed on walls) and during one of their raids the Cyclops of this universe saves him but they don’t know that their related to each other and Nate just makes a fucking run for it.

Later on he meets a guy called Forge and joins his “theatre troupe” which is a cover up for when they rescue human hostages from Apocalypse. Also Forge is literally Nate’s father figure/srs but I can’t show photos rn for spoilers 💔💔💔

Anyways later on Mr Silly sees Nate and is like “🤯🤯🤯 MY SON” and basically creates ten out of ten disguise and calls himself his real name but I’m still going to call him Mr Silly ❤️ anyways Forge being 10/10 father is like “🤓no Nate you cannot help us you can’t even control ur goddamn powers” he joins the mission anyways bc Nate’s in his rebellious teen era even tho he’s like a year old which bc of his powers basically sends a HEY IM RIGHT HERE ULTRA POWERFUL MUTANT 😍😍😍 but Blabla some of Apocalypses forces attack and result in a few guys dying or injured and anyways forge goes to a shack where he presumed Mr silly was dead but then Mr Silly kills him and is all like Ha I’m not This guy you thought I was I’m actually one of Apocalypse horse men Mr Silly 😈😈😈

Change a Director of a Company in India

Introduction

Directors are appointed by companies shareholders with the purpose of running a company. The Companies Act, 2013 mandates that a Private Limited Company must have a minimum of 2 directors. The Articles of Association of a company should contain provisions for adding or removing of directors. Any person above the age of 21 years is eligible for becoming a director. In this blog, we will talk about the process of how to change a director of a company in India.

Brief of Change in Director of a Company

A change in directors is the process by which new directors are appointed to conduct the functions of the company. THe board of directors of a company may change for various reasons, and the change is formalized by passing by passing a special resolution for appointment through the Company’s Articles of Association (AOA). The provisions of the Companies Act, 2013 govern the appointment and resignation of the directors of a company. If the company’s directors change, the change must be reported to the Registrar of Companies (ROC).

How to Change a Director of a Company in India?

The Companies Act, 2013, along with the Companies (Appointment and Qualifitation of Director) Rules, 2014, outlines the procedure for changing the Directors in a Company. The process for adding a Director in a Company Registered in India involves the following steps:

Board Meeting

The manifesto for the meeting must be sent to the directors at least 7 days in advance to their respective registered addresses. A Board Resolution must be passed, calling for a General Meeting at which the Director will be appointed. The shareholders must be given notice of the meeting, including manifesto, venue, date and time.

2. Annual General Meeting or Extraordinary General Meeting

When a company needs to hold a General meeting (GM), the person designated to distribute the notice of the meeting must send the notice to the auditors, shareholders, and directors. The notice of General Meeting must be sent out at least 21 days before the date or day of the meeting. A shorter notice period may be given if the permission of at least 95% of the members entitled to vote at the meeting is secured. The consent can be electronically or writing.

The resolution will be passed at the GM, with the shareholder approval. Then within 30 days of the appointment of a Director for a Company, the company will file Form DIR 12 with ROC.

Insights on Form DIR-12 and DIR-11

Form DIR-12 is used to notify the Registrar of Companies (ROC) about the appointment or change or resignation of directors or key managerial personnel (KMPs). The form requires the following information to be mentioned:

Company’s Information

Details on the number of directors, managers, and so on.

The date of termination or if applicable, the date of appointment

Director Identification Numbers (DINs) and Digital Signature Certificates (DSCs) must be affixed where applicable.

The following documents are needed to be attached to this form:

Director declaration that needs to be appointed.

If there is a removal or resignation of a director:

Resignation letter

Proof of cessation

Any additional optional attachments.

On the other hand, Form DIR-11 is used to notify the ROC of the director’s resignation. The form requires the following information to be entered:

Company Information

The resigning director’s DIN

The date on which the resignation was filed with the company

The reasons for resignation

The following documents that need to be attached to the form:

Resignation notice submitted to the company

Proof if dispatch

If any, acknowledgement from the company

Any additional optional attachments

Pvt Ltd Company Registration in India is the process of legally establishing a private limited company. It involves obtaining a Director Identification Number (DIN) and Digital Signature Certificate (DSC), getting name approval, drafting the Memorandum of Association (MOA) and Articles of Association (AOA), filing incorporation documents, and obtaining the Certificate of Incorporation. Additional steps include obtaining a PAN and registering for GST. Professional assistance is advisable for a smooth and compliant registration process.

Conclusion

Process For Conversion Of A Public Limited Company To A Private Limited Company | Ebizfiling

Introduction

The shares of Public Limited Company are traded publicly in the open Indian market. But in a Private Limited Company the transferability of shares is limited to the shareholders only and the shareholders are not allowed to transfer shares to the public. Than Public Limited Companies, Private Companies are exposed to less regulations under the Companies Act, 2013. The requirement for less compliance leads to a greater number of Public Limited Companies converting into Private Limited Companies. In this article, will go through the process for converting a Public Limited Company to a Private Limited Company.

Basic requirement for the conversion process

It is necessary to change the name clause of the Memorandum of Association from "Public Limited to "Private Limited".

The Articles of the Company must be properly revised by including the limiting clauses applicable to a Private Company.

Before converting the shareholders, the authority should review that the company has not skipped any deadlines for submitting financial statements, annual reports or any other documents filled with Registrar.

The Company is not in default when it comes to paying back the debentures, matured deposits, or interest on debentures or deposits.

Procedure of conversion of Public Limited Company to Private Limited Company

1. The conversion and change of the memorandum of association and articles of association with restrictions which applies to a Private Limited Company under Section 2(68) and the appointment of a lawyer are approved by the board resolution.

2. A special resolution should be passed stating the approval of the conversion, the amendment to the articles of incorporation, and the name modification to include the word "Private."

3. Form MGT-14 must be submitted within 30 days of the passing of a special resolution to the Registrar. The following files should be attached to Form MGT-14:

Amended MOA and AOA

Copy of special resolution with an explanatory statement.

Consent of Board members if applicable.

4. The Public Limited Company should do certain things at least 21 days before the filing of an application. They are as follows:

Publish a notice about the application in Form INC-25A

Send an acknowledgment notice to every creditor and debenture holder through the registered post

Send an acknowledgment notice to the Regional Director, Registrar, and Regulatory Body

5. The company should file an application in E-Form No.RD-1 to the Regional Director (RD) within 60 days of passing of Special Resolution along with the prescribed fees under the Companies(Registration Offices and Fees)Rules, 2014. The following documents are to be attached to the form:

A copy of the articles and memorandum of association.

A copy of the minutes of the General Meeting

Copy of the Board Resolution of Power of Attorney authorizing the person to submit an application to the RD not earlier than 30 days.

Declaration by KMP (Key Managerial Personnel) as per the condition specified under section 2(68) of the Companies Act, 2013.

Declaration by KMP stating that there has been no non-compliance with the provisions of the Companies Act, 2013.

Declaration by KMP that no resolution is left to be filed and also mentioning that the Public Limited Company was never listed/registered in any of the Regional Stock Exchanges and if it is listed then all the required procedure was followed as specified by Securities Exchange Board of India.

Attach the list of Debenture Holders and Creditors.

An affidavit regarding the correctness of the list of creditors from the Company Secretary, if any, and at least two directors, out of which one must be the managing director(if appointed).

6. Duly verified copy of the list of debenture holders and creditors should be kept with the Registered Office for examination if any.

7. If there are no objections raised to the advertisement or notice or the application is complete, then the RD must issue an approval order without hearing within 30 days of receiving the application.

8. If an application is incomplete or has errors, RD must notify the company within 30 days from the receipt of the application where the company shall correct the mistakes and resubmit within 15 days of E-Form RD-GNL-5. It should be noted that only 2 resubmissions are allowed.

9. If the company fails to resubmit any defects or fails to satisfy the RD, the RD shall reject the application within 30 days from the date of filing the application or within 30 days from the date of the previous re-submission made, whatever the case may be.

10. When an objection is raised for the conversion or RD has made a specific objection, then RD must conduct a hearing within 30 days and order the company to provide an affidavit to record the agreement of the hearing receipt of the NCLT's post-hearing order and registrar's acceptance to the Form MGT-14 for conversion.

11. If no agreement is received within 60 days after the filing of an application, RD must resubmit the application within the allotted time frame of 60 days. If a company is under any inspection, investigation, or legal action, then the conversion between the companies is not permitted.

12. The company should file a certified copy of the order issued by the RD in Form INC-21 within 15 days of receipt of approval.

Bottom line

The process of converting a Public Limited Company into a Private Limited Company is long and must follow various requirements stated in the Companies Act, 2013 and Rules. However, the Private Limited Company can enjoy the benefit with regards to minimum compliances after conversion from a Public Company. The workload decreases for each member of the Private Limited Company because the maximum number is increased to 200 members after conversion from a Public Limited Company. One of the main benefits of converting a Public Limited Company to a Private Limited Company is that the Private Company is limited by shares.

The outside of a big looking school is decorated with many different balloons and banners as an overview of the place is shown before the host walks out. "Hello teachers. The long wait for these amazing people are here. You at home will have the power to decide the group that is made from these amazing females. Now, let us open the doors of this prestigious academy and welcome our students!"

She motions to the huge double doors, that open to reveal a garden with every contestant standing there, smiling in there pink and grey uniform. All of the girls bow before screaming "Thank you Teachers!"

The screen turns to the voting process, showing how you, the teachers, can vote!

At the end of every chapter (except for this one as this is episode 1) you can vote on which Angel you wish to stay.

You can make multiple votes, but only up to three times and must be used on a different Angel each time, so choose wisely! The Angel with the least amount of votes will be sent home, leaving the Academy. However, if a judge uses a "life saver", an orange button on their desk, then the Angel who has been eliminated stays.

Inside of the main garden, there are chairs set up with numbers. The chairs are clear with glitter inside, making it sparkle in the natural sunlight.

Also in front of the chairs is a screen showing what company the incoming girls are from. A few girls have already came and sat down at the lower number seats, feeling giddy about just being in the competition. "I wonder who's next" one girl asked, jumping up and down. Just as she said that, the screen showed a company that no one was expecting.

"BlockBerry? Isn't that Momoland's company? "

Everyone leaned forward to see who was the next girl to walk out. When she did, everyone gasped and squealed.

Out walked a girl in a blue t-shirt and shorts, leaving her long brown hair down. She smiled before bowing. "Hello, I'm Soo Jin from BlockBerry!" Everyone bowed back as she began to walk by them looking at each seat's number. Soo Jin had no intention to go for number one, but to get into one of the high numbers.

Back when the producers asked her about what number she would go for, she said "number 3." She walked straight to that number before sitting down. As the number was one of the highest, it was on a high peice of land. Everyone looked at her in awe that someone jumped from where they were sitting (at the lowest numbers) to number 3. Just like before, everyone turned their attention back to the screen to see who would come out next. "YG?! "

There was no denying the shock everyone had when it came on screen. Soo Jin leaned forward, wanting to see who they planned on sending from such big company. Two girls walked out, one in overalls and the other in a blue flower print shirt and skirt. The girl in blue also had blue hair. The one in the overalls speaks first announcing her name as Seo Bong Soo as her partner doesn't say anything. The girls watch as the two walk twords number 6 and 7 chairs. "Wow, they're so pretty~" Soo Jin mumbled before looking back at the screen.

FNC

Everyone went wide-eyed when 3 girls from FNC walked out. Everyone just started at them, too nervous to speak. As the girls walked by, everyone bowed and watched carefully where they were. "They must feel confident. They come from the same company as AOA" Bong Soo wondered as they walked into the same aisle as her, taking the 8,9,10 spots. No one yet had dared to go to number one

Cube Entertainment.

Everyone's hearts stopped when the company's name came on the TV. Soo Jin had flashbacks to when she applied for cube, but didn't make it due to her not fitting their new image. 4 girls walked out, each one everyone thought was prettier than the last. Each girl smiled at each other girls before talking to one another about which seat to go to before walking to the 11,12,13,14 spots, surprising everyone. "Is everyone afraid of the number one spot? " Soo Jin asked one of the girls who were at the bottom seats, who ends up shrugging.

Pledis

When the company name and the girl's name pop up on the screen, everyone began to look at each other. "Kang Mina?! Woah, she's a really popular trainee"

Yee Mi,who's from cube, looked at her fellow trainees. "I bet you she'll go for number one. She's really good" When Kang Mina was asked about what number she would go for, she chose number two, as number one seemed to ambitious for her to start at.

She soon walked out, in awe of the place before going to seat number two, surprising everyone, especially Yee Mi.

JYPE

No one expected that JYPE would send someone, let alone 3. As the names popped up on the screen, Bong Soo immediately gasped at one of the names. She was a big Got7 fan, so when she saw the last name of 'Tuan', she got excited. "Mark's little sister came on the show! " She told producers. "It's crazy because I didn't know if she wanted to follow Mark's footsteps like that. "

Sure enough, out of the 3, everyone stared at Wendy Tuan, who smiled and bowed. As she was walking along the number aisles, number one caught her eye. She walked up to it, surprising everyone. She touched it, her hands skimming along the chair before starting to sit.

"I really wanted to just stay there, but it was too high up" She told producers. She soon got up, walking back to seats 15,16,17

"Isn't that where Chungha is? " Wendy gasped before the two girls walked out. "I heard one of them is the actor Lee Min Ho's little sister" One of the bottom numbered girls whispered as the two walked by. Both girls stared at number one for a second before going to number 18,19. Spots were filling up fast an everyone was trying to figure out who else would come out...

SM Entertainment.

"No way" Yee Mi gasped as the name came on. No, not the model branch, the actual music branch.

Qyu-May walked out, confidence oozing out of her. Everyone stared, in complete awe. She began walking twords number one, not looking back. "Which spot would I go for? Number one" She sat down in the number one chair, gasping at how high the seat was before looking at who was at number two and at number three, waving at them.

iQYI

No way.

"What?!" Everyone was so shocked at the name on the screen. "China? " Everyone was shocked as the two girls walked out. "Wait, these two were on Youth With You! " Qyu-May gasped. Both girls looked at the remaining seat numbers. The girls chose seats 4,5.

Individuals.

"There's gonna be individuals? " Wendy asked, watching as the 3 trainees walked in, smiling softly before going to the 18,19,20. Everyone thought that it was over and that they were about to meet the host and judges when all of a sudden....

Bighit

"WHAT? " Everyone began freaking out at the company name. "When did BigHit start excepting girls? " Everyone thought it was a joke until a girl walked out with silver hair. She smiled before bowing. "I'm Wo Kimmy from BigHit". She walked over to the 21 seat (the last seat before the other random girls from earlier sat).

JULY 2019 BC ENTERTAINMENT SCHEDULES & REVIEW

Members may earn 3 points each (up to 6 points) for writing, by the end of July 31 KST:

A solo para of 400+ words based on their monthly schedule (does not count toward your monthly limit).

A thread of six posts (three per participant, including the starter) based on the monthly schedule.

Threads and solos do not have to take place directly during an important date listed on the schedule, but must be related to what the muse is mentioned to be doing in the paragraph explaining their schedule/the company’s schedule for the month and/or their thoughts on the mentioned activities or lack thereof.

These schedules may be updated throughout the month if new information needs to be added.

Overall Company

BC artists are again encouraged to attend WISH’s concerts again this month, especially once news regarding Goeun’s case drops. The success of WISH’s concerts will be one of BC”s two main media play defenses. Thankfully, the news won’t lead to too big of a stock drop like the initial lawsuit news did, but all idols under BC are still forbidden to publicly speak about the case to the press or fans.

Post-July 8 update: All idols are still forbidden to talk about the case and it seems that the higher-ups that know more about what’s going on have been told not to be open with people about more details as well. The general atmosphere of the company this month is a little tense, with management on high alert to keep all of their charges out of trouble. Any questions raised about Goeun will be dismissed and those questioning will be told to focus on their own schedules instead of other people’s business.

BC Soloist 1

Now that her debut is imminent, she has a packed schedule this month. The album has already been fully recorded and choreographed, but the music video still needs filmed. She’ll also make a special surprise appearance on an episode of Weekly Idol with senior soloists that will air a week before her debut to introduce her to the public.

July 15: Why Don’t You Know MV filming.

Decipher

Along with the company’s two other boy groups, Decipher is being sent off to KCON NY this month. Decipher is a bit less popular than their two junior groups overseas, but they still have a number of fans that will be attending just for them. The week before KCON will be packed with group and individual English lessons packed in to provide the members with, at the very least, memorized lines to recite. They’ll have a hi-touch, a meet and greet, and participate in the second concert day.

July 7: Performance at KCON NY at Madison Square Garden in New York, NY, USA (also performing: 7ROPHY, Knight, & CHARM).

↳ Decipher R & V

After the meeting last month with Decipher V, the members will be called into concept meetings this month and record the single for their comeback at the end of the month. It’s a song that had originally been in consideration for a full group comeback but has been repurposed for the unit after management deemed it more fit for them after deciding Decipher V should make a return.

After music show promotions end on the fourth, they get the news from the manager that they’ve been gifted almost two weeks of vacation time from the 6th to the 18th thanks to their successful comebacks since re-signing their contracts. The members are free to leave Seoul or the country as long as they remain on their best behavior. Once they come back from vacation, they’ll be met with the news of a new brand deal with hair care brand Mise En Scene, which they’re scheduled to film a CF for straight away. At the end of the month, they’ll hold a fan sign for the brand deal.

July 4: End of music show promotions.

July 19: Mise En Scene CF filming.

July 28: Mise En Scene fan sign in Jung, Seoul.

Knight

Management is confident that this comeback falls comfortably into Knight’s image and artistic niche, but the results after the mini-album drops might say otherwise. It could be the numerous albums BC has made Knight pump out every year for the last few years catching up to them with the fan base, poor marketing, a song a bit too dark for the season, or the fierce competition from groups like Femme Fatale and Fuse for digital points and music show wins hurting their chances with casual fans, but this comeback under performs much more noticeably than the last in physical sales, digital charting, and music show wins. They’re still clearly going to end the year in the top three selling groups of the year physically as always, but with BC more concerned with building up CHARM, it becomes obvious BC doesn’t plan to have them come back again until next year and they’ll be relied on for second half of the year concert profits instead.

July 6: Performance at SBS Super Concert at AsiaWorld-Expo in Hong Kong (also performing: CHARM).

July 7: Performance at KCON NY at Madison Square Garden in New York, NY, USA (also performing: 7ROPHY, CHARM, & Decipher).

Music show promotions continue to go well though BC doesn’t have them promoting too extensively. As soon as promotions end, the members will be hopping on a plane for their Taiwan concerts, then returning to South Korea where they’ll be shooting for a summer-themed photo book and behind the scenes video on Jeju Island that will be released near the end of summer for fans (admin note: if you want to reference exact outfits/concepts/photo pairings, you may use the respective AOA line distribution with the maknae aligning with Choa since Chanmi is absent from the shoot). After that, they’ve got one last tour stop for the month in Malaysia. They’re asked to keep attending pole dancing classes in preparation for their Japanese music video as well and, in general, avoid putting themselves too much in the public eye this month following the news on Goeun’s case.

CHARM

This month, the members will only be in Seoul for around a total of two weeks, from July 5-6, 9-12, and 18-25. The rest of the time, they’ll either be doing their Japanese concert and fan meeting tour or performing at the SBS Super Concert or KCON NY. This means English lessons the first week of the month and expectations to be studying Japanese if needed the rest of the time. Time when they are in Seoul will be spent learning and recording for their Japanese single album Happy Ending and in practice learning the choreography for it so the music video can be filmed and released next month.

The stricter diets and curfews and additional practice time don’t let up this month, but their public schedules do at least. Their tour begins this month with dates in Seoul and Bangkok. The rest of the time, they’re scheduled to film a Pocari Sweat CF and record for their Japanese releases for next month. The double title tracks for said Japanese comeback will be filmed at the end of the month with contrasting concepts, one more typical bright pop WISH and one more in the vein of their latest Korean comeback.

welcome to whatever this is i guess, well my nickname is nana so nice to meet y’all and since this is a post about me AND my best friend her nickname is kun so i’m just gonna refer to her as kun so just saying that now do y’all don’t get confused later

WARNING: this is an extremely long post so if you don’t want to read all of it i can’t blame you but it did take me roughly 8 hours to write this so i’d appreciate it if you read it but it’s okay if you don’t^^ also please respect our opinions and if any of you want to answer these questions in the comments or reblogs then please feel free to do so!!

so this was originally gonna be a youtube video but honestly i’m way too lazy to edit roughly 82 different music videos into 15 minutes. so i’m just gonna do it here until i get motavated enough to actually download 82 music videos and edit them down into clips. at the bottom of this is a spotify playlist of the songs i was gonna download audio/music videos for if you want to take a listen, there is one for me and one for kun ^^

- astro; thanks to nana she dragged me into loving these goof balls and i’m so glad she did, they’re all so adorable and they have great music so stan my babies :(( sanha is the cutest babie and i love him please love my beagle boy

- dreamcatcher; hands down one of the easiest questions for me? like idk i adore these girls and they’re great so please stan :D

- clc; MY GIRLS MY QUEENS okay so other than red velvet they’re my favorite girl group and i’m absolutely not gonna deny that

so i’ve stanned stray kids since predebut, specifically when hellevator was released, YALL HAVE NO CLUE HOW HYPED I WAS im serious i didn’t shut up about these boys and i’m so glad they’re so beyond successful and i adore each and every one of them p.s stream side effects

i’ve liked stray kids since predebut but after nana’s persistence i ended up adoring the members more than anything (except yugyeom) i major stanned since january of 2018 and i’m so proud of my boys :((

7. Favorite Rookie Girl Group:

- itzy; so other than everglow it was hard for us to make a decision on this, neither of us STAN STAN many girl groups so most girl group debuts slip our minds after watching them but dalla dalla had been stuck in both of our heads for months now so that’s why we ended up choose itzy (also jyp girl group duh)

8. Favorite Disbanded Group:

- speed; okay so most people don’t know them and i am: depressed about it but it’s okay, they’re my boys and i love them, one of the members is actually zico’s older brother so oof yes talented family, they’re great and i miss them so much :(((

- history; so roughly towards the end of 2016 i saw their video just might die and queen, nana had already played me queen before and i really enjoyed the song (bop listen to it plz) and i just loved them from then on, after they announced their disbandment last year ngl it hurt cause i love them

9. Favorite Sub Unit:

- NCT Dream; okay i’m not that person to be like Oh I oNlY stAn ThIs UnIt OF nCt no i stan all 21 members and whoever else joins from that HOWEVER all of the dreamies are really really high on my bias list so that’s why i chose them for my favorite unit (stream dnyl thanks :D) im actually listening to dnyl while writing this so love that

so i couldn’t find any gifs of nct dream ot7 so i settled for this cute gif of jisung

- WayV; i love all of nct but kun (+johnny and mark) are at the top of my nct bias list. i love take off and i love every song they’ve released so far, my boys ARE APART OF NCT (for y’all dululu fans) also stream dnyl for nana so she’ll shut up about how much she adores dream not that she’ll ever shut up about how much she loves them tbh

- Jus2 + JJ Project

- again here comes the utter LOVE for jyp groups along with got7 i adore both of these duos beyond belief and i need mark to have a duo or a unit or SOMETHING cause i love him with every ounce of my being

- yugyeom. that’s it. yugyeom is the loml and there’s nothing he does where i won’t love him, focus on me hit somewhere different and i LOVE IT and HIM and of course jaebum cause he’s great too uwu i also love both of jjp and i was so exited for tomorrow, today so that helped too^^

11. Favorite Senior Group:

- infinite; so infinite. yeah i’m a HUGE inspirit and i miss hoya, sunggyu, and sungyeol like hell but it’s okay, i adore infinite im not gonna lie (to be fair i adore a lot of groups) and they mean a lot to me, out of my ults i think myungsoo has consistently stayed at the same place since 2016 as my second ultimate bias oof wow, it was also hard to choose between infinite, suju, and shinee like damn

- super junior; so i love suju? i love them more after once again thanks to nana’s persistence after black suit came out even though i was gonna listen to it away, i already loved heechul and leeteuk but dang i really love them and so does nana. but she likes too many groups to just choose one without overthinking it ALOT

12. Favorite Debut Song:

- come back again by infinite; okay so this was also a really hard one cause i love nct’s debut as well as ateez and astro but i ended up choosing come back again cause i find my self searching far and wide just to listen to this song (cause it’s not on apple music or spotify)

- pirate king by ateez; so yes i know that their debut was TECHNICALLY treasure but i love pirate king too much to not say it was my favorite debut, this song is still on constant repeat and always will be like uGH

13. Favorite Male Soloist:

- jeong sewoon; so im a big ol mush pile for all of the produce 101 s2 boys so of course sewoon would be up there with jinyoung, donghan, and SO MANY OTHER GREAT MEN, i adore his voice and the way he sings, he’s just so? great??

- dean; dean was the first kpop artist i ever listened to even without knowing he was a k-r&b artist, i love his voice, it’s so soothing and i can never stop listening to it

14. Favorite Female Soloist:

- chungha; coincidently snapping came out the day before i started writing this so yes?? queen?? but seriously i love her so much and i can’t ever contain my love for her music

- IU; she so ADORABLE? i love all of her music and i can’t believe she’s an actual human being, i seriously love her so much that it’s just uncontainable, she has one of the best voices in the kpop industry

15. Favorite Male Vocalist:

- baekhyun of exo; exo was my first group i ever got into, and they never cease to amaze me when it comes to their music. they never and i mean NEVER disappoint with their albums and bsides, as to why i chose baekhyun is simple, HIS VOICE SENDS CHILLS DOWN MY SPINE i mean so does jongdae but still

- kyungsoo of exo; i love kyungsoo and his voice and i’m going to miss him beyond belief after he leaves on july 1st :(( but seriously his voice knows no bounds and i can’t help but melt when i hear it

- seola of wjsn; so i’m just saying now i don’t know much about wjsn but this girl. her vocals. yes? after her song with kihyun came out i fell in love with her vocals from then

- sunmi; i love my supportive queen, she’s great and beautiful and i love all of her music, i will never fail to bop to heroine at any time of day just because i love her that much like yes queen

- ten of nct; i don’t think much needs to be said as to why ten is my favorite male dancer. he is beyond anything i’ve ever seen before and has my complete respect for his passion for dancing and it makes me want to be a better dancer just so i can be proud of myself

- yugyeom of got7; oH i WonDer WhY yUgyEoM iS heRE, seriously i love his dancing more than anything and all of his freestyle clips on instragram make me have the utmost love for him beyond what i already have for him

18. Favorite Female Dancer:

- seulgi of red velvet; i’ve watched her dancing over the years and i’m never not mesmerized by her stage presence and the way she is so detailed with how she moves

- lisa of blackpink; she’s a great dancer and i will never deny that, she’s also a great rapper and her stage presence is great especially when she’s dancing (specifically taki taki)

19. Favorite Male Rapper:

- changbin of stray kids; okay so i knew from the moment i heard hellevator that this group would be big and man did they not disappoint, changbin has one of the best rapping styles and voices i’ve ever heard in my life, his speed and his lyrics are so amazing and 3racha songs are AMAZING too like wow this man and his power over me

- jooheon of monsta x; not only has joohoney wreaked my bias list but he has absolutely one of the most unique voices i’ve ever heard, his raps are so hard hitting and i can’t ever get over them, his solo work has potential to be soty because of how talented he is

20. Favorite Female Rapper:

- jessi; okay so i actually had a few female rappers in mind by it kept going back to jessi each time, i genuinely love her voice and i LIVE for her roasts like yes, also i love all of her music? like she has great music i 10/10 recommend

- yeeun of clc; i don’t know many female rappers but yeeun has been one of my favorites for awhile now and i love her voice, it’s just so great to see how much she’s improved and i’m so proud

- superhuman by nct 127; so honestly this was absolutely the hardest question for me, i love dancing and i love most male choreographies so idk why i came to this decision, actually i do, superhuman is honestly a wonderful dance and i love watching it each and every single time i seen it on my recommended on youtube

- highlight by seventeen; the performance unit has so much power and stage presence that it was so hard no to choose this song, they all have such great and precise movements when they dance and it’s beautiful

- chase me by dreamcatcher; i love this choreography so much? seriously these girls always kill it and i really want them to grow because they really deserve it

- hobgoblin by clc; this was the first female choreography i really really wanted to learn based on the dance other than russian roulette and dumb dumb by red velvet!!

- crooked by g-dragon; crooked has always been one of my favorites by GD it just sounds so different and his voice just makes it one of my favorites, middle fingers-up is a close second for GD

- honey tea by oohyo; honey tea is one of those songs you could listen to in a cafe or on a relaxing walk with your earbuds in just taking in the crisp air. it makes me feel super calm and just in a space where i feel like everything is chill and cool

- luhan; by baby lulu uwu, i’m absolutely a mushy gushy soft mess for that baby, he’s so cute and kinda and his music is just?? great????? what??? i seriously did not even have a second thought about this but some honorable mentions are definitely big time rush, 5sos, kris wu, joji, etc.

- conan gray; where do i bEGin?! his songs are by far some of my favorites. not only is he a great artist, he has this way with his music that is almost melancholic in sound. it sounds so entrancing and crush culture, generation why, and lookalike are some of my favorites^^

- imitation by luhan; remember when i said i was gush for this man? i wasn’t joking. at all. i seriously love his voice and i just UGH love him, and this song?? bop.

Types of Private Companies

Company Limited By Shares

Section 2 [22] of the Companies Act, 2013 defines that when the liability of the members of a company is limited by its memorandum of association [MOA] to the amount unpaid on the shares held by them it is known as a company limited by shares.

thus, it implies that for meeting the debts of the company, the shareholder may be called upon to contribute only to the extent of the amount which remains unpaid on his shareholdings.

While a shareholder can be the co-owner of the company, he is not the owner of the company’s assets. the ownership of the assets will remain to the company because of its nature as a legal person.

Company Limited by Guarantee

Section 2[21] of the Companies Act, 2013 defines it as a company having the liability of its members limited by the memorandum to such amount that the members may respectively undertake by the memorandum to contribute to the assets of the company.

thus, the liability of a member of a guarantee company is limited up to a sum mentioned in the memorandum. members cannot be called upon to contribute beyond the stipulated sum.

this company is only useful when there is no need for the working funds or these funds can be held from the other resources like fees, donations, charges, etc.

Unlimited Company

Section 2[92] of the Companies Act, 2013 defines an unlimited company as a company not having any limit on the liability of its members. In this, the liability of a member ceases when he ceases to be a member.

The liability of each member of this company extends to the whole amount of the company’s debts and liability but he will be entitled to claim this contribution from the other members.

In case the company has a share capital, the Article of Association [AOA] must state the amount of share capital and the amount of each share.

Procedure for Buy-Back of Shares in Unlisted Companies

This article is written by Asmita Topdar, Diploma in Companies Act, Corporate Governance and SEBI Regulations from LawSikho.com. Here she discusses “Procedure for Buy-Back of Shares in Unlisted Companies”.

Introduction

Buy-Back of shares is a process whereby a company repurchases back its own shares from the shareholders at a price usually higher than its market price. The recent decade has witnessed a transition in the company using buyback of shares over dividends in order to return back the funds of investors. The company can buy back the shares from the open market or existing shareholders in the market or from the employees who have been allotted such share as sweat equity or as ESOPs. Proceeds from security premium account or free reserve or proceeds from the issue of any other security can be utilised for buying back of shares by the company.

Buy-Back of shares can be undertaken by both listed and unlisted company. Earlier, the concept of buyback was buried under the Companies Act, 1956 until it was amended in the year 1999. Apart from this, section 68, 69 and 70 of the Companies Act, 2013 with the Rule 17 of the Companies (Shares Capital and Debentures) Rules, 2014 governs the process of buyback of shares by the unlisted company. For a listed company, along with the above-mentioned provisions, SEBI (Buy-back of Securities Amendment) Regulations, 2013 also comes in the fore for regulating the Buy-Back by listed companies.

Reasons Behind Buy-Back of Shares

Also known as Share Repurchase, Companies prefer buying back its own shares when the market price of its shares are falling and buying back those shares helps in increasing the market price of those shares. By buying back the shares company retains back the ownership and control over the company which otherwise would have been in the hands of shareholders. This acts as an exit route for the shareholders. This further helps in maintaining a favourable debt-equity ratio of the company.

Restrictions on Buying Back of Shares

There are certain conditions imposed on the company if they choose to Buy-Back shares. The company is required to act in compliance with the conditions.

Company cannot negotiate any deal to purchase the shares from any person irrespective of whether the negotiation is through stack exchanges or any spot transactions or through any private arrangement or not.

Companies are prohibited from buying back of shares with the sole purpose of delisting its share from stock exchange

Company cannot go for offering Buy-Back of shares within a period of 1 year from the date of expiry of the previous Buy-Back period.

Reduction of share capital shall be effected in order to allow the company to offer to buy back

Procedure for Buying Back of Shares

AOA authorising Buy Back

Articles of Association (AOA) should authorise for buying back of shares by the company if not authorised company shall alter its AOA for incorporating the provision enabling authorisation by the company.

Approval

The company must take approval from the Board of Directors (BOD) and shareholders. Approval can be in the form of:

Shareholders– Special resolution passed by the shareholders if the quantum of Buy-Back is up to 25% of the aggregate of free reserves and paid-up capital of the company, or

BOD– Approval from BOD if the quantum of Buy-Back is up to 10% of the aggregate of free reserves and paid-up capital of the company.

Notice from the general meeting

The notice must be sent to the shareholders at least before 21 days from the proposed meeting which should also be accompanied by an explanatory statement for passing the special resolution. The explanatory statement must contain

Details regarding the number of shares, acquisition details, price.

Details regarding shareholders’ holdings and transactions in the last 12 months before to the date of approval of Buy-Back of shares

Confirmation that no default regarding repayment of loans, debentures or any other securities

Confirmation on a full background check of affairs of the company and no grounds on which company can default in paying debts

Report from the company’s auditors to BOD

Filing form MGT-14

The form MGT-14 must be filed with Registrar of Companies (ROC) within 30 days of passing the special resolution. The form must be certified by a Chartered Accountant or a Company Secretary or any Cost Accountant and it must be accompanied by the special resolution and explanatory statement.

Filing Letter of Offer (SH-8)

Letter of the offer has to be filed with ROC in form SH-8 which must be signed by BOD not less than 2 directors and one of the directors signing the document must be the Managing Director. While filing the form should be accompanied with following documents:

Details regarding promoters of the company

Copy of the board resolution;

Declaration by auditors

Audited financial statements of last 3 years;

Copy of the notice issued under section 68(3) along with the explanatory Statement thereto

List of holding and subsidiary companies of the company;

Buy-Back details of the last 3 years;

Statutory approvals received (if any);

Unaudited financial statement (if applicable);

Confirmation of opening of Separate Bank Account.

Details of the auditor, legal advisors, bankers and trustees (if any);

Dispatch copy of Letters of Offer

The letter of offer shall be dispatched to the shareholders within 20 days from the date of filing with ROC. Shareholders can accept the offer of Buy-Back within the window of not less than 15 days but not beyond 30 days from the date of dispatch of the letter of offer.

Deposit in a bank account

After the date of window period closes, the Company shall open separate bank accounts for the shareholders who have accepted such offer and the due amount is to deposit in that account.

Verification and acceptance of Buy-Back offer

The Offer will be considered as accepted if there’s no communication of rejection within 21 days of offer closure.

Payment of consideration

Consideration for acceptance of Buy-Back shares must be paid in cash only within 7 days of verification to those shareholders whose shares have been accepted.

Return of share certificate of unaccepted shares

Share certificates of those shares which have not been accepted for Buy-Back shall be returned to the shareholders within 7 days of rejection. Also, share certificates of those shareholders whose shares have been partly accepted on pro-rata basis and the share certificates of part shares which have not been accepted shall be returned.

Destruction of share certificates

Within 7 days from the last date of completion of Buy-Back, share certificates which have been returned shall be physically destroyed.

Account for shares bought back

Shares and securities which have been bought back shall be properly accounted in a register. The register shall be maintained properly and shall be in the custody of Company Secretary or any authorised person by the BOD. Proper authentication of the entries in the register required by the company secretary. All particulars as mentioned in SH-10 shall be incorporated in the register.

Filing SH-11 with ROC

Return of Buy-Back in the form SH-11 shall be filed with the registrar within 30 days of completion of the process of Buy-Back. The filing must be accompanied with the following details regarding:

Details regarding the share or the security holder

Description of shares bought back

Copy of Board resolution and financial statement of the company

Copy of Special resolution passed in general meeting

Filing compliance certificate with ROC

Along with SH-11 form, the company shall file with the registrar compliance certificate in form SH-15 which shall be annexed with form SH-11. SH-15 shall be signed by 2 directors, one of which shall be Managing Director of the company (if any). The directors shall certify that the process of Buy-Back has been in accordance and compliance with Companies Act and the Companies (Share Capital and Debentures) Rules.

Penalty for Default in Buy-Back Procedure

Section 68 of the Companies Act, 2013 provides for the punishment in case the company defaults in the procedure of Buy-Back of shares. The company shall be liable to pay fine, not less than Rs.1 Lakhs which might exceed up to Rs.3 Lakhs. All the officials of the company who are involved in the procedure of buying back of shares defaults in any required compliances shall be punishable with imprisonment for a term extending to 3 years or with fine of an amount not less than Rs.1 Lakh.

Tax Implications for Buy-Back of Shares

The Finance Act, 2013 has introduced the concept of tax on Buy-Back of shares under Section 115QA. Under this provision, the company shall be liable to pay 20 per cent tax on distributable amount by unlisted companies. Distributable Income means the amount which is the difference between the consideration paid for Buy-Back of shares and the amount received by the company on the issue of such shares.

However, the tax implication on the Buy-Back of shares was only imposed on the unlisted company. Recently, in the year 2019, Finance Minister Nirmala Sitharaman has introduced certain amendments in the tax regime. One of which levied the tax implication for Buy-Back of shares on listed companies. It was believed that companies were trying to evade from tax payment on dividend distribution which is called Dividend Distribution Tax by following the procedure of Buying Back the shares from shareholders and indirectly giving them a dividend. Thus, the introduction of tax implication was levied on a listed company.

INTRODUCING . . . . . . ATOZI

nicknamed the ‘people’s girl group’, atozi is a 44-member girl group that debuted in 2017. named to sound like a-to-z, the group claims to be able to do everything under the sun. atozi members were first introduced on a survival show, and then promptly ranked, and fans have complete control over the group-- from who is in what subunits, to what concepts they do, to what positions they’re in. every so often, they are put on another survival show and promptly re-ranked. the full group promotes under the name ‘atozi opal’, with the units being named after colors and the subunits being named after birds. made with @parallelwcrlds; i’ve only outlined my own characters below.
