Een ‘controlled composition’ is een auteursrechtelijke compositie die wordt beheerd door de auteur, die tevens artiest is. Je komt een controlled composition clause vaak tegen in (Amerikaanse) platencontracten. Het belangrijk om te weten waar deze clausule op toeziet, omdat het namelijk meestal een beperking van je inkomsten is. . Ok, een stapje terug: de vorige 2 posts gingen over #mechanicals en de #statutoryrate. Mechanicals (ofwel je mechanische reproductierechten) zijn de auteursrechten die je hebt om toestemming te verlenen voor de verveelvoudiging van jouw muziekwerk. Het label moet dit aan de rechthebbende betalen. Dat kan de rechthebbende zelf zijn, diens publisher of diens collectieve beheersorganisatie zoals #Stemra of The Harry Fox Agency. De statutory rate is de vastgestelde vergoeding die je in Amerika voor de verveelvoudiging krijgt. . Een controlled composition clausule limiteert vaak het bedrag dat het label moet betalen voor de verveelvoudiging van zo’n (door de auteur / artiest) ‘gecontroleerde compositie’. Labels cappen de fee meestal tot 75% van de statutory rate. Daarnaast komt het soms voor dat een label maar voor 10 platen per album betaald. Alles daarboven; pech. Een andere leuke; zodra platen met korting worden verkocht, dan krijg je maar 50% van de rate. Met die toffe acties van Beatport kan dat dan opeens best snel gaan. Huppatee; daar gaat je geld. . Het is daarom aan te bevelen om te onderhandelen over een hoger bedrag of in ieder geval de hoogst geldende rate te nemen. Die rate wordt om de zoveel jaar vastgesteld en kan dus stijgen! . Let ook heel goed op de afspraken bij collabs. Als je mede-schrijvers de verlaagde rate weigeren, dan moet jij dat bedrag zelf aanvullen. . Contracts between Music Producers and Music Artistes: A Guide for Both Parties

Contracts in the music industry, speaking specifically about those made between music producers and artistes as foundations of professional relationships ought to protect the interests of both parties. Like bridges, they must be built on a firm ground of mutual understanding & satisfaction on the terms within the contact from the very outset.

Part A

Producers 

What to Include in the Contract

Rights to the Beats and Tracks

Clearly specify who owns the rights to the beats and tracks.

Is it a sale, lease, or exclusive license?

Payment and Royalties 

How will the producer be compensated?

Is it a flat fee?

Or a percentage of revenue?

Or a combination?

Duration:

How long will the agreement last? In cases of leasing in particular, timeline is crucial.

Credits: 

How and where should the producer be credited? This can range from album covers to streaming platforms.

Termination Clauses:

Under what circumstances can the contract be terminated? Include provisions for breach of agreement.

Future Works and First Right of Refusal:

If the collaboration is fruitful, while it might be unfair to the artiste  to be locked in by the producer, clauses which make room for satisfactory rewards to the producer should be thoroughly discussed, mutually agreed to and documented.

Music Artistes - What to Look Out For

Ownership and Licensing: 

Ensure you understand the rights you are purchasing or licensing. For example, are you given rights to alter the beat or use the production in other mediums, like in movies or ads?

Payment Structure:

Is the payment one-off or in installments? 

Are there any hidden fees or costs?

Exclusivity: 

Does the contract prevent the producer from selling the same beat to another artiste?

Revisions and Alterations: 

Does the contract permit you to make changes to the beat or track? Are there extra costs involved?

Dispute Resolution: 

How will conflicts be managed? Arbitration, mediation, or court? 

Duration and Renewal: 

Understand the term of the contract and conditions for renewal.

It's essential to know how long you're tied to the agreement.

A Note to Lawyers

Lawyers acting on behalf of music studios, producers and record labels, should also act as arbiters of a moral compass, whereby they appropriately guide their powerful corporate clients on the paths of fairness, even in the position where formidable bargaining power is possessed.

I've had a blast at the Most Wanted: Music 2019 in Berlin! It was a well organized, interesting, fun and very casual conference on #music and #tech in Alte Münze, a location and vibe best described as Felix Meritis back in the days during ADE. If that doesn't ring a bell; it was industrial but cosy and there was a very positive, friendly and open thing going on. I've especially enjoyed the cool panels on management, metadata and publishing and the lively discussions about technology shaping the future of electronic music. My take aways will be online soon. Op uitnodiging van @afemorg was @beatport vandaag bij mij te gast om een video op te nemen voor het Beats In School-programma van #Beatport. In dit programma volgen #artiesten van over de hele wereld een course over de #muziekindustrie. De klok horen luiden, maar niet weten waar de klepel hangt... Het komt vaak voor in de muziekindustrie. Daarom even deze tegelwijsheid: royalty free is iets anders dan rechtenvrij.   Royalty free betekent over het algemeen dat je bijvoorbeeld geen #royalties hoeft af te staan aan de maker van een sample. Dit wil echter nog niet zeggen dat je zomaar alles met de sample mag doen of de naam van de maker niet hoeft te vermelden of registreren bij Buma/Stemra en #Sena. Check dus goed wat de gebruiksvoorwaarden zijn.   #Rechtenvrij bestaat eigenlijk niet, want je kan van sommige rechten niet of maar in heel beperkte mate afstand doen. Deze rechten blijven dus bij de maker, ongeacht of diegene zijn / haar / hun werk verkoopt. Dit is bijvoorbeeld het geval bij morele rechten. Je kan uiteraard wel een en ander afdichten in een #contract, maar dat komt nauw aan op de verwoording en bedoeling ervan. Wat er vaak met rechtenvrij wordt bedoeld, is dat je met een werk (foto, muziek, etc.) mag doen wat je wil, zonder de maker van het werk te vermelden.
