Precedent on Section 94 of Companies Act: Somnath Chatterjee & Anrs. Vs. Sharmila Shetty:
Anirudha Roy, Mr. Ratnesh Raj, Mr. Anu joy Basu, M. Mr. Srinjoy Bhattacharya… on behalf of the appellant Sakhya Sen, Mr. Regards, Mr. Ishaan Saha Mr. Joydeep Mukhopadhyay… on behalf of the other side The erudite 5th Bench of the City Civil Court, Calcutta, passed order No. 37 on March 17, 2017, in T. S. No. 306/2014, which infuriates the revisionist. The defendant in the case, who is the revisionist before this court, submitted an application under ruling VII Rule 10 of the Code, but the learned court below denied it by the contested ruling. Revisionists would contend that, in light of Section 94 of the Companies Act of 2013, the City Civil Court in Kolkata does not have territorial jurisdiction.
The proviso is the only distinction between Section 163 of the 1956 Act and Section 94 of the 2013 Act that is pertinent to this instance. The proviso gives a company the authority to keep its registers and other records, which are typically kept at the company’s cites, or registered office, as well as any other location within the same city (as required by the 1956 Act) or anywhere in India (as permitted by the 2013 Act), provided that the Board of Directors has authorized it to do so. In this regard, there are other conditions that must also be met.
The court has a pleading regarding the company’s shares being kept at its corporate office in Calcutta. The Supreme Court has settled on principles for applying Order VII Rule 10 and 11 of the Code, and there is a presumption of resolution. However, this presumption can only be rebutted during the trial. The court does not interfere with the City Civil Court’s findings to retain the suit. The revisionist’s counsel argues that Section 430 of the Companies Act, 2013 bars civil courts from entertaining suits for cause of action under the Act. The court does not interfere with the order and does not issue a cost order.
Anil Kumar Poddar vs. Bonanza Ind. Ltd. (the rights of shareholder to inspect the company register and documents):
Section 94 of the Companies Act, 2013, which corresponds to Section 163 of the Companies Act, 1956, allows members and debenture holders of a company the right to copies of its documents and registers, including annual returns. In the case of Anil Kumar Poddar v. Bonanza Industries Ltd., the Mumbai Bench of the Company Law Board dismissed an application made by a shareholder who demanded the copies of the company’s registers and records for inspection. The applicant argued that the respondent company had made false allegations against him and that the applicant’s actions were of vexatious nature and his intention was to extract money from them. The respondent company claimed that the applicant was a professional investor who acquired small shareholdings of various listed companies to create nuisance and frighten directors with criminal liability and illegally extract money. The applicant had only acquired 10 shares of the respondent company in June 2013 and had been repeatedly demanding copies of the registers and documents. The Mumbai Bench acknowledged that approximately 150 applications pending were made against various companies by the applicant and found that the information could have been easily obtained from the Ministry of Corporate Affairs portal.
The Company Law Board found the intention of the applicant to be mala fide and dismissed the application on April 16, 2015. The Calcutta High Court also observed that the rights of inspection of document should be exercised in good faith, taking into consideration the company’s best interests.
The Kolkata High Court has restraining applicants from exercising their rights as shareholders, leading to a shift from Kolkata to Mumbai. This decision is a result of previous judgments by the Company Law Board, which barred Anil Kumar Poddar from harassing listed companies in India. Shareholders own the corporation, including all records and property, while the corporation acts as their agent. The intention was to facilitate transparency and good interest, but some individuals take advantage of this right, demanding registers, documents, and costly gifts. Companies face difficulties in accepting vexatious claims, as shareholders have rights while companies have no rights. Companies can follow the Anil Kumar Poddar v. Bonanza Industries case and ask shareholders to obtain necessary information from their company website or MCA website. The decision sends a strong message of good corporate governance and serves as a warning to shareholders who harass companies with mala fide intent.

Companies should also investigate the motives of shareholders seeking inspections and copies of records and seek clarification from the Company Law Board if an ulterior motive appears. The Companies Act, 2013 should have added a definition for shareholders with a minimum number of shares before exercising the right to inspect documents. The judgment has the potential to impact corporate governance by deterring frivolous and mala fide applicants and ensuring that inspections of physical records and registers are only used in exceptional circumstances where the MCA and company’s website do not provide all necessary information. By doing so, companies can avoid wastage of time and ensure good corporate governance.

How Robots Are Learning to Ask for Help
In the evolving world of robotics, a groundbreaking collaboration between Princeton University and Google stands out. Engineers from these prestigious institutions have developed an innovative method that teaches robots a crucial skill: recognizing when they need help and how to ask for it. This development marks a significant leap forward in robotics, bridging the gap between autonomous functioning and human-robot interaction.
The journey towards more intelligent and independent robots has always been hindered by one significant challenge: the complexity and ambiguity of human language. Unlike the binary clarity of computer codes, human language is riddled with nuances and subtleties, making it a labyrinth for robots. For instance, a command as simple as “pick up the bowl” can become a complex task when multiple bowls are present. Robots, equipped to sense their environment and respond to language, often find themselves at a crossroads when faced with such linguistic uncertainties.
Quantifying Uncertainty
Addressing this challenge, the Princeton and Google team has introduced a novel approach that quantifies the ‘fuzziness’ of human language. This technique essentially measures the level of uncertainty in language commands and uses this metric to guide robot actions. In situations where a command might lead to multiple interpretations, the robot can now gauge the level of uncertainty and decide when to seek further clarification. For instance, in an environment with multiple bowls, a higher degree of uncertainty would prompt the robot to ask which bowl to pick up, thereby avoiding potential errors or inefficiencies.
This approach not only empowers robots with a better understanding of language but also enhances their safety and efficiency in task execution. By integrating large language models (LLMs) like those behind ChatGPT, the researchers have taken a significant step in aligning robotic actions more closely with human expectations and needs.
Role of Large Language Models
The integration of LLMs plays a pivotal role in this new approach. LLMs are instrumental in processing and interpreting human language. In this context, they are used to evaluate and measure the uncertainty present in language commands given to robots.
However, the reliance on LLMs isn’t without its challenges. As pointed out by the research team, outputs from LLMs can sometimes be unreliable.
Anirudha Majumdar, an assistant professor at Princeton, emphasizes the importance of this balance:
“Blindly following plans generated by an LLM could cause robots to act in an unsafe or untrustworthy manner, and so we need our LLM-based robots to know when they don’t know.”
This highlights the necessity for a nuanced approach, where LLMs are used as tools for guidance rather than infallible decision-makers.
Practical Application and Testing
The practicality of this method has been tested in various scenarios, illustrating its versatility and effectiveness. One such test involved a robotic arm, tasked with sorting toy food items into different categories. This simple setup demonstrated the robot’s ability to navigate tasks with clear-cut choices effectively.

The complexity increased significantly in another experiment featuring a robotic arm mounted on a wheeled platform in an office kitchen. Here, the robot faced real-world challenges like identifying the correct item to place in a microwave when presented with multiple options.
Through these tests, the robots successfully demonstrated their ability to use the quantified uncertainty to make decisions or seek clarification, thereby validating the practical utility of this method.
Future Implications and Research
Looking ahead, the implications of this research extend far beyond the current applications. The team, led by Majumdar and graduate student Allen Ren, is exploring how this approach can be applied to more complex problems in robot perception and AI. This includes scenarios where robots need to combine vision and language information to make decisions, further closing the gap between robotic understanding and human interaction.
The ongoing research aims to not only enhance the ability of robots to perform tasks with higher accuracy but also to navigate the world with an understanding akin to human cognition. This research could pave the way for robots that are not only more efficient and safer but also more in tune with the nuanced demands of human environments.

Go Surendra Sae (23 January 1809 - 28 February 1884) was an Indian progressive who consumed his time on earth battling contrary to English rule in India. Go Surendra Sae and his partners Madho Singh, Kunjal Singh, Airi Singh, Bairi Singh, Uddant Sai, Ujjal Sae, Khageswar Dao, Karunakar Singh, Salegram Bariha, Govind Singh, Pahar Singh, Rajee Ghasia, Kamal Singh, Hati Singh, Salik Slam Bariha, Loknath Panda/Gadtia, Mrutunjaya Panigrahi, Jagabandu Hota, Padmanave Master, Trilochan Panigrahi and numerous others cooperated and independently to counter English pioneer extension in India, keeping the English specialists from taking command over most of Western Odisha district for a critical timeframe. Antiquarians have noticed that Sae has gotten more historiographical consideration than those of his counterparts in their battle contrary to English rule. A large number of them were attempted and executed by the provincial specialists; Hatte Singh passed on in the Fume Island in the Andamans. Lion of Sambalpur Go Surendra Sai passed on in Asirgarh Prison on 28 February 1884.
Sae was brought into the world on 23 January 1809 in a town called Khinda around 40 km toward the north of Sambalpur, Odisha. He was one of the seven offspring of Dharma Singh. The family was important for the Sambalpur state administering clan.He had a place with the branch started by Anirudha Sai child of Madhekara Sai, leader of Sambalpur.
