Do you ever wonder about the long journey your daily cup of coffee originated from before it reaches your favorite coffee mug? Before it’s roasted in processing plants, and then sent to your favorite coffee shop or store, it makes a very long journey. It might be from the mountains of South American countries like Peru or Brazil, or from the deep forests of Africa. Beginning as red arabica berries from coffee plants, they are hand picked and gathered, and then shipped by freight carriers across the seas to end up in processing plants across the USA, and then finally end up being ordered and shipped by truck to your favorite neighborhood coffee shop or store. I created this new illustration to capture the long journey and finally end up as pour-over or packaged coffee. Perhaps this barista ponders the long and arduous journey his coffee had to make and imagines the mountains and jungles the beans had to have come from across the Atlantic ocean as he pours over your cup to serve you.

LEGAZPI CITY -- The Securities and Exchange Commission-Legazpi Extension Office (SEC-LEO) has presented options to businessmen to register as a one-person corporation.

Lawyer Norma A. Tan-Olaya, SEC-LEO Officer-in-Charge, in an interview on Thursday said under the guidelines prescribed by SEC Memorandum Circular No. 7 Series of 2019, limited liability may be enjoyed by the corporation as a separate personality distinct from the owner/stockholder.

"This means that in case of bankruptcy or inability to pay debts, the creditors of the corporation may only go after the assets of the corporation, thus, the assets of the owner/stockholder registered in his/her name and not considered as assets of the corporation are protected while this limited liability is not enjoyed by a sole proprietorship wherein creditors may go after the assets of the business owner/sole proprietor," she said.

The SEC-LEO recently issued a Certificate of Incorporation to Star Events and Exhibits, the first one-person corporation in Bicol Region with Celina B. Arabaca as sole incorporator and stockholder.

"If you don't have a partner and you want to have a corporation, it is now possible under the one-person corporation," Olaya said.

She said in view of the enactment of Republic Act 11232, or the Revised Corporation Code of the Philippines, the minimum number of incorporators of at least five persons has been removed, as well as the requirement that incorporators should be natural persons, prescribed under the now-repealed Batas Pambansa No. 68, or the Corporation Code of the Philippines.

Olaya urged those interested to register as one-person corporation or a corporation with two to four incorporators and/or with juridical persons as incorporators, to visit the SEC website @ www.sec.gov.ph or the SEC Legazpi Extension Office located at the Second Floor Chiniel (AVON) Building, Rizal Street, Albay District, Legazpi City or call (052) 480 - 8272. LEGAZPI CITY (PIA) — For the first time in Bicol Region, a single stockholder has successfully registered its firm with the extension office here of Securities and Exchange Commission (SEC).

SEC’s Legazpi Extension Office (SEC-LEO) issued a certificate of incorporation to Star Events and Exhibits, a one-person corporation (OPC) because it has only one incorporator.

OPC is considered a special corporation with only one incorporator and stockholder. Its incorporation is granted to a natural person, trust or an estate.

SEC-LEO Officer-in-Charge Norma A. Tan-Olaya said the OPC gives an option to businesses registered as sole proprietorship with the Department of Trade and Industry to register as a corporation with SEC.

The incorporator can avail himself of the limited liability enjoyed by the corporation as a separate personality distinct from the owner or stockholder.

“This means that in case of bankruptcy or inability to pay debts, creditors of the corporation may only go after the assets of the corporation. Thus, the assets of the owner registered in his or her name are protected,” Tan-Olaya explained.

Also awarded with a certificate of incorporation was a firm with only two incorporators, the Manjares and Layderos Builders Inc.  

Tan-Olaya said the registration of corporations with less than five incorporators was based on RA 11232 or the Revised Corporation Code of the Philippines.

RA 11232 allows any person, partnership or association to organize a corporation for any lawful purposes provided that they are not more than 15 in number. It also requires that applicants must be natural persons of legal age who are licensed to practice a profession.

Tan-Olaya said the new law repealed the 39-year-old Batas Pambansa No. 68, or the Marcos-era Corporation Code of the Philippines, where there should be not less than five but not more than 15 incorporators.

Incorporators are those stockholders or members mentioned in the articles of incorporations who will serve as signatories originally forming and composing the corporation.

SEC-LEO Information Officer Glorei Lindio advised those interested to register a One Person Corporation, a corporation with two to four incorporators or those with juridical persons as incorporators to visit their office. (PIA5)
