Names too similar to existing companies (Rule 8) | Legal Terminus

The draft rules under the Companies Act, 2013 provide clear guidelines for naming different types of companies, like Private Limited Companies, One Person Companies, and Limited Companies. For a company’s name to be approved for incorporation, it must meet two main criteria: it must be unique and desirable. Accordingly, the Companies Act, 2013 outlines these guidelines in three rules, one of which is described below:

Naming guidelines as per Rule 8 under the Companies Act, 2013;

This rule states that names that are too similar to the name of an existing company will not be approved. 

A name applied for shall be deemed to resemble too nearly with the name of an existing company, if, and only if, after comparing the name applied for with the name of an existing company by disregarding the matters set out in sub-rule (2), the names are the same.

The following matters are to be disregarded: 

the words like Private, Pvt, Pvt., (P), OPC Pvt. Ltd., IFSC Limited, IFSC Pvt. Limited, Producer Limited, Limited, Unlimited, Ltd, Ltd., LLP, Limited Liability Partnership, company, and company, & co, & co., co., co, corporation, corp, corpn, corp, group;

whether a word is in the plural or singular number in one or both names;

the order of words in the names;

On Sunday, the wife of incarcerated Delhi Chief Minister Arvind Kejriwal, Ms. Sunita Kejriwal claimed that her husband is not being provided with insulin in the Tihar jail because plots are being planned to kill him.

She was addressing the INDIA bloc rally in Ranchi where she said that every morsel eaten by Arvind is being monitored.

She also said that arresting Arvind Kejriwal without any evidence is pure dictatorship. She added that Arvind is an IITian and had every chance to go abroad and settle but he chose to be in his home country.

“They've put Arvind Kejriwal and Hemant Soren in jail. They've put them in jail without them being proven guilty. This is a dictatorship. What is the fault of my husband? Is it providing good education and health facilities? Patriotism is in his blood. He is an IITan, he could've gone abroad, but he prioritizes patriotism. As IRS, he took leaves to do public service. He has put his life at stake for people,�� she said.

Calling her husband a lion, Sunita said that even in jail, he is worried about his country. She also added that Arvind has no desire for power and money.

"Many people say that this is difficult. 'Jail ke taale tutenge, Arvind Kejriwal, Hemant Soren chhutenge...' Politics is a very dirty thing. There is a camera on his food. Every morsel is being monitored... He is a sugar patient and he has been taking 50 units of insulin every day for the last 12 years. But he is not being given insulin in jail. They want to kill Delhi's CM. They cannot understand Arvind Kejriwal's thoughts... He is very brave. He is a lion... He is worried about 'Bharat Mata' even in jail," Sunita Kejriwal said.

She was born in Ranchi, to a middle-class family originally from Arrah, Bihar. Anjana Om Kashyap's husband's name is Mangesh Kashyap. Mangesh is a senior police officer who works for Delhi police and is also the chief of the surveillance unit.
