What is an📈 ESPP (Employee Stock Purchase Plan)

An ESPP (Employee Stock Purchase Plan) that qualifies under Sections 421 and 423 of the Internal Revenue Code (the “Code”) enables participating employees to purchase their employer’s stock at a discount from the fair market value through deductions from their paycheck.

Participation in the ESPP is voluntary. An employee can participate in the company’s ESPP by enrolling in the Stock Purchase Plan. During the enrollment period, employees can specify their contributions which generally range from 1-15%. Contributions are made through employees’ payroll withholding and the contribution amounts are determined by multiplying eligible compensation by the elected contribution percentage elected during the enrollment period.

KEY TERMS ASSOCIATED WITH ESPP:

Offering period: Most ESPP plans consist of an offering period, also called the purchase period. During this period, after-tax contributions are collected and accumulated through the end of the purchase period and used to buy employer’s stocks. For administrative purposes it is usually better for the company to purchase shares at the end of the period rather than purchasing it several times during the period. Prior to the start of the offering period, eligible employees must indicate if they are going to participate in the plan.

Employees remain enrolled for future offering periods until they withdraw from the ESPP or are no longer an employee.

Built-in-discount and Lookback provision: Most ESPP plans, depending upon the company’s discretion, have a built in discount which ranges from 10% to 15%. This creates an instant gain for all participants when they purchase stock.

The lookback provision is used to set the purchase price of the stock. It compares the share price at the beginning of the offering period to the closing price and uses the lower price to calculate the purchase price.

ESPP Contribution Limits: The IRS limits the purchase of stock in a tax-qualified Section 423 ESPP to $25,000 per calendar year.

Each ESPP plan is unique and its always best to consult plan documents for details since the eligibility for the ESPP and the specific terms and conditions of the plan can vary depending on the individual employee's situation and location. Investment in ESPP is similar to an investment in stocks so it suffers from stock market volatility.

An opinion piece that touches on some important points for self publishing authors, by Andrew Orr, published in The Mac Observer.

Here are some ideas I have to improve iBooks in iOS 11, because I want to see it succeed. As an avid reader, I was disappointed that there was nary a mention of iBooks at WWDC 2017. I’m not just talking about the app, I’m referring to Apple’s eBook ecosystem as a whole. I think improvements can be made in both areas, and that Apple could give iBooks a bigger presence in physical Apple stores.

When it comes to books—or any type of content—the two most important features for people are discovery and sharing. The App Store is getting a major redesign in iOS 11, one designed to make it easier to discover new apps and games. I’d love to see Apple bring the same attention to iBooks. A new UI could feature eBooks and audiobooks in new ways and make it easier for readers to figure out what to read next.

Another change coming to iOS 11 is the camera. We saw how the iPhone camera will be able to scan QR codes and Wi-Fi router codes. When it comes to iBooks in iOS 11, I want to be able to scan a book’s barcode/ISBN number and be taken to the iBooks version.

Now, to the iBookstore ecosystem. Apple should make it easier to self-publish on iBooks. I’ve never personally used the iBooks Author app, but the consensus among many users is that it produces gorgeous books, but is difficult to use. Apple should also take a cue from Amazon and make iBooks the premier platform for self-publishing. While it’s possible to self-publish on iBooks today, the process is not as easy as it is on Amazon Kindle.

Some will disagree, but Apple could take another cue from both Amazon and Apple Music by offering monthly iBooks subscriptions. I know next to nothing about the publishing industry, so I don’t know if a monthly subscription like this would benefit authors or not. But it’s worth thinking about, and Amazon already does it with Kindle Unlimited.

iBooks should also have better recommendations. I know people consume books and music differently, but I’d like to see a weekly or monthly For You book playlist (or “readlist”) that suggests books I might like to read next. Shareable readlists would also be terrific. It could help harness the power of friend-to-friend recommendations that has long driven book sales, just as much as it has helped music.

Currently, iBooks has a “More Books You Might Like” section under the Featured tab, but the suggestions are awful and I almost never browse through them. Using machine learning, Apple could scan my iBooks purchases and recommend books based on genre, popularity or other factors. Apple may already be doing this—or something like it—but recommendations on iBooks needs to improve.

These are just a few features I think could improve iBooks in iOS 11 and beyond across iPhone, iPad and Mac. This is just part one. In part two, The Mac Observer’s editor-in-chief Bryan Chaffin will explore how Apple could showcase iBooks in Apple Stores.

Financial Statements Staleness

There are four main financial statements:

Balance sheets;

Income statements;

Cash flow statements; and

Statements of shareholders’ equity.

Financial statements are considered stale when they are too old to be used in a filing such as a registration statement or periodic filings such as 10-K, 10-Q, proxy and others required by the US Securities and Exchange Commission (SEC). Per Regulation C, Rule 417, if the staleness date falls on a holiday or weekend, then the staleness date is extended to the next business day, see SEC Financial Reporting Manual . The age of financial statements is based on the effective date of the filing. The SEC Staff has a policy against commencing review of a filing if the financial statements are stale on the filing date.

The statelessness date for companies with December 31 as fiscal year end looking to do an Initial Public Offering (IPO), the year end financials become stale 135 days after year end. For example a company with December 31, 2022 as fiscal year end should make sure it is registered with the SEC by May 15th (134 days subsequent to December 31 is May 14th and since May 14th falls on a weekend the staleness date is extended to May 15th) - refer to "What is the 135 days rule ?" below.

For companies which are already public, the U.S. Securities and Exchange Commission has divided these into the following filing statuses based on their market cap and reporting history. These companies are subject to periodic reporting requirements and must file annual, quarterly and other current reports with the US Securities and Exchange Commission (SEC). The financial statement staleness dates of each vary based on their filing status.

"What is the 135 days rule ?" Under the 135 day rule an auditor cannot give negative assurance for 135 days or more since the last balance sheet date for which the auditor has performed an audit or review.  Under the 135-day rule negative assurance is available up to and including the 134th day. Since the type of comfort that auditors would be willing to provide will be limited henceafter, it is important for companies  to pay particular attention to the financial reporting cycle and factor this in with the deal timeline. Most underwriters will often be unwilling to proceed with the deal if they do not receive negative assurance.
