What a coincidence (not!) I just answered a very similar Anon sent to @bat-cat-reader, which I suppose is clear enough.

But to make it even clearer (if at all possible) and keeping in mind what I wrote in that post about Persons of Significant Control, let's check a couple of things, shall we? For all the three other companies C owns.

They probably split 50/50 already, which would explain the rather vague 'has significant influence or control'. Why?

Here is why:

The currently available Balance Sheet, covering the period until 31 December 2023 shows there is not much in there. Barely 100 shares (1£/share), about 59K £ assets and 11 K £ of debts. May I remind you a balance sheet covers the company's assets (available funds, including incoming funds), liabilities (debts) and shareholder equity (the company's net worth, which is roughly the result of subtracting liabilities from assets and dividing them by the number of shareholders). The net worth serves to describe what each and every one of those shareholders are entitled to, should the company be liquidated and all its debts paid off. In this case, the retained earnings, which is the figure quoted between brackets (11.292 £) means the company is in debt/in the red.

Now, this is very interesting, Anon. Albeit The Happy Couple ™ are now both appointed officers in this company (and T has been so since October 1st 2024), this company's designated PSC is ... Byron Benirras. And who is Byron Benirras' own designated sole PSC? A certain Caitriona Mary B. That is normal - serious 💷💷is indirectly involved, this time, as we know the bulk of her assets is placed there. Therefore, C has full control and sole ownership of Little Nugget Films, too, via Byron Benirras. Remember (ROFLMAO): a legal person (i.e. a company, in this context) has the same rights and the same obligations/duties as the natural (meaning 'real') person behind it (C).

Let's have a look at financials:

On 31.03.2023, the company's assets were about 2.500 £ only and its liabilities around 17K£. In debt/in the red, too. But a clear will to remain in firm control of things from C's side.

This appears to be a totally, carefully planned move, too - future plans, perhaps?

This company has not two, but three appointed officers, one of which is another specialized service company (perfectly legal, in the UK), in charge of all the secretarial work (perfectly legal, too):

Such a nice, tidy, even split. Why? Heh, indeed: why? Unless...

Let's have a look at the company's balance sheet on 31 March 2023:

Unless you do acquire real estate using your own funds (a very easy cross check with another one of C's companies reveals the exclusive provenance of those funds - sssh!), no mortgage and no bank loan needed. Property that is legally defined as investment property, which means it cannot legally be a home, nor taxed as such:

Now remind me what real estate might have been bought anytime between 31 March 2022 and 31 March 2023 and valued at about 2.120.000 £?

Some simple maths?

2.292.567 (amounts falling due within one year, which covers the 31.03.2022 -31.03.2023 period) - 2.167.392 (net current liabilities) = 125.175 £ (cash at bank). Roger that. I think there is also a second investment property, bought before 31 March 2022 for 1.6 million pounds and shown as such (valued at cost first, then at its fair value, which is evaluated at 1.9 million pounds, in 2023 - a nice appreciation of the initial investment).

I hope this answers your question, Anon. And given the very long and very emotional day that ended (whew, already?) about four hours ago, I hope I didn't miss something or make any gross mistake. You know how some other Anons can be, don't you?

Been sitting on this for a while but now I can finally share. I was asked to produce the cover art for Tambores En Benirras' second album Ondas Horizontales.

This is a dream come true for me and I'm still finding it extremely surreal seeing my work on iTunes and Spotify.

Ever since little 14 year old me discovered The Used's In Love and Death album, whose gorgeous album art was done by the amazing Alex Pardee, have I wanted to make an album cover, a dream I thought I would never achieve yet here I am.

Hi. I'm King Charles again, just letting you know in our gala dinner we arranged for Prince George to marry Princess Boo HB. There's only a 3 year difference between and they are both royals born in July. Daddy S and I (with the help of Diana's niece) we thought it would be a great match for United Kingdom celebrating England, Scotland and Ireland.

Her veil is gonna have bluebells and ladybugs embroidered and honeymoon is gonna be in Benirras, Ibiza.

Negli anni ha portato a casa tanti successi. Ne citiamo solo due: "Atom" dei suoi Nari & Milani è uno brani simbolo dell'elettronica degli anni '10 del 2000 (uscì nel 2012). "Sunshine & Happiness" di Nerio's Dubwork, uscita nel 1999, rappresenta invece la musica di fine anni '90 grazie al ritmo incalzante  ed alla voce unica di Darry Pandy... Tutto questo sarebbe abbastanza per quasi tutti. Non per Nari. Che infatti mica si vuol fermare. 

"Acetone, la label che ho creato con Jens Lissat e porto avanti con l'importante supporto di Stefano Tosi va molto bene, anche se devo dire che nell'ambito funky house su Beatport la battaglia è sempre più dura, perché si sono risvegliati i big", racconta Nari. "E' diventata una gara a chi fa il disco più bello e forte è più dura... e senz'altro l'abbiamo iniziata noi, che in meno di due anni con Acetone siamo già riusciti a diventare un punto di riferimento".

Mentre scriviamo al numero 2 di Beatport Funky House c'è un pezzo di Acetone, c'è "Soul" di Max Milian e SWS e in top ten c'è pure "Benirras" di Nari e K.A.M.A.. "Abbiamo in uscita diverse tracce in cui crediamo molto. E siccome la musica non basta, ci stiamo concentrando anche sugli accordi internazionali. Per questo parteciperemo all'Amsterdam Dance Event, l'ADE, un meeting fondamentale per noi addetti ai lavori della dance.  Abbiamo già fissato diversi incontri importanti, con grandi label musicali di diverse parti del mondo: una americana, una europea ed una del Sud Est Asiatico. Se riuscissimo a chiudere anche un solo accordo sarebbe un risultato importantissimo!".

A che punto della tua carriera ti senti?

"Sono già molto soddisfatto di quello che ho creato con progetti che partivano da zero. Per questo oggi forse preferisco guardare al passato con gli artisti di Acetone, che sono tutti dj esperti e pure dare una mano a giovani talenti, nell'evolvere il proprio talento. Un paio con cui sto collaborando sono davvero forti. Per qualcuno di loro sono in ballo anche collaborazioni internazionali, che non cito per scaramanzia. E' bello lavorare anche sulla musica di altri".

Fare sempre le stesse cose forse annoia?

"Non lo so, so che a 55 anni un dj è giusto che si guardi intorno e inizi anche a fare altro. Ad esempio io mi occupo anche di video, sono socio in una scuola di cinema, Scuola Cinema Cesena. Il mio socio è un importante regista teatrale ed è stato lui che mi ha chiesto se mi interessava far parte di questa avventura. Io ho detto sì ed abbiamo ottimi risultati. Anche nell'ambito del cinema far crescere il talento altrui dà soddisfazione".

Come vedi il panorama musicale attuale?

"Invece di dire le solite banalità, ovvero che ieri la musica era migliore di quella di oggi, mi limito a dire che spesso i top dj oggi rielaborano idee del passato musicale. Qualche esempio? Hugel non ha mai pubblicato un pezzo di successo assoluto totalmente originale, proprio come David Guetta negli ultimi anni. Uno dei motivi di questa situazione credo sia che ogni locale ed ogni festival oggi ha una sua anima musicale. Invece "Don't You Worry Child" degli Swedish House Mafia, uscita 10 anni fa, la suonavano tutti: il festival musicale elettronico ed il locale 'commerciale' sul mare."
