The sale of Simon & Schuster appears to be nearing a suspenseful conclusion, like the final chapter of a page-turner from one of the country’s largest and most prestigious publishing houses.

Second-round bids for Simon & Schuster — which publishes boldface names like Stephen King — were due earlier this week, according to three people familiar with the negotiations, who spoke on the condition of anonymity to discuss the confidential sale process. Two of them said the remaining bidders included KKR, one of the world’s largest private-equity firms, and News Corp, the owner of HarperCollins, a competing publishing house.

The sale process is expected to conclude in the coming weeks, the people said.

A sale would put an end to years of uncertainty for Simon & Schuster, which is owned by Paramount (formerly ViacomCBS) and was initially put up for sale in early 2020.

How much suitors for Simon & Schuster were willing to pay couldn’t be determined. The last time the publisher went on the block, rival Penguin Random House agreed to pay $2.2 billion, but the Department of Justice stymied that deal.

The deal with Penguin Random House, the largest publisher in the country, was widely expected to sail through regulatory hurdles. But the Biden administration sued to stop the acquisition, arguing it would be bad for authors whose books are expected to be big sellers.

A federal judge sided with the government last fall and blocked the sale, an outcome cheered by antitrust activists and industry groups. It was a major victory for the Biden administration, which is pursuing an aggressive antitrust strategy.

Penguin Random House declared its intention to appeal the decision, but Paramount opted instead to put Simon & Schuster back up for sale. Because the deal did not go through, Penguin Random House had to pay Paramount a $200 million termination fee — a cost on top of the untold millions that it had already spent in court. Weeks after the deal fell apart, the chief executive of Penguin Random House resigned.

Simon & Schuster, one of the five largest publishing houses in the United States, remained a highly attractive company to buy. It publishes writers like Don DeLillo and Bob Woodward, along with blockbuster authors like Colleen Hoover, and has outperformed competitors even as print sales have stagnated across the industry. In the first quarter of 2023, sales rose 19 percent from a year earlier, to $258 million. Financial results at most other major houses, by comparison, were disappointing.

Selling to HarperCollins could pose a risk for Paramount. HarperCollins, like Simon & Schuster, is also one of the so-called Big Five publishers that dominate the commercial side of the business. A merger could trigger the same consolidation concerns from the government as the deal with Penguin Random House.

But while HarperCollins is the second-largest publishing company, it is much smaller than Penguin Random House, so the jump in market share would be less drastic and, perhaps, less troubling to the government.

Accepting an offer from a private equity firm like KKR could allow Paramount to avoid such regulatory challenges.

KKR has a history in the books business. In 2018, it paid about $500 million to acquire RBmedia, an audiobooks publisher. KKR said last week that it was selling RBmedia to H.I.G. Capital, a Miami-based investment firm, for $1 billion.

Publishing has seen tremendous consolidation in recent years, and many in the industry are worried about the impact of the sale of Simon & Schuster on the literary landscape.

Penguin Random House itself is the result of a 2013 merger between Penguin and Random House. After the merger, several other companies bulked up as well. Some antitrust experts predicted that the Justice Department’s success in preventing Penguin Random House from buying Simon & Schuster would put a damper on major consolidation in the industry.

Paramount has sold off many of its properties in recent years as it hones its focus on video-streaming services including Paramount+ and Pluto TV. The company has said it intends to reinvest some of the cash from selling these properties — including Simon & Schuster, the tech site CNET and the longtime CBS headquarters in Manhattan known as “Black Rock” — into its subscription streaming business, which is growing quickly but still unprofitable.

Milestone Monday

Today, January 9, is the birthday anniversary of Joseph Strauss, the American engineer who was the principal designer of the Golden Gate Bridge, who was born in 1870. He was a major innovator in bridge design, especially of the bascule bridge. He faced many challenges with the Golden Gate, including the great distance of the span, the unprecedented height of the bridge, and the sheer force of the Pacific Ocean. He knew this would be an extremely hazardous undertaking and he insisted on having a safety net beneath the construction site, which ended up saving 19 lives. But perhaps his biggest challenge was the staunch opposition he faced toward the project, and he spent more than 10 years drumming up support. Construction finally began in January 1933 and the bridged open on May 27, 1937. Strauss died almost a year later on May 16.

In commemoration we present the 1998 artist’s book Opening Day by Colleen Mullins, printed in Minneapolis in an edition of 500 copies with the financial support of the Women’s Studio Workshop of Rosendale, N.Y. Mullins made the book in honor of her father Clement A. Mullins, a 30-year Senior Architect for the City and County of San Francisco, who was suffering from dementia. He could remember in great detail crossing the Golden Gate Bridge on opening day in 1937, but he could not recall doing the same with his daughter in 1987 on the bridge’s 50th anniversary. The artist writes: “This book is dedicated to Clem, so that he might remember me, and that he might remember himself.” Mullins uses the expanse of the bridge as a metaphor for the expanse of lives and family relationships. The photographs are by both father and daughter.

New book! The history of photography, restaged with toilet paper, has just arrived. The artists Christy McDonald, Colleen Mullins, Jenny Sampson, and Nicole White produced this humorous and sharp reinterpretation of the canon during the height of the Covid-19 pandemic, with an unexpected symbol for a global crisis: the toilet paper. “Over the course of a year that demanded we think more critically about inclusion, the project became something far greater than the sum of its parts: a series of four individual artists’ interpretations of great works from the history of photography posted on Instagram merged into a collective reflection on the writing of that history itself,” writes the historian Corey Keller in the preface. Harmonic Drive relocates to its new home

Harmonic Drive Gearbox LLC, a company that specialises in motion control, has decided to relocate its headquarters from Peabody to Beverly.

Officials celebrated the opening of a brand new headquarters and manufacturing plant at 42 Dunham Ridge last week by cutting the ribbon on the facility.

It seems that the company that is responsible for manufacturing gearheads, gear component sets, and servo actuators is going back to its roots. C. Walton Musser developed the strain wave gear in the 1950s, and the strain wave gear that led to the creation of Harmonic Drive's products was later commercialised at the company that was formerly known as United Shoe Machinery Corp.

On Elliott Street, in the vicinity of what is now the Cummings Center business park, stood a bar known as "The Shoe."

According to Bob Mullins, vice president of sales for Harmonic Drive, "So, in effect, our company originated in Beverly in 1960, and it is returning home to Beverly after 60 years."

"This building was a major step along that path of continuing that responsibility to not only Mr. Musser's legacy, but also to our local community and employees at our new home in Beverly," said Mullins. The business will have moved its operations from two buildings in Peabody, located on Lynnfield Street and Fifth Avenue in Centennial Park, to its new headquarters in Beverly by the end of the month of August.

There are approximately 140 people working for the company across the United States, with 130 of them located on the North Shore. According to the marketing manager for the company, Colleen Anderson, approximately ten percent of the local workforce has relocated to Beverly.

Anderson anticipates that employment opportunities will become available within the organisation after it has moved into its new headquarters and begun expanding operations. In point of fact, the creation of new jobs was a critical factor in securing a tax break from the city, which helped to partially offset the costs associated with the relocation.

Finance based on an increase in taxation

Aaron Clausen, Director of Planning for the city of Beverly, explained that the city makes use of tax increment financing to assist in the creation, maintenance, or recruitment of significant investment or employment in fields such as advanced manufacturing.

In accordance with the terms of a tax increment financing, also known as TIF, agreement that Harmonic Drive entered into with the city in 2017, the company committed to making an investment of at least $28,570,500 in property, plant, and equipment. In addition to this, the company promised to create 80 full-time positions by the year 2022 and to relocate 112 employees to the Beverly area. The company has already expanded, which has resulted in the creation of one third of those positions.

The tax break was applied, in its entirety, to the property that had been improved. The land alone, without the new building, was estimated to be worth approximately $3 million by the city, while the construction of the building and site work combined with the land was estimated to be worth approximately $10.5 million. The exemption was applied to the surplus, which was more than seven million dollars.

In addition to the valuation of the land as a starting point, Clausen stated in an email that "property taxes would be assessed at over 90 percent of the added value following construction."

The TIF exemption amounts to 10% of the property's improved value for each of the first three years of the programme. During the subsequent three years of the agreement, the exemption will decrease to 7.5% of the improved value before falling further to 5% during the agreement's final four years.

According to Clausen, "given that the tax benefit is reduced throughout the 10-year period, the property tax revenue to the city is over 90% of the increased value." This is because the tax benefit is reduced over the course of the period.

According to the state Executive Office of Housing and Economic Development, the Economic Development Incentive Program did not provide any state tax incentives to the Harmonic Drive development project.
