Investors Charged with Insider Trading in Truth Social Deal - Trouble Hits Trump's Twitter Rival

In a shocking turn of events, it seems that the truth has eluded more than just Donald Trump. While the former president is entangled in legal battles, the Securities and Exchange Commission (SEC) has brought charges against three investors involved in the plan to take Trump's budding Twitter alternative, Truth Social, public. These investors, namely the Shvartsman brothers, Michael and Gerald, along with their associate Bruce Garelick, allegedly raked in a staggering $23 million in October 2021, using confidential information about corporate maneuvers. Their actions have been deemed a violation of insider trading rules and confidentiality agreements. Notably, the SEC has made no accusations against Trump himself or his company, and Trump Media & Technology Group Corp., the entity owning Truth Social, has not yet responded to requests for comment. Trouble first began brewing at Digital World Acquisition Corporation (DWAC), the company responsible for transforming Truth Social into a red-hot tech stock, back in December 2021. It was then that the trio of traders allegedly breached the trust of their DWAC partners and sold the shares they had acquired based on privileged information. Since then, DWAC's securities have struggled to garner interest, with the company now relying on Fox News reports of Trump's commitment to not return to Twitter as evidence of its viability. In fact, the Nasdaq even threatened to delist the company in March. Presently, DWAC shares trade at just under $13, only slightly higher than the price at which the indicted investors initially bought in. What makes this alleged insider trading scheme particularly egregious, according to the SEC, is that Garelick served on the board of directors at DWAC, a company established solely for the purpose of merging with Trump's social media venture. The three individuals had privileged access to the merger plan before it became public, enabling them to acquire hundreds of thousands of stakes and profit handsomely afterward. In a press release, Gurbir Grewal, director of the SEC's Division of Enforcement, stated, "This case demonstrates the Commission's ongoing commitment to exposing insider trading wherever it occurs." The New York Times reported that the Shvartsman brothers have enlisted the services of attorneys Grant Smith and Robert Buschel, renowned for their representation of Roger Stone, a political trickster who has long been a formal and informal advisor to Trump. Smith declined to comment on the charges on behalf of his clients, while a lawyer for Garelick has yet to respond to requests for comment. The implications of this case reverberate beyond the courtroom, raising questions about the integrity of Truth Social and its aspirations to challenge established social media giants.
