Proceedings of the 48th Annual General Meeting of BCL Industries Limited
On September 19, 2024, BCL Industries Limited held its 48th Annual General Meeting (AGM) at 2:00 PM. For the convenience of shareholders and in compliance with regulations, the AGM was conducted through Video Conferencing (VC) and Other Audio-Visual Means (OAVM), allowing shareholders to participate remotely.
The meeting was chaired by Mr. Parampal Singh Bal, Chairman of BCL Industries. Other prominent members of the Board present included Mr. Rajinder Mittal, Mr. Kushal Mittal, Mr. Sat Narain Goyal, Mrs. Neerja Jain, and Mr. Kahan Singh Pannu. Additionally, the meeting was attended by the Company's Secretary, Mr. Ajeet Kumar Thakur, and external representatives such as Mr. Rajat Mohan, the Statutory Auditor, and Mr. Sourabh Parnami, the Scrutinizer for the meeting.
A total of 53 members were in attendance, meeting the required quorum for the AGM to proceed. The Company Secretary, Mr. Thakur, began the proceedings by formally introducing the Directors, Auditors, and Scrutinizer to the shareholders and other participants. The rules and procedures governing the AGM, including instructions on e-voting, were then outlined. It was highlighted that statutory records, such as the Register of Directors, Key Managerial Personnel, and contracts with related parties, were available for online inspection by the shareholders throughout the AGM.
The Company had previously circulated the Notice of the AGM, which contained the agenda and explanatory statements required under Section 102 of the Companies Act, 2013. The Chairman and other key figures, including Mr. Rajinder Mittal and Mr. Kushal Mittal, addressed the attendees, providing a detailed overview of the Company's performance and outlining future strategic plans.
During the AGM, the Company Secretary informed shareholders that remote e-voting was available ahead of the meeting. For shareholders who had not exercised this option, an e-voting facility was available during the meeting itself. The Scrutinizer, Mr. Sourabh Parnami of M/s S. Parnami & Associates, was responsible for overseeing both the remote e-voting and the real-time e-voting process at the AGM.
The following resolutions, as outlined in the Notice, were presented for consideration:
Adoption of the Audited Consolidated and Standalone Financial Statements for the fiscal year ending March 31, 2024, along with the Reports of the Auditors and Board of Directors. Approval of a final dividend of 25 paisa per equity share with a face value of Rs. 1 each, for the fiscal year 2023-24. Reappointment of Mr. Kushal Mittal (DIN: 07276145) as a Director, who retired by rotation and offered himself for reappointment. Special resolution for the reappointment of Mr. Rajinder Mittal as Managing Director for five years. Special resolution for increasing the remuneration of Mr. Rajinder Mittal. Special resolution for increasing the remuneration of Mr. Kushal Mittal. Special resolution for the reappointment of Ms. Neerja Jain as an Independent Director. Special resolution for the appointment of Mr. Kahan Singh Pannu as an Independent Director. Ordinary resolution for the ratification and approval of the remuneration payable to the Cost Auditors. Following the presentation of the resolutions, the meeting moved to a session where pre-registered shareholders were invited to share their thoughts and ask questions regarding the Company's operations. Four shareholders took part in the discussion, and their questions were promptly addressed by the management team.
The Company Secretary then initiated the process for electronic voting. The Scrutinizer, Mr. Parnami, was tasked with overseeing the orderly conduct of the voting process. Shareholders were informed that the results of the e-voting, along with the consolidated Scrutinizer’s report, would be shared with stock exchanges (NSE/BSE) and published on the Company’s website.
The AGM concluded at 2:58 PM, with the e-voting facility remaining available for an additional 15 minutes to allow for the completion of the voting process. After this, the Scrutinizer took control of the e-voting data to finalize the results.
