A company owned by the Union Government of India, or one of the many state or territorial governments, or both is known as a Public Sector Undertaking (PSU) or a Public Sector Enterprise. The government must own a majority stake in the company for it to become a PSU. All PSU‟s are divided into 2 categories – Central Public Sector Enterprise (CPSEs) and State Level Public Enterprise (SLPEs). The Central Public Sector Enterprises (CPSEs) are established by the Government of India (GOI) as government companies under Section 617 of the Companies Act, and wherein the equity holding of the government is more than 50 per cent. The government provides certain PSUs with additional financial autonomy and comparative advantage to support them and enable them to compete in the global market.
As of 2010 the government has created three categories – Maharatna, Navratna, and Miniratna under which well performing PSU’s is categorized based on if and how they satisfy certain qualifications as ascribed by the Ministry of Heavy Industries and Public Enterprises. This categorisation entitles the company boards to undertake investment decisions up to a limit (depending on the status) without seeking government permission.
The investment benefits for various categories are as mentioned below:
• Maharatna: Companies can take investment decisions up to Rs. 1,000 crore – Rs. 5,000 crore or 15% of their net worth in a project.
• Navratna: Companies can take investment decisions up to Rs. 1,000 crore or 15% of their net worth on a single project or 30% of their net worth in the whole year.
• Miniratna-I: Companies can take investment decisions up to Rs. 500 crore or equal to their net worth, whichever is lower.
• Miniratna-II: Companies can take investment decisions up to Rs. 300 crore or up to 50% of their net worth, whichever is lower.
The following are the criteria that must be met to attain the status of a Ratna:
Miniratna: Miniratna Category I: The CPSE should have made profit in the last three years continuously, the pre-tax profit should have been Rs. 30 crore or more in at least one of the three years and should have a positive net worth.
Miniratna Category II: The CPSE should have made profit for the last three years continuously and should have a positive net worth.
These CPSE will have enhanced delegated powers provided they meet the following eligibility conditions and criteria:
• They have not defaulted in the repayment of loans/interest payment on any loans due to the government.
• These public sector enterprises shall not depend upon budgetary support or government guarantee.
• The boards of these CPSEs should be restructured by inducting at least three non-official directors as the first step before the exercise of enhanced delegation of authority.
• The administrative ministry concerned shall decide whether a public sector enterprise fulfilled the requirements of a Category I/Category II company before the exercise of enhanced powers.
Navratna:
• The entity must have Miniratna Category – I status along with Schedule „A‟ listing.
• At least three „Excellent‟ or „Very Good‟ Memorandum of Understanding (MoU) ratings during the last five years.
• The PSU must have a composite score of 60 or above out of the possible 100 marks in the six selected performance parameters, namely :-
a. Net Profit to Net Worth
b. Manpower Cost to Cost of production or services
c. Gross Margin as capital employed
d. Gross Profit as Turnover
e. Earnings per Share
f. Inter-Sectoral Comparison based on net profit to net worth
Maharatna:
• The company already has Navratna status and has global presence.
• It is listed on Indian stock exchange with minimum prescribed public shareholding under SEBI regulations.
• Average annual turnover of more than Rs. 25,000 crores, during the last 3 years.
• Average annual net worth of more than Rs. 15,000 crores, during the last 3 years.
• Average annual net profit after tax of more than Rs. 5,000 crores, during the last 3 years.
