Namun, sebelum kita membahas lebih dalam mengenai kewenangan direksi, kita harus mengenal terlebih dahulu PT Titan Infra Energy.
PT Titan Infra Energy adalah perusahaan energi yang berfokus pada eksplorasi, eksploitasi, dan penjualan batu bara. Perusahaan ini didirikan pada tahun 2005 dan berkantor pusat di Jakarta. PT Titan Infra Energy juga memiliki konsesi tambang batu bara di beberapa wilayah di Indonesia.
Saat ini, PT Titan Infra Energy memiliki Direksi dan Badan Pengawas (BOD BOC) yang terdiri dari beberapa orang. Untuk Direksi, terdapat DU atau Direktur Utama yang dijabat oleh Suryo Suwognjo, dan beberapa Direktur atau D yang dijabat oleh Ailiy, Tjhie Sugianto, dan Victor B. Tanuadji. Sedangkan untuk BOD BOC, terdapat Komisaris Utama atau KU yang dijabat oleh Handoko A. Tanuadji, dan beberapa Komisaris atau K yang dijabat oleh Sutrisno Wibowo, Ng Jin Hiok, dan Sjahrazad.
Berbicara mengenai kewenangan Direksi pada PT Titan Infra Energy, maka harus dibedakan antara kewenangan DU dan D. Kewenangan DU meliputi pengelolaan perusahaan secara keseluruhan, pengambilan keputusan strategis, penetapan kebijakan, dan pengangkatan serta pemberhentian D. Sementara itu, kewenangan D hanya terbatas pada wilayah kerjanya masing-masing.
Kewenangan Direksi diatur dalam Anggaran Dasar perusahaan dan dijabarkan dalam Rapat Direksi. Kewenangan Direksi meliputi pengambilan keputusan strategis, pengelolaan keuangan perusahaan, pengelolaan sumber daya manusia, pengelolaan aset perusahaan, dan pengambilan keputusan mengenai investasi.
Namun, Direksi juga harus mematuhi berbagai peraturan dan undang-undang yang berlaku, seperti Undang-Undang Perseroan Terbatas dan peraturan-peraturan yang dikeluarkan oleh pemerintah.
Penting untuk diingat bahwa kewenangan Direksi harus dilaksanakan dengan penuh tanggung jawab dan kehati-hatian. Setiap keputusan yang diambil haruslah berdasarkan pada analisis yang matang dan mempertimbangkan kepentingan perusahaan secara keseluruhan.
PT Titan Infra Energy memiliki struktur organisasi yang jelas dan teratur. Salah satu bagian penting dari struktur organisasi tersebut adalah BOD (Board of Directors) dan BOC (Board of Commissioners). BOD bertanggung jawab atas pengelolaan operasional perusahaan, sedangkan BOC berperan sebagai pengawas atas kebijakan dan tindakan yang diambil oleh BOD.
Dalam menjalankan kewenangannya, Direksi PT Titan Infra Energy harus memperhatikan peran dan fungsi BOD BOC. Hal ini dikarenakan, tindakan yang diambil oleh Direksi akan mempengaruhi kinerja dan keberlangsungan perusahaan. Oleh karena itu, Direksi harus melakukan koordinasi dan konsultasi dengan BOD BOC dalam mengambil keputusan strategis.
Selain itu, BOD BOC juga memiliki peran penting dalam memberikan masukan dan saran kepada Direksi terkait pengambilan keputusan yang berkaitan dengan kebijakan perusahaan, rencana strategis, serta pelaksanaan tugas operasional. Dalam hal ini, Direksi dapat memanfaatkan pengalaman dan pengetahuan yang dimiliki oleh BOD BOC untuk meningkatkan kinerja perusahaan.
Dalam menjalankan tugasnya, BOD BOC juga harus menjunjung tinggi prinsip Good Corporate Governance (GCG) yang meliputi transparansi, akuntabilitas, tanggung jawab, independensi, dan pemerataan hak-hak pemegang saham. Dengan menjalankan prinsip GCG, BOD BOC dapat memastikan bahwa kebijakan dan tindakan yang diambil oleh Direksi selalu berada dalam koridor yang tepat dan tidak merugikan kepentingan perusahaan dan pemegang saham.
Dalam kesimpulannya, Direksi PT Titan Infra Energy harus memperhatikan peran dan fungsi BOD BOC dalam menjalankan kewenangannya agar perusahaan dapat beroperasi dengan efektif dan efisien. BOD BOC memiliki peran penting dalam memberikan masukan dan saran kepada Direksi serta menjalankan prinsip Good Corporate Governance. Lapuz-Sy v. Eufemio
Facts
In 1953, Carmen O. Lapuz Sy filed a petition for legal separation against Eufemio S. Eufemio, alleging that they were married civilly on September 21, 1934; that they had lived together as husband and wife continuously until 1943 when her husband abandoned her; that they had no child; that they acquired properties during their marriage; and, that she discovered her husband cohabiting with a Chinese woman named Go Hiok in 1949. She prayed for the issuance of a decree of legal separation, which, among others, would order that Eufemio should be deprived of his share of the conjugal partnership profits.
In his Answer, Eufemio counter-claimed for the declaration of nullity ab initio of his marriage with Carmen on the ground of his prior and subsisting marriage, celebrated according to Chinese law and customs, with one Go Hiok. In 1969, during the pendency of the case, Carmen died in a vehicular accident. Eufemio moved to dismiss the case on the ground that the death abated the action for legal separation.
Issue
Does the death of the plaintiff before final decree, in an action for legal separation, abate the action?
Ruling
Yes. An action for legal separation which involves nothing more than the bed-and-board separation of the spouses is purely personal. Being personal in character, it follows that the death of one party to the action causes the death of the action itself — actio personalis moritur cum persona. When one of the spouses is dead, there is no need for divorce, because the marriage is dissolved. The heirs cannot even continue the suit, if the death of the spouse takes place during the course of the suit.
