I'm totally in support of the writers in theory but I'm trying to understand more of what you're fighting for because I've seen some people on twitter claim writers make more money a week than most of us make in a month so I'm trying to understand what the issue is. Also if that info is accurate. This is a genuine question. Not trying to have a "gotcha moment". I really want to hear from a writer.
people have always had wild misconceptions about how much a writer earns because of their lack of understanding of how the industry actually works. there's so many posts about how "you guys make 5k a week. what more do you want?!" yeah...let's do some math on that.
5k a week for 14 weeks (and that's a long room. a lot of rooms these days are 8-10 weeks. those are the dreaded mini-rooms we're trying to kill) is $70,000. for roughly three months of work. you'd think we're cooking with gas...BUT HOLD UP. that's gross! let's see everything that has to come out of that check:
10% to our agent
10% to our manager
5% to our entertainment attorney
5% to our business manager (not everyone has one but a lot of us do. i do, so that's literally 30% immediately off the top of every check)
most of these breakdowns ive seen downplay taxes severely. someone made one that says writers pay 5% in taxes and i would like to ask them "in what universe?". that doesn't even cover state taxes. the way taxes work in the industry is really complicated, but the short of it is most of us have companies for tax reasons so we aren't taxed like people on w2s/1099. if we did we'd be even more fucked. basically every production hires a writer's company instead of the writer as an individual. so they engage our companies for our services and then at the end of the year we (the company) pay taxes as corporations or llcs (depending on what the writer chose to go with). my company is registered as a "corporation" so let's go with those rates. california's corporate rate is 9% and the federal corporate tax rate is 21%. there's other expenses with running a business like fees and other shit so my business managers/accountants/bookkeepers have recommended i save between 35-40% of everything i make for when tax season comes.
you see where the math is at already??? 25-30% in commissions and then 35-40% in taxes. on the lower end you're at THE VERY LEAST looking at 60% of that check gone. 70% worst case scenario. suddenly those $70,000 people claim we make are actually down to $28,000 as the take home pay. and that's if you're only losing 60%. it goes down to $21,000 if it's 70%.
lets pretend you worked a long 14 week room (that's the longest room ive ever worked btw) and let's also be generous and say you only have 60% in expenses so the take home is $28,000. average rent in los angeles is around $2,800-$3,000. if you're paying $2,800 in rent that means you need AT LEAST $4,000 a month to have a semi decent life since you need to also cover groceries, gas, medical expenses, toiletries, phone, internet, utilities, rental and car insurances, car payments, student loan payments, etc etc etc. and again, this is los angeles. everything is more expensive so you're living BARE BONES on 4k. and these are numbers as a single person. im not even taking having children into account. so those $28,000 you take home might cover your life for 6-7 months. 3 of which you're in the room working. the reality is that once that room ends, you might not work in a room again for 6-9-12 months (i have friends whose last jobs were over 18 months ago) and you now only have about 3 months left of savings to hold you over. we have to make that money stretch while we do all the endless free development we do for studios and until we get our next paying job. so...3 months left of enough money to cover your expenses -> possible 9 months of not having a job. this is how writers end up on food stamps or applying to work at target.
this is why we're fighting for better rates and better residuals. residuals were a thing writers used to rely on to get them through the unemployment periods. residual checks have gone down from 20k to $0.03 cents. im not joking.
they've decimated our regular pay and then destroyed residuals. we have nothing left. so don't believe it when they tell you writers are being greedy. writers are simply fighting to be able to make a middle class living. we're not asking them to become poor for our sake. we're asking for raises that amount to 2% of their profit. TWO PERCENT. this is a fight for writing even being a career in five years instead of something you do on the side while you work retail to pay your bills. if you think shows are bad now imagine when your writer has to do it as a hobby because they need a real job to pay their bills and support a family. (which none of us can currently afford to have btw)
support writers. stop being bootlickers for billion dollar corporations. stop caring about fictional people more than you care about the real people that write them. if we don't win this fight it truly is game over. the industry as you know it is gone.

If you look at the trademark application for American Riviera Orchard, you’ll see that she’s trademarking it through a newly registered in Delaware company called Mama Knows Best, LLC.
Infact when you dig into the domain names etc, it seems this was thrown together last minute aka 2months ago after KC3/ PssoW C’s illnesses were announced. They are using PR to pretend they were working on it for an entire year, but even Scobie said they had nothing or whatever they had was all over the shop and he had no idea what it would be.
His comments don’t speak to a focused vision that is researched into whatever this is.
And what’s glaring about this launch is the lack of anything to sell. Not videos or actual products which speaks to the theory that this wax thrown together very quickly.
Russell Myers from the Mirror says if you sign up to the website, you get a respinse telling you that you’ll be notified of products when they are created/ available……if this was a year in the making and with proper marketing/ PR people, they’d have products ready to go. What it is right now is a landing/ holding page ( comments turned off on IG) until it produces products.
It’s also interesting that the video is showcasing cooking which Markle tried to manifest for years while dating Corey. She auditioned and or popped up on varioys cooking shows/ fashion segments hoping to be hired. Acvording to people magazine, this launch of a lifestyle brand will have a companion show on Netflix. If Network tv won’t hire her for dream job then she’ll use her distribution deal to make it happen aka pay herself to make it happen!!!
However, one thing she revealed which tells me she has no clue about aspirational lifestyles/ branding. Her home kitchen hasn’t been updated from the dated 2000s/ early 2010s decor. It’s tye same kitchen from the sales brochure.
Infact, glimpses of their home show a distinct lack of updating from the sales brochure. The onpy room thry updated is the one with the dining table as desk and their two side by side chairs. They removed all furniture and painted it white and addedva jute rug and that california bear poster over the fireplace.
The current trend in kitchens for the wealthy is marble counter-tops and sleek designs meanwhile she’s displaying faux country/ italianate kitchen from the 90s.
The women she is cosplaying eg GOOP, Martha and Ina Garten have upgraded to the current trend in kitchens. GOOP showed off her new kitchedn in AD. Heck, JLO is showing off her sleek kitchen.

That they haven’t updated their house to their taste is what I laugh about the most. Are they really that cash-poor? Do they really have that much debt that they can’t afford to redo anything? Surely Markus and Soho House can cough up a few million to keep her happy, and when the Sussexes default on the loans, they can make Soho Olive Garden, a Californian spinoff of Soho Farmhouse. Win-win, if you ask me.

And thanks, anon. You’ve just reminded me of a house I looked at when I was moving back in 2022. The homeowners were so into that Italian Country Kitchen theme that they PAINTED the entire kitchen like it was a rustic Italian restaurant. You know you go into a family-owned Italian mom-and-pop place (not a chain like Olive Garden or Maggianos, but something like your neighborhood Italian pizza place) and it’s got that orangey-beige sponge paint that’s supposed to mimic sandstone and there’s a huge wall-to-wall, floor-to-ceiling mural of Italy and dusty fake vines hanging from decorative columns? Yeah, that was how this kitchen was painted. Even the cabinets. And that was not even the weirdest house I looked at by a mile.)

I did the research the other day about the studio. The LLC is registered at her home address. There is no proper business structure. You join and get invited to their discord and all communications are via discord from my understanding. You are paid salary, not hourly. That's why people like Erin complained about the pay, because some of them lived in California where rent is $2000 a month for a shitty studio apartment. A lot of previous members said they had to have other jobs just to pay their expenses all while doing shit for HB. Meetings are done via zoom or discord calls. The HR management is Viv's personal friends and I think someone even said her sister/relatives are in charge of HR. You send in shit you make like concept art or character sheets and just maybe it gets used. You have to contribute or do something the way she likes or you don't get paid, also, the pay is shit. Chai don't slap me, but viv has the resources for stuff likd the accounting expertise. So she's probably dodging the legal hurdles or keeping how much she makes off merchandise and YouTube secret. I'm pretty sure the patreon doesn't have how much she makes public or accessible. I get this vibe and I have a hunch how much she makes from patreon will shock us all. When I looked up Spindlehorse, it said there was less than 20 employees, not taking into account some are her relatives. Ok, by having that sad business structure, she doesn't pay the things you would if there was a proper studio, so she's saving a lot of money. She's using discord and I doubt SH has a zoom subscription, I'm pretty sure the meetings time out in 30 mins and she just makes a new one. So she's saving money from proper business communications. I doubt the company is paying anyone health insurance too. So yeah, I'm sure if someone got their hands on what she's doing, she's flat out exploiting people and pocketing the money so she can buy herself her nice things. Also, she has the studio set as self employed. So she gets away with alot of things by doing that.
Gonna throw this out there so people can pick through it, confirm, or deny depending on what they know, but according to Glassdoor, Spindlehorse has 100-200 employees. Also Discord calls don't time out, so that part at least wouldn't be an issue.

Oh yeah, you mean the Albertsons at 7350 S Rainbow Blvd, Las Vegas, NV 89139. Yeah, that infilled, but I miss being able to use it to stock up on the way to Death Valley.
For non-Americans, Vegas is 2 cities in one.
It is a small gambling town a few hours drive north of LA in the middle of the desert that took over when "We finished the Hoover Dam, now what?" needed an answer and found the Mob. On that topic, it's ALSO where all frauds everywhere get their LLC's registered. Back on that topic, the Mob Museum is excellent.
When LA and SF stopped building housing, all those people had to go somewhere and they moved a few hours out into the desert where they had licensing reciprocity. Basically, it's Philly. It exists because of its own gravity.
The result is a city of half a million people (in the desert) about the gambling and a little bit of tourism wrapped inside a city of 2 Million people (in the desert) that exists to provide a refugee camp for victims of California NIMBYs (...in the desert).
And the answer to "Why is this car-centric?" is that you will die if you go outside during the day. The desert is actually trying to kill you, I took Milky Way shots in a parking lot and drank 2 gallons of water in just as many hours without moving.
But because cars work riiiiight up until they don't and also literally a six figure number of people flee California every single year since 2000, those 3-lane roads are now full because they built California-style dense neighborhoods out there within 5 years of the road.
And as an unhappy bonus, they've run into the mountains, so now Las Vegas is full, and Las Vegas is rapidly chasing California housing prices and now people move to Pahrump. Which is even sadder.
admittedly my understanding of las vegas may be a bit distorted by only seeing it in movies and also when people complain about it online, but it seems that it's some kind of city-sized torture device where the spectre of advertising is ritualistically summoned into an orb in the middle of a very hot desert and then it attacks everyone living there all of the time while they gamble to keep their mind off it

Judge Scolds Atty For 'Hostile' Court Messages, Limits Access
A New York federal magistrate judge admonished a solo practitioner for sending multiple emails and leaving a voicemail with the court that were "disrespectful, hostile, and largely unrelated to the substance of" a case by a group of health workers accusing a staffing company of profiteering from the COVID-19 pandemic and putting them at needless risk.
U.S. Magistrate Judge Ona T. Wang did not identify the plaintiffs' lawyer in her order on Monday.
But the attorney is Gregory Antollino, who fired back in a filing Tuesday morning, arguing that Judge Wang's order limiting his contact with the court "attacks me publicly" and did not "allow me to respond in kind."
Antollino, who's representing a group of nurses or nurse practitioners who brought the underlying case in April 2020 against Krucial Staffing LLC and its CEO, also asked the judge for permission to file a two-page letter in which the attorney plans to ask for Judge Wang's recusal.
He said the jurist's characterization of his communications to the court was done "in an ad hominem manner" that "not only violated your rules but showed an appearance of impropriety."

Crisis nurse Catrina Rugar was in full protective gear, checking a ventilated patient at a new COVID-19 unit in Texas’ Rio Grande Valley, when a doctor stopped to ask how old the man was: 40.
“They keep getting younger,” Rugar said.
Doctor and nurse bemoaned how people in Florida and Texas were ignoring pandemic restrictions.
“No one’s seeing us drown in patients,” Rugar said.
Rugar is part of an army of thousands of nurses and other medical staff, including some from Southern California, who were deployed first to New York City at the start of the pandemic, then to south Texas this month to battle the virus.
Contracted by staffing agencies that set up temporary offices in Rio Grande Valley hotels, registered nurses are paid $95 an hour ($142 an hour for overtime) plus travel expenses to work 12-hour shifts, seven days a week for months at a time (nurse practitioner jobs pay more).
“You thought NYC was the biggest activation in American history with 4,500 medical professionals? So did we,” the Krucial Staffing agency said in a job posting on Facebook last week seeking nurses and other medical staff. “Our operations have moved to the great state of Texas. We are on track to eclipse that number.”

A lawsuit filed by seven former Krucial nurses in New York this spring alleges they were forced to work without sufficient protective equipment and to perform work beyond their scope of training, putting them and their patients in danger.
When they complained, they said they were fired.
“Based on information from many former Krucial nurses — not just my clients — Krucial’s practices risk people’s lives by sending in unqualified nurses who are attracted to the high pay,” said Gregory Antollino, a New York-based attorney representing the nurses in their lawsuit.
Krucial Staffing, based in Overland Park, Kan., released a statement Friday saying it “vehemently denies the claims asserted in that lawsuit. We fully intend to defend our company from these false allegations.”
Rugar, who worked for Krucial at the 530-bed DHR Health in Edinburg, said the hospital was better prepared than those she staffed early in the pandemic in Harlem and the Bronx.
But the Texas facility was still in crisis, she said, forced to cope with shortages of equipment and personnel amid a seemingly endless stream of critically ill patients.
One of the women on a ventilator she cared for last week had already lost her husband to COVID-19.
This week charter buses and vans ferried nurses from valley hospitals to hotels, where staff placed “Healthcare heroes” signs on their doors, thank-you banners in lobbies and ear plugs at the front desks for those on the night shift. At morning and evening shift change, nurses in scrubs and pink respirator masks arrived in groups. Some asked hotel staff for trash bags to carry their soiled scrubs; others for deliveries. Some had ordered protective equipment such as gas masks in advance, unsure what conditions they would face in COVID units.
Hotel halls were lined with their clogs and sneakers, which they left outside to avoid contaminating their rooms.

“We just have to try our best,” said Rugar, 34, who has worked as an emergency room nurse for a decade. “We’re making progress.”
Rugar, who lives in Crystal River, Fla., said she was skeptical about the pandemic when she arrived in New York, but quickly realized the severity of the risk and was “a changed person” when she left 39 days later.
She gets frustrated when she sees people refusing to wear face coverings and practice social distancing or calling the pandemic a hoax.
Her husband and brother are nursing assistants temporarily assigned to a different south Texas hospital.
But Rugar said even her Cuban American family back in Florida had their doubts.
“There’s people saying, ‘Oh, the media’s lying. The numbers are fake.’ There’s a lack of trust,” she said, until people get infected. “Then they want all the help they can get.”
She planned to return to Florida this week with her husband and brother to quarantine for two weeks, then continue working at COVID units there.
Working with Rugar on the COVID-19 team in Texas was contract nurse Gabriel Leyva.
When the pandemic began, Leyva, 34, a single father raising a 7-year-old, was only a few months out of nursing school at Cerritos College, working at Rancho Los Amigos National Rehabilitation Center in his native Downey.
“I didn’t know what I was getting into,” he said.

He said his parents worried about his safety when he left for a six-week assignment in New York.
“One of the things my dad asked me was, ‘What assets do you have set aside for your daughter if you die?’” he said.
But Leyva said he’s learned how to safely work as part of ever-evolving teams to treat the coronavirus.
“It’s nurses from all over the nation coming together to overcome this virus,” he said. “You learn to adapt quick. It’s something I’m learning with each deployment.”
One of his friends from nursing school is also deployed in Texas, Jaime Zamora, 30, of Santa Fe Springs.
Zamora had just graduated in February when the pandemic started, and he said he went straight to New York because “I wanted to find a way to help.”
In New York, he worked the day shift on a psychiatric medical unit full of COVID-19 patients at Bellevue Hospital.
Leyva worked night shift.
In the evenings at shift change, their spirits lifted when residents of an adjacent apartment building would open their windows and clap.
That doesn’t happen in Texas, and after three weeks Zamora said he often feels drained, emotionally and physically.
He’s seeing more people infecting their loved ones.
“I’m constantly arranging FaceTime calls with entire families. I’ve seen many brothers and sisters crying. It’s a family disease,” he said.
A nursing job’s waiting for Zamora at Los Angeles County-USC Medical Center. But he plans to stay in Texas for at least another week, maybe two.
“That’s what I became a nurse for: to help,” he said. “I’m working every single day until it’s time to go home.”

Frank Antollino, 80, of Branford, CT passed away peacefully while surrounded by loved ones on Friday, September 8, 2023 after a valiant battle against a long illness. Born in New Haven, he was the son of the late Ernest & Rose Antollino. He grew up in the Cove area of New Haven, attending Nathan Hale School and eventually Notre Dame High School prior to the family moving to Branford. He spent time working for his father Ernest and his many uncles at their Golden Crest Ice Cream plant during his high school and college summers. He attended Providence College and then onto Suffolk Law School in Boston. Upon graduation, Frank was initially a prosecutor in New Haven for a short time until he and his late law partner of 50 years, Charles “Chuck” Angelo, opened their private practice together. He was a well-known attorney in the greater New Haven area, well respected, and sought after by many. He worked as an attorney up until he became ill as the law was one of his joys in life, along with making and eating authentic Italian food like his mother Rose made, enjoying his wife Charlene’s expert home cooking, and taking past trips to NYC and Newport, RI with her. He was also an avid NY Giants fan, but also looked forward to watching most football games. Holiday celebrations will always be remembered and cherished as a time to spend with family and to enjoy delicious food together. He was predeceased by his parents and his two beloved sons, Christopher and Gregory “Scott” Antollino.
He is survived by his loving wife of 40 years, Charlene Antollino of Branford, his daughter, Robin Antollino-Bukoski of Worcester, MA, his sister, Roberta Antollino of Branford, and his three grandchildren, Ryan, Dylan, and Jillian Bukoski. He also leaves behind two stepsons Scott (Danielle) Craig of Wallingford, CT and Damon (Amy) Golia of Mathis, Texas along with his bonus granddaughters Alyssa, Briana and Caitlyn.
We would like to thank the very special nurses who took extra good care of Frank on the 7-5 Unit at Yale New Haven Hospital.
A memorial service will be held at the W. S. Clancy Memorial Funeral Home, 244 North Main Street, Branford on Thursday, September 14th with 5-7pm calling hours and at 7pm will be a Celebration of Life.
In lieu of flowers ,, it would be appreciated that memorial donations may be made to a charity of your choice.
Texas Attorney General Ken Paxton has sued the Equal Employment Opportunity Commission, the U.S. Department of Health and Human Services, U.S. Attorney General Merrick Garland, and other officials in the Biden Administration to stop an unlawful attempt to redefine federal law through agency guidance.
This lawsuit is Attorney General Paxton’s 75th legal action against the Biden Administration.
On April 29, the EEOC issued guidance that would redefine the meaning of “sex” in Title VII of the Civil Rights Act of 1964 to require employer accommodations for bathroom usage, dress code compliance, and pronoun usage in the workplace based on “gender identity” rather than biological sex.
However, doing so directly flouts a prior ruling Texas won stopping a substantially similar guidance issued by the EEOC in 2022.
According to that ruling, the agency lacked any authority to mandate a reinterpretation of the law and the court vacated the guidance in its entirety.
The court also issued a binding declaratory judgment between Texas and EEOC that Title VII did not require employer accommodations for bathroom usage, dress code compliance, and pronoun usage to be according to “gender identity” rather than biological sex — which the Biden Administration did not even appeal.
The renewed attempt by the Biden Administration to remake Title VII through agency action contradicts the previous ruling and is clearly unlawful.
Attorney General Paxton has asked the court to enforce its declaratory judgment, vacate the illegal guidance from April 29, and grant injunctive relief preventing the Biden Administration from issuing further guidance and other resources that are “contrary to law.”
“Yet again the Biden Administration is trying to circumvent the democratic process by issuing sweeping mandates from the desks of bureaucrats that would fundamentally reshape American law,” said Attorney General Paxton. “Texas will not stand by while Biden ignores court orders forbidding such actions and will we hold the federal government accountable at every turn.”

Is it just an unflattering picture that makes Sylvia seem confused? (Please forgive the photographer; Pride is busy, even a kilometer from Christopher Street. The sun was not in my favor.)
Nevertheless, suspending disbelief and judging from her gaze, which I shot from a lower angle, I see fear; I see rage; I see a person unaccepted not only by society, but the bougie onlookers who had no idea what she had done for the Queer Struggle.
I thank Passenger’s Journal for taking this, even the scan of a photo – one I probably printed at CVS – which was not quite right: too dark and overexposed. I found the negative just a month ago, having forgotten that I had submitted this. Then I misplaced the negative, along with another important shot, the one that leads all of the photos on my hobbyist website. Then, Manolo Salas, an editor with Tony Vaccaro Studio, rescanned the negative and let in light. I didn’t know of Sylvia Rivera in 1993, and only realized I had taken this shot, after rewatching “The Death and Life of Marsh P. Johnson,” by David France. Sylvia’s struggle, in my opinion, is the thematic heart of that story. Then I just happened to be looking though albums and there she was.
It's been a tough couple of years for us all. We were already trapped by the pandemic. Because we couldn’t travel, it made me feel doubly secluded. I’m by nature an explorer always looking for something new to record. In life, I am (mostly) satisfied practicing law, but during the worst of the pandemic I needed to retravel to places I had been and, in doing so, I regained some optimism.
In Bostock v. Clayton County, Georgia, No. 17-1618 (S. Ct. June 15, 2020),[1] the Supreme Court held that firing individuals because of their sexual orientation or transgender status violates Title VII’s prohibition on discrimination because of sex.
The Court reached its holding by focusing on the plain text of Title VII.
As the Court explained, “discrimination based on homosexuality or transgender status necessarily entails discrimination based on sex; the first cannot happen without the second.”
For example, if an employer fires an employee because she is a woman who is married to a woman, but would not do the same to a man married to a woman, the employer is taking an action because of the employee’s sex because the action would not have taken place but for the employee being a woman.

The template business is exploding. Simply put, designing and selling custom templates offers limitless opportunity, allowing you to provide a necessary service for authors, email marketers, and beyond. But of course, there’s more to a successful template business than just the products themselves. It’s equally critical for your business to have the right legal foundation, ensuring it is equipped for long-term success.
So which legal structure is best for your template startup? There are multiple options and no cookie-cutter solution, as all companies have unique needs and goals. All else being equal, though, most template startups benefit most from the LLC model.
In this post, we’ll provide more detail about what LLCs are and how they work, and also outline the steps for registering one of your own.
LLCs Explained
First, an overview of the LLC structure itself.
LLC stands for Limited Liability Company, and it represents one of the most popular business structures in the entire country. It’s been around since the 1970s, and each year its popularity rises.
To fully understand what an LLC is, it’s important to compare it to some of the other options for legal structure. For instance, when you first start selling templates and generating income, the government will automatically classify you as a Sole Proprietor. The thing about Sole Proprietorships is that they do not create new legal entities; in other words, there’s no legal difference between the business and the business owner.
That’s not so with LLCs. When you register your company as an LLC, you actually do create a new legal entity. As such, you can put all your business assets and debts in one bucket, and keep your personal assets and debts somewhere separate.
What are the Benefits of the LLC?
This distinction between personal and business assets/liabilities is a big part of what makes the LLC structure so beneficial to startups of all kinds. Consider just a few of the unique advantages that an LLC offers.
Personal Wealth Protection
One of the most significant benefits of the LLC is that you can keep your personal assets off the table should your company ever get slapped with a lawsuit, or targeted by aggressive creditors. This allows you to invest more confidently in your template startup, knowing that your personal and familial wealth can be safeguarded.
Flexibility with Taxation
Both single-member and multi-member LLCs are counted as disregarded entities by the IRS. This just means that the LLC doesn’t have to file its own tax return; as the business owner, you declare profits and losses on your personal tax return, and pay your normal rate. But you can also opt into corporate taxation if you deem it advantageous to do so.
Credibility
In order to start an LLC, you have to submit to a legal approval process, basically certifying that your business is legitimate. As such, running an LLC allows you to convey to your customers that yours is a “real” company, not something you’re doing as a hobby or as a side hustle. This can help win the trust of customers. Crucially for startups, it can also help earn the trust of investors.
Administrative Ease

And while there are some annual reporting requirements, these requirements are exponentially easier than what you’d experience with a Corporation. Similarly, you do not need to issue shares or hold annual shareholder meetings.
These are just a few reasons why the LLC structure makes sense for startups, and in particular template companies. Now the question is, how do you start one?
Registering Your Company as an LLC: A Step-by-Step Guide
The requirements for registering an LLC vary from state to state. A detailed guide for California LLC formation may look a bit different than the guide for Wyoming or for Florida. As such, it’s always best to confirm specific guidelines with your Secretary of State.
With that said, the process follows a few familiar beats no matter which state you’re in. Here’s a general overview of what it takes to register your template startup as an LLC.
1) Choose the right name for your company.
Your template business needs a name, and that name has to comply with certain legal parameters. Specifically:
● You have to choose a name that isn’t already in use by another LLC in your state. Most states will offer you a searchable directory, allowing you to verify whether the name you want is still up for grabs.
● You have to include “LLC” or “Limited Liability Company” somewhere in your business name. However, you can use any number of “doing business as” (dba) names to brand your business. The official LLC name is only required for legal and tax purposes.
2) Name a Registered Agent.
Every LLC has to choose a Registered Agent, someone who can receive all tax and legal correspondence on your company’s behalf.
● This can be an individual, or it can be an organization.
● Some states will let you serve as your own Registered Agent, but it’s more common to hire a third-party service.
● Third-party LLC services typically run between $50 and $300 annually.
● When choosing a Registered Agent, it must be someone with a physical mailing address in your state of residence. A P.O. Box will not work!
3) Create an Operating Agreement.
Your Operating Agreement serves as a kind of constitution for your company. Having this document in place can help you run your startup smoothly and efficiently, while also ensuring that you can easily resolve any legal disputes that might arise between you and your business partners.
Some of the specifics that you can include in your Operating Agreement are:
● How you and your partners will share managerial duties and business revenues.
● How you will bring in new partners.
● How you will handle the departure of a partner.
4) File your Articles of Organization
The most important legal paperwork you’ll complete is the Articles of Organization. This is the document you’ll file with your Secretary of State, officially creating your LLC.
● Your Articles of Organization should include information like the name of your business, the scope/mission of your business, your contact information, and the name of your Registered Agent.
● When filing, you’ll also need to pay the filing fee. This can vary by state, and you can expect it to be anywhere from $15 to $300.
● The LLC approval time averages out to three or four weeks. Most states will allow you to pay for expedited approval.
5) Get an Employer Identification Number.
Your EIN functions in much the same way as a Social Security Number, only its for businesses as opposed to individuals. You may not need your EIN right away but you will need it before you can process payroll or file your taxes. Thankfully, claiming an EIN is easy, and for US residents it happens to be free. Just visit the IRS website to learn more.
6) Set up your bank account.
To maintain the separation between business and personal assets, be sure you set up an LLC bank account that’s not linked to any personal checking or savings accounts.
7) Keep up with annual reporting.
There are a few annual requirements that all LLCs are subject to.
● Make sure you keep up with your state’s reporting requirements. Usually, this simply involves reaffirming the name and contact information for your business, and paying a small LLC renewal fee.
● Notify the state if you change your Registered Agent. Also let them know if your Registered Agent has a change in their contact information.
● If you’re in California, make sure you pay your LLC taxes. Right now, California is the lone state that has an LLC-specific tax, which is a flat rate of $800.

Template companies have plenty of opportunity for expansion and growth. First, be sure you have the right foundation. Choosing the right legal structure is essential, and more often than not the best way forward is by registering your company as an LLC.

American Riviera Orchard sounds like the name a 14-year-old would use in a fanfic. Or give a horse.
My work involves looking at companies and I’ve looked at hundreds. I can honestly say I have never seen anything like ARO and I’ve come across Harry Potter-named companies and companies with “Top Secret” in the name. American Riviera on its own would have actually been a lovely name imo.
I checked on the California Business Search and American Riviera Orchard, LLC was incorporated in California on 28 February 2024. I was expecting it to be registered in California but incorporated in another state like Delaware, where company disclosure requirements are much more limited. (Very common for Californian-headquartered businesses to be incorporated elsewhere for this reason).
About Goop: Gwyneth Paltrow reportedly owns only around 30% of Goop, which is very normal even for non-celebrity companies. I would expect Meghan to also have below 50% ownership in AOR if she does it right. A lot of the successful celebrity entities / business ventures like that of Reese Witherspoon have the celebrity at the front-end and experienced executives and directors at the back-end (both important roles, not meant as a put-down comment - RW is a very underestimated kick-ass business woman).
I’m not surprised that the likes of Meghan got backing for a venture like this. I think the massive catch for her investors will be whether she can make a return on their investments. It seems to me while Goop’s… questionable items get news coverage, there is actually a range of different offerings like Goop Kitchen that has made it go past a merch-fest. (But my knowledge of Goop is limited - blessedly.) I can’t see Meghan matching that sustainable growth and variation based on her history. And the ability to take massive criticism and lawsuits like GW / Goop.
My celebrity knowledge is severely lacking, but I believe GP still has that Hollywood sparkle, despite having a reputation. It seems like Goop is supported by the stars, which then trickles down? If so, AOR will be Meghan’s ultimate test of her love-bombing Hollywood. She cannot get to Goop status off of the sugars alone. If she doesn’t get Goop status, she will need to strike a deal with the likes of Walmart / Target to really make money off of it. Drew Barrymore’s Flower Beauty seems to be a successful, non-luxury line like that?

What's surprising about your research is that the registration was done just a couple of weeks ago. All the PR that I've seen has talked about how this has been in the works for over a year. If that's true, then why wasn't the registration done earlier?
You do it hit on the head with Gwyneth Paltrow and Goop. Gwyneth has real Hollywood bona fides - she has an Oscar, an Emmy, two SAGs; she's in Marvel; and she's a legit Hollywood nepo baby (mother is an award-winning actress, father is a director/producer) - and that rubs off a lot. As silly as Goop is and as much as everyone jokes about how out of touch it is, it's actually a real juggernaut in the luxury space that Gwyneth occupies. Goop serves a purpose and fills a necessary gap in the market - luxury wellness.
Just like Reese Witherspoon. Her brand serves a purpose and addresses a gap in the marketplace - classic Americana with a feminine twist and female-driven entertainment. It's purposeful. It's different. Not everyone can do a book club but she did, and it's wildly successful.
Meghan's American Riviera Orchard is just another in a long line of luxury wellness/lifestyle brands trying to copy Goop's success. Like Blake Lively. She launched her wellness brand, Preserve, in 2014 but it was just a Goop copy with nothing unique or different. It didn't fill a gap or offer a service, and it floundered, shutting down after less than a year. That's what I see happening with Meghan. There's nothing unique about about American Riviera Orchard that sets it apart from every other lifestyle brand and company. Meghan will be lucky if she can keep this going for at least a year.
But she isn't helping herself with that name. American Riviera Orchard. It's a mouthful, and it's such a mouthful that people will abbreviate it and however the abbreviate it, Meghan will hate it. It sounds like something one of the knockoff Kennedy family members would do to try and reclaim the JFK/Jackie/RFK aura, maybe the one who's married to StarLord.
IMO, Meghan should just lean into the wino allegations and buy a vineyard to make wine. It'd be very Brad and Angelina of her and the Sussex Squad would keep her in business year after year.
