Understanding Shareholder & Partnership Agreements: Your Business's FAQ!
Tumblr media
Ever get caught up in the startup whirlwind, focusing on the next big win but forgetting the legal nitty-gritty? We get it! But there are two essential documents every entrepreneur should consider: shareholder agreements (corporations) and partnership agreements (non-incorporated businesses). These aren't just boring legalese - they're the foundation for a smooth-running business!
Why are Shareholder & Partnership Agreements Crucial?
Clear Ownership & Voting Rights: Forget arguments about "who owns what?" These agreements lay out clear ownership percentages, crucial for current operations, future investments, and even selling the business! They also define voting rights, ensuring decisions are made according to the agreed-upon structure, preventing conflicts and deadlocks.
Profit Distribution & Financial Management: Money talks! These agreements establish how profits are shared amongst stakeholders. This includes not just percentages, but also when and how those profits are distributed. This is vital for financial planning and management, especially for businesses looking to reinvest or manage cash flow effectively.
Dispute Resolution & Exit Strategies: Let's face it, disagreements happen. But having a plan in place can save your business from chaos. These agreements can outline mediation processes or buyout formulas, ensuring a clear path forward if disagreements arise or a partner wants to leave.
Should You Hire a Lawyer?
Absolutely! Navigating the legal world can be tricky. Lawyers specializing in corporate law can offer invaluable advice and guidance in drafting comprehensive agreements tailored to your specific business needs.
The Bottom Line:
Shareholder & partnership agreements are the backbone of your business, ensuring smooth operations and long-term success. Don't wait until things get messy - get these agreements in place from the start!

Housing insecurity is racist & violent
"Seventy-five national, state, territorial, and local domestic violence, sexual assault, and human trafficking organizations filed an amicus brief with the Supreme Court of the United States (SCOTUS) urging it to support the rights of people who are homeless, including unhoused survivors, in City of Grants Pass, Ore. v. Johnson. This case is one of the most important SCOTUS cases regarding homelessness in the past 40 years. The amicus brief, authored by the National Housing Law Project and Sexual Violence Law Center, argues that housing is extremely limited for gender-based violence survivors, often forcing them to make impossible choices between sleeping outside or suffering continued violence. Criminalizing survivors will only increase their and their families’ risk of violence, trauma, and housing insecurity."
Article from July 29:
Housing advocates across Indian Country say Native Americans and Alaska Natives likely will feel the full weight of a June 28 Supreme Court ruling that has cleared the way for cities to enforce bans on unsheltered people sleeping outside in public places. Native Americans experience homelessness at a disparate rate. Advocates say the housing crisis is a reflection of our society’s unwillingness to address systemic issues.
“It’s criminalizing poverty,” said attorney Caroline LaPorte, who is an immediate descendant of the Little River Band of Ottawa Indians. “We are much more comfortable with putting, and paying, for people to be incarcerated.” LaPorte is the director of the STTARS Indigenous Safe Housing Resource Center, a project of the National Indigenous Women’s Resource Center, and she is the board chairman for the StrongHearts Native Helpline. STTARS focuses on the intersection of housing insecurity and gender-based violence. A lawyer, she said the Supreme Court’s decision was enraging. “Everybody belongs in our communities. They deserve to be safe, and it is our responsibility. We are required to make sure that those people have the things that they need,” LaPorte said.[...]
Announced on June 28 in a 6-3 decision along ideological lines, the court found that outdoor sleeping bans don’t violate the Eighth Amendment, which protects against cruel and unusual punishment.

WARNING: This story deals with disturbing subject matter that may upset and trigger some readers. Discretion is advised.
Indigenous child welfare advocates in B.C. are celebrating a “huge win” in Ottawa on Friday, where a federal law affirming that First Nations, Métis and Inuit people have sole authority to protect their children was upheld in court.
Mary Teegee, chair of the Indigenous Child and Family Services Directors Forum, said she heard the news in a morning phone call from her lawyer, who told her the case had been “won on every point.”
“Of course I screamed, I was really happy, it was just a great wonderful moment for our children — a huge win for our children,” Teegee told Global News. “Our most important resource is our children.”
The Supreme Court of Canada’s decision to deny Quebec’s appeal of Bill C-92 was unanimous. In 2022, Quebec had won in the Court of Appeal, which found parts of the act overstepped federal jurisdiction. [...]

Matthew Perry, best known for playing Chandler Bing in the hit TV sitcom Friends, has died at 54, according to reports.
Perry drowned at his home in Pacific Palisades, Los Angeles, sources including a representative for the actor and law enforcement told NBC News. Other US outlets also reported Perry had died.
After small roles in Growing Pains, Beverly Hills 90210 and Dream On, Perry scored a role in NBC sitcom Friends in 1994. The comedy, about six friends living in New York City, quickly became a phenomenon, winning multiple Emmys and scoring record ratings.
Perry went on to play the sarcastic and neurotic Chandler in 10 seasons with the 2004 finale reaching over 52 million viewers in the US, making it the most watched TV episode of the 2000s.
“People come up to me every day and say, ‘Hey Chandler!’ I don’t respond to it,” he said in a 2014 interview. “If somebody says, ‘Hi Matthew, I love your work’, that’s one thing. But if somebody goes ‘Yo, Chandler’, I don’t like that. I’m tired of it. I’m not Chandler.”
Perry was born in Massachusetts in 1969 to an American father and a Canadian mother, who would later move her son to Ottawa to work as a press aide to Canadian prime minister Pierre Trudeau. In his bestselling 2022 memoir Friends, Lovers, and the Big Terrible Thing, Perry recalled acting up after his father abandoned his family to chase his own dreams of becoming an actor – including bullying a young Justin Trudeau. “I decided to end my argument with him when he was put in charge of an entire army,” he wrote.
At 15 Perry moved to Hollywood, with the hope of reconnecting with his father. It was there he began to enjoy acting, and was eventually spotted at a diner, “charming a bunch of young women”, by director William Richert, who left a note asking him to be in his next movie, A Night in the Life of Jimmy Reardon, alongside River Phoenix.
Perry was 24 when he started playing Chandler and was relatively unknown, just like his co-stars Jennifer Aniston, Courteney Cox, Lisa Kudrow, Matt LeBlanc and David Schwimmer. In a 2019 interview, Friends creator David Crane said Chandler was the most difficult character to cast; actors Craig Bierko, Jon Cryer and Jon Favreau were also considered for the role.
“Marta [Kauffman, co-creator] and I were thinking Chandler is just poorly written,” added Crane. “Then Matthew came in and you went, ‘Oh, well, there you go. Done. Done. That’s the guy.’”
Perry was nominated for an Emmy award five times, including once for his Friends role and twice for his role as lawyer Joe Quincy on The West Wing.
During his tenure on Friends, Perry starred in films including Fools Rush In with Salma Hayek, Three to Tango with Neve Campbell and The Whole Nine Yards with Bruce Willis. He also played small roles in Ally McBeal and Scrubs.
In a 2002 interview with the New York Times, he confessed: “I wanted to be famous so badly. You want the attention, you want the bucks, and you want the best seat in the restaurant. I didn’t think what the repercussions would be.”
Perry’s personal life was afflicted by addiction, starting in 1997 when he became addicted to pain medication after a jetski accident. He later claimed to not remember three years of his time on Friends and to spending over $9m on his fight to stay sober.
“I was taking 55 Vicodin a day, I weighed 128lbs, I was on Friends getting watched by 30 million people – and that’s why I can’t watch the show, because I was brutally thin,” he said. Perry later admitted he had suffered severe anxiety “every night” while filming the show and felt nothing when the show ended.
Once Friends ended in 2004, Perry’s next small-screen lead was in Aaron Sorkin’s Studio 60 on the Sunset Strip, which was cancelled after one season. In 2009 he starred in hit comedy 17 Again alongside Zac Efron, and later guest-starred on both The Good Wife and The Good Fight.
Perry also led one season sitcom Go On and a remake of The Odd Couple which lasted for three seasons. In 2016 he wrote and starred in play The End of Longing which opened in the West End and later transferred to Broadway.
In 2019, he was put in a two-week coma when his colon exploded due to opiate abuse; he had 14 surgeries due to his opiate abuse. “At this point in my life, the words of gratitude pour out of me because I should be dead, and yet somehow I am not,” he wrote in last year’s Friends, Lovers, and the Big Terrible Thing, which was a hit with readers and critics. The Guardian’s Barbara Ellen called the memoir “harrowing and revealing about the juncture where extreme compound addiction collides with mega-celebrity”.
“You have to get famous to know that it’s not the answer. And nobody who is not famous will ever truly believe that,” Perry wrote.

zb1 as ontario universities + programs
yes this is an incredibly niche topic but this has now become my chosen coping mechanism for uni decisions
Tumblr media
sung hanbin - queens health science
such a pretty campus
a lot of historic buildings and freshly manicured lawns that i think would fit hanbin perfectly
and like imagine him with soft academia
it’s just a really nice school and its health sci program is one of the best in ontario
like it’s very neutral good
and he feels like he would make a really good doctor, like pov sung hanbin is your family doctor LMFAO
and like i think he’d do a great job, probably has the prettiest notes and always does his part during group projects
Tumblr media
zhang hao - queens commerce
ofc i had to keep haobin together
but dw neither is sacrificing their education for the other person (remember kids the only person who can get you your degree is you)
queens commerce is also one of the best business schools in ontario
ik that zhang hao is a music kid but that felt like cheating so this is an alternative!
out of all of zb1 he feels like the most business type person?
like he’s so smart and always plans ahead
so i feel like he could be successful in anything he tried but especially business because it’s so lucrative and opens the door to so many paths
like hanbin i think he suits the clean and historic school vibes
they both have a very curated?? for lack of better word image and i think they’d look like they were in a photoshoot every time they step out on campus
Tumblr media
park gunwook - uoft criminology, law and society
university of toronto!!
i’m just saying, debate is literally the gateway to law
and i’d be willing to bet that he has done or considered mock trial so i think this would fit super well
he knows a lot about history and philosophy, so i can see him being interested in studying a humanity
in canada, you need to get a bachelors before going to law school, so a lot of people do something related
this is basically as good as you can get
i also think gunwook would do well in uoft
it can be a kind of isolating experience because the school is so big and a lot of people commute so there isn’t much of a social scene
but as the resident social butterfly, i feel like gunwook would be able to establish a good circle
and also i think he would like the energy of the city
there’s always something to do and both city hall and parliament are literally right next to the campus
alternatively, i considered university of ottawa, which is good for its social science since you know, it’s literally in the capital city of canada so its law program is really good
but honestly there’s not much undergrad wise
i could see him going for graduate school though
i don’t know lawyer gunwook just feels right
he’s good at making decisions, works well under pressure, has the fundamentals down, and is a hard worker so i can definitely see him making it into law school
Tumblr media
kim taerae - waterloo computer science
listen
listen
i know that taerae isn’t that genre of nerd
but the glasses
him being losercore
like you can’t tell me he wouldn’t go to the most loser of all loser schools in ontario
(btw waterloo is not bad, it’s actually really good for engineering and comp sci but also everybody there has no life hence the loser allegations)
(also because if you do eng or comp sci you are inherently a loser i’m so sorry pls continue to run tumblr though)
but yeah i can definitely see him doing comp sci maybe like ui ux stuff
actually the more i think about it the more it makes sense for me
he’s also the only thinking (mbti) in zb1 and his fashion sense would fit in perfectly with the rest of the department
Tumblr media
seok matthew - mcmaster nursing
like hanbin, i really do see him doing something healthcare related
mcmaster is second for nursing, after uoft, but i don’t think matthew would like toronto as much
from what i’ve heard, vancouver is a lot greener, more laid back, and hiking culture is big there
toronto kind of offers none of that, with the addition of pretty bad air quality comparatively (still pretty good though because canada’s pretty sparsely populated)
mcmaster though is in a smaller town that’s essentially just a university town and also has a trail literally right on campus
it’s a smaller, more tight knit community and nursing is a pretty small program so it’d be even closer
i think he would have a really good time with mcmaster’s social scene
it’s also right by lake ontario and has pretty decent weather
Tumblr media
ricky shen - uoft rotman
another business student, are we surprised?
i also considered art but our only really good art school is ocad and as far as i know it doesn’t focus on traditional art as much
so anyways mr young and rich tall and handsome is going to go the business route
uoft is really international student friendly, mostly because they accept a lot of international students and because toronto is also pretty diverse
like you can truly get any type of cuisine here and we have a really big asian population too
so as a person who also immigrated here, i’d say it’s not a terrible transition
definitely the most diverse of any of the ontario schools
once again, the social life at uoft is not great but usually the business schools are better
han yujin - still in high school
Tumblr media
han yujin - university of guelph kinesiology
since yujin’s currently studying dance at his school, i thought that kinesiology would be a good fit
for those who don’t know, it’s essentially like sports science?? or studying the way people move and so forth
he also plays soccer and just gives off like sporty vibes?
like the quiet kid who is surprisingly the fastest on the team
once again, uoft is technically the best for this, but it’s kind of a scary place to go into alone so i can see yujin choosing a quieter school
i’d say guelph is even more closely knit than mcmaster by virtue of it being a smaller city and a smaller school
they have a solid health science program though and good student support too, which i think he’d benefit from
Tumblr media
kim jiwoong - uoft english literature
so
i know that he is an actor
and i considered having him go the performing arts route
however, i know nothing about those schools and once again i think it’d be too easy
so to make my life harder, instead of having jiwoong perform shakespeare plays, i’m making him read and analyze them instead
he gives off like that one english teacher you had who changed your life and helped you rekindle your love of reading after your gifted burnout yknow
but yeah i see him going into english lit to go be a teacher
and uoft would be perfect for that because it not only has i believe one of the largest libraries in north america, but also a really big teachers college once he’s done getting his bachelors
he also seems like he would be able to fit in in any environment, so i don’t see uoft’s size or atmosphere being a problem for him
Tumblr media
kim gyuvin - toronto metropolitan university performance: acting
i saved the best for last
ik i literally just said that i wasn’t going to do performing arts for jiwoong but this is different
something about his performance during the musical segment of boys planet changed the way i viewed him forever
like??????? how is he that good for like the most random challenge ever
i think he’d be really good at acting seriously so anyways!
also tmu (formerly known as ryerson) is just a very fun vibe
it’s in the more downtown area of toronto compared to uoft and right by the entertainment district
the nightlife is so good and gyuvin would probably be the life of the party
tmu’s also like uoft’s funkier younger cousin so i think that fits his vibe well

Within a timespan of just a couple of weeks, in March and April 2023, the United States presidential administration and its homeland security leaders have announced significant crackdowns on refugees and asylum seekers at both its northern and southern peripheries. These policy changes have been described by scholars, lawyers, doctors, and other advocates as “terrifying’, “dangerous”, “deadly”, and “inhumane”.
In the final days of March 2023, following the US president’s visit to Canada, the US and Canada have announced a major change to the Safe Third Country Agreement policy. Scholars have described the rule change as one that will effectively deny refugee or asylum status to many people crossing the border along the entire continent, from Atlantic to Pacific. Meanwhile, in early April 2023, a trilateral statement/agreement was announced by the leaders of the US, Colombia, and Panama, as the nations describe their intent to discourage refugee travel through the notoriously horrific Darien Gap,
---
About the US-Canada border. Excerpt:
Others have not survived. On March 31 [2023], two families perished at the Quebec-US border, including an infant and a three-year-old. [...] Why aren’t people going to official ports of  entry? The answer is that the law, specifically the Safe Third Country Agreement (STCA) between the US and Canada, deters people from using official border entry points because they will be turned away and denied the opportunity to make a refugee claim. Canada has acknowledged these crossings by erecting pop-up border  stations like one at Roxham Road, facilitating the movement of migrants. Quebec’s premier and main opposition leader have called for this makeshift port of entry to be shut down. And now, as part of US President Joe Biden’s recent visit to Canada, the two countries have decided to do just that, under a renegotiated STCA that came into effect starting midnight on Friday, March 24 [2023]. Now anyone crossing any point of the Canada-US land border to make a refugee claim will be turned away. They will not be able to make a refugee claim and will be sent back to the US side of the border. Until now, this agreement only applied at official land ports of entry which pushed people seeking asylum to cross at unofficial points [...]. The newly expanded STCA now applies across the entire Canada-US land border, including areas between official ports of entry and certain bodies of water. Anyone making an asylum claim within 14 days of crossing without authorisation or valid immigration status will be brought back to a US port of entry and excluded from being able to make a claim in Canada. [...] Advocates argued that the agreement not only infringes migrants’ rights under the Charter of Rights and Freedoms, but also violates Canada’s international legal obligations under the 1951 Refugee Convention [...].

Liew is a lawyer and associate professor at University of Ottawa. Molnar is associate director of the Refugee Law Lab. Young is Canada Research Chair in Critical Border Studies at University of Lethbridge.
---
More on the US-Canada border. Excerpt:
“The United States and Canada will work together to discourage unlawful border crossings and fully implement the updated Safe Third Country Agreement,” US President Joe Biden said during an address to the Canadian parliament in Ottawa on Friday afternoon. But human rights groups said the move will not deter refugees and asylum seekers [...] but instead will push them to take riskier routes. [...] “This is very dangerous,” said Frantz Andre, spokesperson and coordinator of [...] a Montreal-based group that provides support for asylum seekers and others without immigration status. [...] Why is this happening now? Canadian Prime Minister Justin Trudeau has been under political pressure domestically to respond to an increase in crossings, particularly from conservative politicians in Quebec [...].
Text by: Jillian Kestler-D’Amour. “What the new US-Canada border deal means for asylum seekers.” Al Jazeera. 24 March 2023.
---
The US, Colombia, and Panama announcement about the Darien Gap. Excerpt:
A US-backed plan to stop migrants from crossing the [...] Darién Gap will likely fail [...], migration experts have warned. The US Department of Homeland Security announced on Tuesday [11 April 2023] that it had brokered a deal with the Colombian and Panamanian governments to halt migrants crossing the land bridge on their journey northward to the US. The number of people traversing the lawless strip of land between Colombia and Panama has spiked to record numbers in the last two years. [...] [I]t is likely the plan would require militarisation, a scenario which Nicole Phillips, legal director of Haitian Bridge Alliance, an immigration policy non-profit, described as “terrifying”. [...] Decaying bodies of migrants are routinely found deep in the rainforest [...]. Those who survive the arduous two-week trek are at the mercy of [...] groups that frequently rob [...] vulnerable migrants. Given the risk that migrants already undergo fleeing poverty or persecution, Blaine Bookey at the Center for Gender and Refugee Studies said she doubted authorities can deter them from making the trip. More likely, migrants will be pushed further underground and forced to take more dangerous routes. [...] Despite the harrowing tales of robbery [...] and death in the Darién Gap, the number of people and families making the journey surged in 2022 to record levels [...].
Text by: Luke Tyler. “‘Terrifying’: Critics decry US plan to stop migrants at Darién Gap.” The Guardian. 14 April 2023.
---
Why? Excerpt:
Facing pressure from conservatives, the Biden administration is trying to cut down on irregular migration and has set its sights on the booming foot traffic through the Darién. Currently, a [...] law, Title 42, uses the pandemic as justification to prohibit asylum claims at the US-Mexico land border, requiring Venezuelans, Nicaraguans, Haitians and Cubans to apply formally and meet certain requirements instead. [...] [B]ut the most desperate migrants often cannot meet the requisites due to the dire conditions in the countries from which they are fleeing, said Phillips. “The thought of [the US, Panama and Colombia] further militarising in order to keep migrants out is terrifying for people’s safety.” She said it was disappointing that human rights were not mentioned even once in the trilateral statement, given the dire and growing humanitarian crisis in the Darién. Doctors Without Borders (MSF), which attends to migrants needing medical assistance when they emerge from the jungle in Panama, says it [...] is “concerned” by the possible militarisation of borders. “We have seen in other countries that it can lead to more danger, not ensuring basic services and may increase suffering,” Luis Eguiluz, head of mission for MSF Colombia and Panama, said.

"Too often, courts and custody evaluators consider that reporting family violence or asking for reduced contact between the father and the child are signs of 'alienation,' that is, brainwashing by the mother to make the child reject the father," the letter, authored by the National Association of Women and the Law says.
The calls for a blanket ban come as emerging Canadian and international research casts doubt on the controversial concept that some say highlights how domestic violence is not taken seriously in family courts. Family lawyers have recognized the abuse of the concept in divorce proceedings but assert parental alienation remains a real issue that needs to be thoroughly examined rather than banned.
Parental alienation is a concept used to describe when one partner unfairly undermines the relationship of their child with the other parent. It is widely recognized by courts across Canada and is instrumental in custody and access disputes, though the psychological theory it stems from has been widely disputed.
Court reprimands in cases involving parental alienation are often severe. The Star spoke to one woman, who was granted anonymity so as not to risk her ongoing case, who said she had main custody with limited visitations for her ex-partner prior to his claim she was alienating their two daughters from him.
"Then my kids were court-ordered to attend reunification camp in the United States," where she was not allowed to contact them, she said. "I had 48 hours notice to transfer care of the children from my care to his care."
"What they tell you is 90 days turned into over 500 for my oldest daughter and my other daughter is approaching 700 days," she said, referring to the time away from her children.
Following a lengthy review of the case, her eldest daughter, now 16, returned home, but her youngest is still with her father.
At issue, advocates say, is that accusations of parental alienation have become commonly used in instances where the parent accused of alienating the child — most often the mother — is a victim of family violence. The accusation has come to overshadow allegations of family violence in custody disputes, despite clear provisions in the Divorce Act surrounding family violence. It's become so rampant that some lawyers have advised their clients not to report abuse to the courts, said Suzanne Zaccour, NAWL's director of legal affairs.
In one recent study involving Canadians and women from other countries who had been accused of parental alienation, the majority of women surveyed said the claim was brought forward after they raised concerns about abuse from an ex-partner. A 2020 study for the Government of Quebec acknowledged violent spouses may use allegations of parental alienation to counter the charges of violence or abuse laid against them.

Navigating Estate Planning with a Will Lawyer in Ottawa
Estate planning is an essential process to ensure that your assets are distributed according to your wishes after your passing. However, navigating the legal intricacies of wills and estates can be complex. This is where a will lawyer in Ottawa can provide invaluable assistance, offering expertise and guidance to ensure your estate plan is comprehensive and legally sound.
Tumblr media
The Importance of a Will Lawyer in Ottawa
Creating a will is more than just listing your assets and beneficiaries. It involves understanding legal requirements, tax implications, and potential challenges. A will lawyer in Ottawa can help you draft a will that addresses all these factors, providing peace of mind that your estate will be managed according to your wishes.
Key Benefits of Hiring a Will Lawyer
Expert Legal Advice: A will lawyer provides expert advice tailored to your unique circumstances. They can help you understand the legal implications of your decisions and ensure that your will is compliant with Ontario laws.
Comprehensive Estate Planning: Beyond drafting a will, a will lawyer can assist with other aspects of estate planning, such as setting up trusts, appointing guardians for minor children, and planning for incapacity with powers of attorney.
Avoiding Common Pitfalls: Mistakes in a will can lead to disputes and legal challenges. A lawyer ensures that your will is clear, accurate, and legally enforceable, reducing the risk of complications.
Updating Your Will: Life circumstances change, and your will should reflect these changes. A will lawyer can help you update your will to ensure it remains relevant and effective.
The Role of a Will Lawyer in Estate Planning
A will lawyer in Ottawa plays a crucial role in various aspects of estate planning, including:
Drafting and Reviewing Wills
The primary responsibility of a will lawyer is to draft and review wills. They ensure that your wishes are clearly articulated and that the will complies with all legal requirements. They can also advise on complex issues, such as distributing assets among multiple beneficiaries or dealing with blended families.
Setting Up Trusts
Trusts can be an effective way to manage and protect your assets. A will lawyer can help you establish different types of trusts, such as revocable living trusts, irrevocable trusts, or special needs trusts, depending on your goals and circumstances.
Estate Tax Planning
Minimizing tax liabilities is a critical component of estate planning. A knowledgeable will lawyer can guide you through strategies to reduce estate taxes, ensuring more of your assets go to your beneficiaries rather than the government.
Powers of Attorney and Living Wills
In addition to wills, a comprehensive estate plan includes powers of attorney and living wills. These documents appoint someone to make financial and medical decisions on your behalf if you become incapacitated. A will lawyer ensures these documents are properly drafted and legally binding.
Choosing the Right Will Lawyer in Ottawa
Selecting the right law firm in Ottawa for your estate planning needs is crucial. Here are some tips to help you find the best will lawyer for your situation:
Experience and Specialization
Look for a lawyer or law firm with extensive experience in wills and estate law. Specialization in this area ensures they are up to date with the latest legal developments and best practices.
Reputation and Client Reviews
Research potential lawyers by reading client reviews and testimonials. A lawyer with a strong reputation and positive feedback from clients is likely to provide high-quality service.
Communication and Accessibility
Effective communication is essential. Your lawyer should be responsive, approachable, and able to explain complex legal concepts clearly. This ensures you understand the process and feel comfortable with the decisions being made.
Transparent Fee Structure
Ensure you understand the lawyer's fee structure before proceeding. A reputable law firm in Ottawa will provide clear and transparent information about their fees, so there are no surprises.
Conclusion
Estate planning is a critical task that requires careful consideration and expert guidance. A will lawyer in Ottawa can provide the necessary support to ensure your will and estate plan are comprehensive, legally sound, and reflective of your wishes. By choosing an experienced and reputable law firm, you can navigate the complexities of estate planning with confidence, ensuring that your legacy is protected, and your loved ones are taken care of.

How to Choose the Best Car Accident Lawyer in Ottawa for Your Case
Tumblr media
Choosing the right car accident lawyer in Ottawa can make a significant difference in the outcome of your case. With the right legal representation, you can ensure that your rights are protected and that you receive the compensation you deserve. Here’s a comprehensive guide to help you choose the best car accident lawyer in Ottawa for your specific needs.
1. Assess Your Needs
Before you begin your search, it’s important to understand your specific needs. Consider the details of your accident, the extent of your injuries, and the complexity of your case. This will help you identify the type of legal expertise you require.
2. Look for Specialized Experience
When choosing a car accident lawyer, specialization is key. Look for a lawyer who has extensive experience handling car accident cases. A lawyer with a strong track record in personal injury law, particularly in car accidents, will be more equipped to navigate the nuances of your case.
3. Check Credentials and Reputation
Verify the lawyer’s credentials, including their education, bar association membership, and any special certifications in personal injury law. Additionally, research their reputation within the legal community and among past clients. Online reviews, testimonials, and peer ratings can provide valuable insights.
4. Evaluate Their Track Record
A lawyer’s past performance is a good indicator of their ability to handle your case successfully. Ask potential lawyers about their track record in car accident cases, including their success rate in settlements and court verdicts. An attorney with a history of securing favorable outcomes for clients will likely be a strong advocate for you.
5. Schedule a Consultation
Most car accident lawyers offer free initial consultations. Use this opportunity to meet with several lawyers and assess their compatibility with your case. During the consultation, discuss the specifics of your accident, your injuries, and your goals for the case. Pay attention to how the lawyer listens, communicates, and addresses your concerns.
6. Consider Their Communication Style
Effective communication is crucial in a lawyer-client relationship. Choose a lawyer who is responsive, transparent, and easy to communicate with. They should keep you informed about the progress of your case and be available to answer your questions and address your concerns.
7. Discuss Fees and Payment Arrangements
Understanding the lawyer’s fee structure is essential. Most car accident lawyers work on a contingency fee basis, meaning they only get paid if you win your case. Clarify the percentage they will take from your settlement and any additional costs you might be responsible for. Ensure you are comfortable with the financial arrangement before proceeding.
8. Trust Your Instincts
Ultimately, trust your instincts when choosing a lawyer. You need to feel confident and comfortable with your legal representative. If something doesn’t feel right during your initial meetings, it’s okay to continue your search until you find the right fit.
9. Seek Referrals and Recommendations
Don’t hesitate to ask friends, family, or colleagues for recommendations. Personal referrals can provide valuable insights and help you find a lawyer who has a proven track record of success. What entitlements are granted to a common-law spouse in Ontario?
Tumblr media
Understanding your legal rights is crucial when it comes to separation. The nature of your union with your spouse can significantly impact your rights during the separation process. It is important to note that the rights and obligations of common law spouses differ from those of married spouses, particularly in terms of property division. Simard & Associates' family law lawyers can address your queries about entitlements, whether you are married or in a common-law partnership.
DIFFERENCES BETWEEN MARRIAGE AND COMMON LAW IN ONTARIO
Determining-A-Common-Law-Relationship-Questions Marriage is a formal union involving a ceremony conducted by a licensed individual, resulting in a legally binding contract that necessitates a formal divorce for termination. Conversely, a common law relationship involves couples living together as if married, without a formal ceremony or signed paperwork; the relationship's nature defines its status.
LEGAL RIGHTS VARIED FOR MARRIED SPOUSES AND COMMON-LAW COUPLES
Child Custody and Support: Regardless of the relationship type, if there are children, the laws concerning parenting and child support remain consistent. Both married and common-law couples share equal rights and responsibilities in this regard. Spousal Support: Spousal support entitlements may differ based on financial roles within the relationship. In both types of unions, a partner may be entitled to spousal support, depending on individual circumstances. Division of Property: In Ontario family law, a significant distinction between marriage and common law lies in property division. In a traditional marriage, both parties have an equal right to equalize their property upon separation. Conversely, common-law couples lack the same property division rights and typically are not entitled to each other's assets unless exceptional circumstances arise.
ACHIEVING A FAIR SETTLEMENT AFTER SEPARATION
How-Is-Property-Split-If-A-Common-Law-Relationship-Ends_
The most effective way to navigate the complexities of separation and ensure comprehension of your rights is to have a reliable family law lawyer by your side. Legal counsel can offer valuable guidance to help you reach a fair settlement tailored to your specific circumstances.
In the event of separation, knowing your legal rights is paramount. Whether in a common-law or married relationship, understanding the distinctions in legal rights is essential for a fair resolution. For expert legal guidance during your separation, consult with one of the family law lawyers in Rockland, serving the Ottawa area at Simard and Associates.

Will Drafting
Your Last Will and Testament is an important legal document that gives you the opportunity to express your wishes for the distribution of your assets and the management of your estate after you pass away. Surveys show that more than half of Canadian adults don’t have a Last Will and Testament in place (51%). At TDJ Law, we ensure that you have a valid Will to protect your assets and family.
With a Will, you can determine who will inherit your property and belongings. Our real estate lawyers in Canada will witness the signing of your Will, ensuring its validity, and keep a copy in a secure location for safekeeping.
Power Of Attorney
While a Will only comes into effect after you pass away, a Power of Attorney (POA) lets someone you trust manage your legal and financial affairs during your lifetime. At TDJ Law, our experienced lawyers can help you create a POA, which allows you to designate an individual to act on your behalf should you become unable to make decisions. With a POA, you can ensure that your wishes are carried out even when you are unable to care for yourself. In Ontario, there are two types of powers of attorney: Power of Attorney for Property and Power of Attorney for Personal Care.
The Power Of Attorney For Property
This is a legal document that allows someone you trust to manage your financial affairs if you are unable to do so. This could include handling bank accounts, investments, real estate, and other assets, within any restrictions you set. The Power of Attorney for property becomes effective immediately, and you can use it when you are traveling or otherwise unavailable.
The Power Of Attorney For Personal Care
This is a legal document that allows the designated person to make decisions about your personal care and medical treatment if you are unable to. If you don't have a power of attorney, the Substitute Decisions Act does provide for court-appointed guardians, but the process can be lengthy and costly, especially if it is disputed by another party. Your Power of Attorney can be used as evidence in court to demonstrate your preferences for who should act as your guardian

Canada Launches Tech Talent Strategy: New Open Work Permit for U.S. H-1B Visa Holders & Innovation Streams
FOR IMMEDIATE RELEASE:
OTTAWA, June 28, 2023 - Canada's Immigration Minister Sean Fraser announced additional measures as part of Canada’s first-ever Tech Talent Strategy aimed at attracting more global tech talent to Canada.
As of July 16th, 2023, U.S H-1B speciality occupation visa holders and their immediate family members will be eligible to apply for a three-year open work permit in Canada. With this permit, they can work for almost any employer in the country. This measure is set to increase labour mobility within North America, as many tech professionals currently working in the US with a H-1B visa are employed by companies with operations in both countries.
This initiative is a part of Immigration, Refugees and Citizenship Canada (IRCC)'s strategy to bolster opportunities for skilled workers in high-tech industries, contributing to robust economic growth in North America.
A new Innovation Stream under the International Mobility Program is also in the pipeline, designed to attract highly talented individuals. This initiative is in response to consultations with tech industry stakeholders, highlighting ongoing labour shortages in key tech occupations.
The Innovation Stream, slated for launch by the end of 2023, proposes exemptions from the Labour Market Impact Assessment (LMIA) process to facilitate hiring of skilled workers by employers in support of Canada’s innovation goals and high-tech industries.
Simultaneously, IRCC aims to attract digital nomads who are adept at working remotely from anywhere in the world. Current regulations allow a digital nomad to stay in Canada for up to six months while working remotely for a foreign employer. This is an opportunity for Canada to diversify its labour market with highly skilled professionals, potentially leading to permanent residency.
Another exciting development is the introduction of category-based selection draws for Express Entry candidates with strong French language proficiency or work experience in STEM professions. These categories were selected in response to labour market shortages and future projections.
Additionally, improvements to existing tech programs such as the Global Skills Strategy and the Start-Up Visa (SUV) program are underway. More spots have been allocated under the SUV program, increasing from 1,000 to 3,500. Furthermore, SUV applicants will now be eligible for a three-year open work permit, offering them the flexibility to work beyond their startup.
All these efforts contribute to the IRCC’s broader strategy to foster innovation and competitiveness, attracting the best global talent to contribute to the Canadian economy.

Problems with Legal Aid in Ontario
Canada prides itself on equal justice under the law, but Ontario's legal aid system leaves many behind. Legal aid is meant to provide representation for those who cannot afford a lawyer, yet funding cuts and under-resourcing cripple the system's ability to fulfill this mission. Inadequate legal aid disproportionately impacts the most vulnerable in society - threatening equal access to justice.
Legal aid in Ontario covers criminal, immigration and refugee, family and some civil law cases for those who qualify financially. However, financial eligibility cut-offs have not kept up with rising costs of living, meaning fewer people qualify. Funding cuts have led legal aid Ontario to limit coverage for certain legal issues entirely. This excludes whole categories of people from obtaining representation, even for serious problems.
The lack of adequate funding translates to strained and overburdened legal aid lawyers by Ottawa defence lawyer. They face heavy caseloads with limited resources and support staff. This inevitably means clients receive less representation and attention on their complex legal issues. Duty counsel programs, which provide on-the-spot legal advice to people appearing in court without a lawyer, are understaffed and unable to meet demand.
Long application processes and wait times plague Ontario's legal aid system. Many have to wait months to find out if they even qualify, further delaying their cases. Once approved, clients still face wait lists to be assigned a legal aid lawyer, prolonging their legal issues. The system simply does not have enough lawyers and resources to keep up.
Those with the most complex legal needs - like people with mental health issues, Indigenous peoples and newcomers - are hardest hit by cuts to legal aid. They disproportionately rely on legal aid yet face the most barriers navigating the system alone. Without proper representation, fair outcomes become less likely.
In short, funding cuts, narrow eligibility and understaffed resources have crippled Ontario's legal aid system. It can no longer fulfill its promise of justice for all, risking unequal treatment under the law. Reforms to stabilize and grow funding, expand eligibility and hire more legal aid lawyers and support staff are desperately needed.
In conclusion, access to justice should not depend on an individual's wealth. A proper legal aid system ensures that underprivileged and marginalized members of society have a fair chance at justice. Ontario must take action to strengthen legal aid funding, resources and services if it hopes to maintain a just and equal judicial system for all. Our most vulnerable depend on it.

Razak Iyal and Seidu Mohammed recently celebrated becoming Canadian citizens. Their stories have been intertwined since they crossed the Canada-United States border to seek asylum near Emerson, Manitoba, on Christmas eve of 2016. Their lives nearly ended on that frigid night at the side of a rural road.
The two men survived but both lost all their fingers to frostbite.
Others have not survived. On March 31 [2023], two families perished at the Quebec-US border, including an infant and a three-year-old.
Stories like Razak and Seidu’s have captured intense political and public attention in Canada.
Why aren’t people going to official ports of entry?
---
They will not be able to make a refugee claim and will be sent back to the US side of the border.
Until now, this agreement only applied at official land ports of entry which pushed people seeking asylum to cross at unofficial points and made the remote Roxham Road that dead-ends at the boundary line between Hemmingford, Quebec, and Champlain, New York, a legal and well-travelled option.
---
Advocates argued that the agreement not only infringes migrants’ rights under the Charter of Rights and Freedoms, but also violates Canada’s international legal obligations under the 1951 Refugee Convention [...]. Rather than suspending the agreement as many refugees and their advocates have long called for, the Canadian government has instead expanded it even though its legality is in question. [...]
How many deaths and other casualties of the STCA will it take before Canada reconsiders its reliance on increasingly restrictive and short-sighted policies? For the answer is blowing in the frigid wind along the US-Canada border: the Safe Third Country Agreement offers no real safety [...].
---
Text by: Jamie Liew, Petra Molnar, and Julie Young. “The new US-Canada border deal is inhumane - and deadly.” Al Jazeera. 19 April 2023. [Bold emphasis and some paragraph breaks/contractions added by me.] Liew is a lawyer and associate professor at University of Ottawa. Molnar is associate director of the Refugee Law Lab. Young is Canada Research Chair in Critical Border Studies and assistant professor in Department of Geography and Environment at University of Lethbridge.
A summary, from elsewhere:
The deal, which the Canadian government said would come into effect early on Saturday [25 March 2023], effectively extends the so-called Safe Third Country Agreement (STCA) to the entire US-Canada border. [...] “This is very dangerous,” said Frantz Andre, spokesperson and coordinator of Comite d’action des personnes sans statut, a Montreal-based group that provides support for asylum seekers and others without immigration status. [...] Why is this happening now? Canadian Prime Minister Justin Trudeau has been under political pressure domestically to respond to an increase in crossings, particularly from conservative politicians in Quebec and at the federal level.

FAQs About Real Estate Law in Ontario
Tumblr media

Whether you are a first-time home buyer or have been through the experience before, real estate law in Ontario can seem overwhelming and result in sleepless nights. Experienced real estate lawyers in Ottawa can help you navigate the buying or selling process to ensure that your transaction is smooth and stress-free.
What Does An Ontario Real Estate Lawyer Do That My Real Estate Agent Doesn’t?
Real estate agents are invaluable because they help you find your dream home and negotiate on your behalf for the best deal. However, only a lawyer can answer your legal questions about these documents which you need to understand before you sign. Your real estate lawyer reviews every document related to your transaction. A real estate lawyer signs the transfer of land and ensures that everything is done correctly at the closing. Your real estate lawyers in Ottawa give you peace of mind by answering your questions and handling the transaction properly.
What Are The Different Types Of Real Estate Transactions?
Real estate isn’t limited to making a purchase or selling a house. There are many other transactions that might require real estate lawyers in Rockland. If you are getting a mortgage or refinancing, you may want to have a lawyer review the documents before signing to ensure everything is correct. Title transfers outside of a sale, such as a transfer at death, can benefit from a lawyer’s expertise. An estate severance is another transaction where a lawyer can make sure the documents are in order.
Can A Buyer Back Out Of An Accepted Offer In Ontario?
Real estate law is often governed by the principle of “caveat emptor,” which is Latin for “let the buyer beware.” Generally speaking, once an offer is made and accepted, the only way to get out of it is for a material misrepresentation in the disclosure statements that is considered a significant part of the essence of the property. Buyers in this position should get advice from their real estate lawyer in Ottawa to determine the best course of action.
What Is The Difference Between Joint Tenants And Tenants In Common?
Joint tenancy usually has a right of survivorship. Joint tenants are typically married couples. When one of them dies, the ownership passes to the surviving spouse. Tenancy in common is typically used by non-married parties who own real estate together, whether common-law spouses or family and friends. Each party owns a share of the property. When one owner dies, their interest in the property must go through probate to be dealt with under the terms of the will.
What Real Estate Tax Rebates Are Available In Ontario?
In Ontario, homeowners may qualify for certain rebates, such as the first-time homeowner’s land transfer tax refunds or new housing HST rebate.
