Legal Guidance for DSOs: Insights from a DSO Lawyer
Introduction
Dental Service Organizations (DSOs) play a significant role in the modern dental industry, providing support services to dental practices and helping dentists streamline operations, improve efficiency, and enhance patient care. As DSOs continue to grow and evolve, they face various legal challenges and considerations that require careful navigation and expertise. In this guide, we'll explore the legal landscape for DSOs and provide insights from a DSO lawyer on key legal considerations, best practices, and strategies for success in the dental industry.
Understanding the Role of DSOs in Dentistry
DSOs are companies that provide a range of administrative, operational, and business support services to dental practices, including billing and collections, human resources management, marketing and advertising, procurement, IT support, and regulatory compliance. By outsourcing these non-clinical functions to a centralized management organization, dentists can focus on delivering high-quality patient care while benefiting from economies of scale, shared resources, and professional expertise.
Legal Considerations for DSOs
As DSOs continue to expand and operate across multiple states and jurisdictions, they face various legal considerations and regulatory requirements that can impact their operations, structure, and compliance obligations. Some key legal considerations for DSOs include:
Regulatory Compliance: DSOs must comply with federal, state, and local laws and regulations governing the operation of dental practices, healthcare providers, and business entities. This includes regulations related to healthcare fraud and abuse, anti-kickback laws, Stark Law, HIPAA, state dental practice acts, and corporate practice of dentistry laws.
Corporate Structure: DSOs must carefully structure their corporate entities and ownership arrangements to comply with state laws and regulations governing the ownership and operation of dental practices. This may involve structuring DSOs as management companies, professional corporations, or limited liability companies (LLCs), and ensuring that ownership interests are held by licensed dentists or qualified investors.
Contractual Relationships: DSOs must establish clear contractual relationships with affiliated dental practices, including management services agreements (MSAs), employment agreements, lease agreements, and vendor contracts. These contracts should clearly define the rights, responsibilities, and obligations of each party and address key legal issues such as compensation, termination, indemnification, and dispute resolution.
Licensing and Credentialing: DSOs must ensure that all affiliated dental practices and providers are properly licensed, credentialed, and compliant with state licensing requirements. This includes verifying the licensure status of dentists, hygienists, and other dental professionals, maintaining accurate records of licenses and certifications, and ensuring compliance with state dental board regulations.
Patient Privacy and Data Security: DSOs must comply with HIPAA regulations governing the privacy and security of protected health information (PHI) and implement robust policies, procedures, and safeguards to protect patient data from unauthorized access, use, or disclosure. This includes implementing secure electronic health record (EHR) systems, conducting regular risk assessments, and providing staff training on HIPAA compliance.
Best Practices for DSOs
In light of these legal considerations, DSOs can adopt several best practices to ensure compliance, mitigate risk, and promote success in the dental industry. Some key best practices for DSOs include:
Establishing a Compliance Program: Implement a comprehensive compliance program that includes policies, procedures, training, and monitoring to ensure adherence to applicable laws, regulations, and industry standards. This program should be overseen by a designated compliance officer and regularly reviewed and updated to address emerging risks and changes in the regulatory landscape.
Conducting Due Diligence: Conduct thorough due diligence reviews of affiliated dental practices to assess their compliance with regulatory requirements, financial stability, and operational integrity. This may include reviewing practice financials, licensure status, billing practices, patient records, and prior legal issues.
Providing Legal Education and Training: Provide ongoing legal education and training to DSO staff, affiliated dentists, and practice employees on key legal issues, compliance requirements, and best practices. This may include training on HIPAA compliance, fraud and abuse laws, coding and billing practices, and contractual obligations.
Implementing Risk Management Strategies: Implement risk management strategies to identify, assess, and mitigate legal and operational risks facing the DSO and affiliated dental practices. This may include conducting regular risk assessments, implementing internal controls and monitoring systems, and obtaining appropriate insurance coverage.
Seeking Legal Counsel: Consult with experienced legal counsel specializing in healthcare law and dental practice management to address legal issues, navigate regulatory requirements, and ensure compliance with applicable laws and regulations. Legal counsel can provide valuable guidance, advice, and representation on a wide range of legal matters affecting DSOs.
Insights from a DSO Lawyer
As a DSO lawyer, I have worked closely with DSOs and dental practices to address legal challenges, navigate regulatory requirements, and promote compliance with applicable laws and regulations. Through my experience, I have gained valuable insights into the legal considerations and best practices for DSOs operating in the dental industry.
One of the key insights I have learned is the importance of proactive compliance efforts and risk management strategies. By investing in a robust compliance program, conducting thorough due diligence reviews, and providing ongoing legal education and training, DSOs can mitigate legal and operational risks and promote a culture of compliance within their organizations.
Additionally, I have found that maintaining open communication and collaboration with affiliated dental practices is essential for success. By establishing clear contractual relationships, maintaining transparent communication channels, and fostering positive relationships with dentists and practice staff, DSOs can build trust, promote alignment, and achieve mutual goals.
Conclusion
Navigating the legal landscape for DSOs requires careful attention to detail, proactive compliance efforts, and collaboration with experienced legal counsel. By understanding the legal considerations, adopting best practices, and seeking insights from a DSO lawyer, DSOs can navigate legal challenges, mitigate risks, and promote success in the dynamic and evolving dental industry.

The following is the opening monologue for episode 300....
StartupNation, one of the greatest innovators of our generation, maybe of all time, is the late Steve Jobs, CEO of Apple Computer and of Pixar Animation Studios. Back in 2005, he gave a fantastic commencement speech. Here is part of this speech I want to share with you
"Your time is limited, so don't waste it living someone else's life. Don't be trapped by dogma — which is living with the results of other people's thinking. Don't let the noise of others' opinions drown out your own inner voice. And most important, have the courage to follow your heart and intuition. They somehow already know what you truly want to become. Everything else is secondary."
Everything else is secondary! That's the part that keeps ringing in my ear and is the inspiration for this episode. Everything else is secondary. StartupNation I don't need to tell you that the past fifteen months is a period none of us will ever forget. Many of you have been going through a tough time, and I know many of you have even lost loved ones—my condolences. However, one thing I think that the past fifteen months have taught us is that not only is life only precious, but it's also limited. We have been reminded that you must maximize the time you have here now because we genuinely do not know when our time is up. Being bold, attacking fear, and living your dream is not over once you create the LLC or quit your job. It's a continuous practice that you must make sure you maximize. Maximize the time that you have, maximize the opportunities you have, maximize the people that can help, and more importantly, maximize your ability while you are here. Tony Stark says that part of the journey is the end. Well, when we come to that end, let's make sure we end it with an exclamation point instead of a question mark or ellipses.
My name is Lawson, and for the 300th time, This is The Startup Life. Let's Begin!

BLAABR Lore- Corporate Antagonists
And another lore post! Many characters in BLAABR have augments, prosthetics, biohacks and other forms of cybernetics as the series’ tech is more advanced than our own. Not futuristic but more like stuff we’d have in the next 100 years or so and cybernetics are readily commercial in the series’ universe alongside other advanced tech like smart cities and their related systems being common. Given the corruption of Makina-Hiria it should come as no surprise some of these emerging tech companies aren’t the most ethical or clean and several characters are tied to them even if the companies themselves aren’t direct always antagonists. If interested then read below!
To start off is the ProtoTech Company, essentially the Apple of biohacking and commercial augments, they produce simple often cosmetic implants and augments from giving people unique skin patterns and hair or eye colour, to implants that monitor health or enhance natural senses and reflexes. They have a public image of trendiness with ads all over the city that pop out with stark but bright colours and images of models with eyecatching body modifications and they are the premier advocates for the commercial, smaller scale and less intrusive potential for cybernetic markets and research. However beneath this image they are of course an assembly line of new products each year to keep themselves in public relevancy and to achieve such continual innovation they are constantly undergoing well guarded research and testing of new products. What the public does not know however is that to bypass the red tape, waivers, and legal and financial complications, the ProtoTech devs opt to trick or outright kidnap at risk individuals from the homeless, war veterans, orphans, drug addicts, or anyone gullible or desperate enough to agree to what they believe to be a break or even treatment that the ProtoTech sometimes promises. As for characters tied to the ProtoTech there is Bianca Ochoa AKA the art thief Pigment who possesses her chameleon-esque abilities from a prototype implant geared towards dramatic and wide sweeping colour changing that was ultimately never put into mass production due to instability of control in regards to emotions as well as adverse effects of lethargy and slowed blood flow. The other is Amsel the Blackbird who isn’t completely cut loose of ProtoTech like Bianca as he gets regular modifications and upkeep from them though he largely acts independent of them much to the company’s chagrin as he is a more playful and open individual. Beyond these two, early early in BLAABR’s development some of the first villains I’d created were called “The No Evil Gang” who were three victims of ProtoTech experimentation based off sight, sound, and voice but they technically don’t exist anymore. I’ve never updated them or brought them back though I haven’t counted them out especially since they were the primary means of both portraying the malice of ProtoTech as well being the characters who are most driven by the ProtoTech Co as well so we may see them again in future.
Secondly! There is the Neo-Industrial and Intelligence Systematics LLC. or NiiS for short. Unlike the commercial new-product-a-minute mentality of ProtoTech, NiiS instead veers in the opposite direction fashioning themselves as a sleek and high end think tank of only the most refined cybernetics, not even partaking in small minimally intrusive devices like that of other companies. While not as morally reprehensible in their research as ProtoTech as NiiS truthfully makes products for medical applications, they do so out of logical dealing as opposed to genuine desire to help people as their products are primarily created for technological innovation as opposed to marketable or mass produced therapies. To this end many of their cybernetics and internal synthetics don’t ever see the light of day beyond NiiS facilities and while ProtoTech is shady in their experimental developments, NiiS is downright paranoid with the degree of secrecy they go to in all aspects of their operation. Eccentric perhaps, but what makes them antagonistic is not their method of experimentation but rather means maintaining profitable amid their less than business savvy method of operation: Industrial sabotage. Where ProtoTech borderline tortures innocent and unaware victims before disposing of them (both figuratively and literally), NiiS instead offers contractual, albeit off the books, work under them for those subjects whom they give more technical and adaptive replacements. Chief amongst them are Usoa Kaikuegui and Abrskil operating as saboteurs known as Resonance and Oxide. Usoa possessing an acoustical system throughout her body with it allowing her to even control her cybernetic arms and legs in the first place, she is capable of linking with additional NiiS hardware to unleash torrents of sonic waves or interfere with data and transmissions making her equally adept at espionage and destruction. Oxide meanwhile had his ravaged lungs and airways replaced with a complicated gaseous system of various chambers he can take full control over. Intentionally made for additional features beyond simply fixing his lungs, with appropriate ingredients he can turn his body into generator of debilitating noxious haze with his role more suited for the straight forward assassination of rival businessmen or researchers while his partner deals with their data. Lead by Ekaitz Fano the LLC remains publicly mysterious yet philanthropic while behind the scenes their augmented operatives ensure they remain high on the ladder of biotechnology.
That’s currently the main two but I have been recently considering an third party whom would function much differently being a cult like media conglomerate as opposed to tech firms but they’re not fully fleshed out yet so still in limbo for now. Anywho thanks for reading!

Equity Crowdfunding: Set To Change The World
We keep an eye on what's happening in this crowdfunding world, and when I read pieces in major publications or view segments on the TV and news channels, I'm struck by how little knowledge of crowdfunding is there, and the stark distinctions between donations-based crowdfunding which has been around for some time and the equity-based crowdfunding which is coming up on the coming up.
Let me attempt to describe. Donation-based crowdfunding is quite straightforward. The people "donate" money to a charity or business with no expectation of ownership. In return, they get an intangible "award" for their donation and these awards typically have tiers that are determined by the amount one gives. A modest donation could be rewarded with T-shirts or bumper stickers and a larger donation could result in a limited edition item and an all-expenses-paid weekend getaway or an invitation to a event with a celebrity-studded crowd. Donation-based platforms, such as Kickstarter and many others, charge a percentage fee from the funds raised, generally between 5 and 10 percent.
Equity-based crowdfunding is a different breed entirely, and in my opinion, far more exciting. Equity crowdfunding is a way to transform the entire world of finance upside down by giving ordinary consumers and smaller private businesses the ability to communicate directly with each other and removing the financial intermediaries who for decades have effectively monopolized the market for private investments and earned their money through the process.
The primary difference between equity crowdfunding vs. donor crowdfunding is the investors are granted an ownership stake in the company as a result of their investments , whether that's shares of stock of a corporation or ownership units of an LLC. In lieu of receiving a t-shirt with the next generation of giants in business such as Google, LinkedIn, Facebook or Twitter investors are able to join the ride and be part of new waves of commercial success (and sure, even failing).
However, there are some significant limitations when it comes to equity crowdfunding. For the majority of companies, they must create an operating plan as well as a financial model certified or audited financial statements, a valuation for their equity offerings as well as a variety of other things before they are able to offer their product on an SEC-approved platform.
Next wave of innovative companies is expected to be greatly boosted due to this increased opportunity to raise capital. Instead of a few small pools of investors who invest capital in the creation of new businesses in the near future, there will be billions of people around the world who can invest in the future of companies.
At present it is already possible to make significant modifications to the laws governing securities within the U.S. around equity crowdfunding first, businesses are allowed to raise capital through crowdfunding from accredited investors (people with a high annual salary (or net worth). Additionally, equity crowdfunding companies can promote their offerings to accredited investors. This is called "general solicitation". This isn't allowed until the 20th century across the U.S.
Third and last part in the equity crowdfunding piece is when the SEC will announce the rules the equity crowdfunding of investors who are not accredited. This will be the most pivotal moment in which everyone will be able the right to participate in public businesses. If the rules that companies must follow to raise this type of capital aren't overly complicated, this is an important issue.
What's more interesting is trying to anticipate and anticipate what might take place once this third and final element to the equity crowdfunding puzzle put into the right place. According to all indications, this is expected to happen sometime in the second quarter of 2014.
There has been lots of infrastructure built in the background to get ready for events almost upon us. Institutional investors aren't dumb they have been investing money in the websites and other businesses which will help aid equity crowdfunding. Some are working on establishing a an additional market for the reselling of crowdfunding investments, which will give the investors and the equity crowdfunding market needing liquidity. This would make those investment opportunities even more attractive.
And it's not just the institutional investors that are making bold decisions. Media/publishers, social media companies and others are playing the game well by either purchasing infrastructure firms for equity crowdfunding or constructing their own capabilities.
When you consider the development popularity of computers for personal use in the early 1980's, and the dawn of the Internet in the mid 1990's, this massive shift in the financial industry is likely to be as, if not even more as prolific. The world changed forever in 1995, when Netscape launched the first internet browser that was made accessible. The result was the number of internet users increasing from 16 million at start of the year 1996, to 360 million by at the end of 2000. The shares of new businesses that grew, Yahoo, eBay, Amazon, Priceline, etc. which have emerged to cater to the growing population , increased as much as 100 times between the years 1996 to 2000. Similar things are likely to be the case for companies that provide the vast majority of investors in equity crowdfunding.
