The problem with deposits
Sometimes it doesnât matter if your realtor is Moses, sellers can be unreasonable.
 For example, in a recent case, sellers wanted a deposit of $75,000 on the purchase of a small shopping plaza. This is a terrible idea for any buyer because today no brokerage can release a deposit without BOTH the seller and buyer agreeing to sign a mutual release and termination.
 Which means an unreasonable seller can simply decide not to sign the mutual release and termination simply because âthey donât fell like it.â
 So how does a buyer get his or her money back?
 They donât.
 What the heck?
 Nope. It sits in the real estate brokerageâs trust account âtil the sun burns itself out unless the buyer sues the sellers in court, is successful, and gets a COURT ORDER forcing the brokerage to release the darn deposit. Or they negotiate from a weak position, made weaker because of this one-sided regulatory rule.
 I had a client in Toronto who had to give up half (half!) her deposit to the sellers to get (part of) her money back because the sellers said, âWe donât think she tried hard enough to fulfill her conditions,â even though the agreement said it was up to her in her âsole and absolute discretion.â
 As long as you make reasonable efforts to fulfill your conditions, you should be able to get out of any agreement.
 For example, suppose you have a financing condition. And you get an offer to finance the deal at say an interest rate of 4.99%. The fact that you got an offer, any offer, is not by itself sufficient. You might not like 4.99% because you were hoping for 2.99%. So in your sole and absolute judgment, this offer (of finance) was unacceptable because, maybe, you cannot afford 4.99%; that is, you had budgeted for 2.99% instead.
 But to unreasonable sellers, they can say (incorrectly) that because you got any offer of finance, in their opinion, you should have waived your condition/provided them with a notice of fulfillment of condition.
 In litigation, no matter how ârightâ you think you are, there is always a risk of a judge finding against you.
 Itâs a terrible, lopsided system, weighted in favor of sellers.
 If I had my druthers, I would write in deposits of $2 on all my agreements⊠because of this.
 Whatâs the solution?
 Well, I told my Toronto client NOT to sue; instead she had her attorney register her notice of termination and mutual release on title as well as her APS (agreement of purchase and sale) at a cost of about $150 in legal fees so the sellers could not sell or remortgage their property without first dealing with this âlien.â
 Sure enough, they sold their property a few months later, and, when their lawyer discovered this issue on title, and after a temper tantrum, the sellers were more willing to negotiate. Still, my client lost half her deposit having done nothing wrong.

What Happened?
The father brought a motion to force the immediate sale of two jointly-owned properties, including the matrimonial home where the mother resided with their two children ages seven and four. The mother did not want either property sold.
The equity in the matrimonial home was about $1 million and the value of their Toronto investment property had a fair market value of approximately $700,000.
Partiesâ Positions
The father advanced that COVID-19 had drastically and unexpectedly decreased his income. Finally, the mother argued that the father was taking a scorched earth litigation strategy, seeking to sell properties when the real estate market was depressed.Â
Decision
The court accepted that both parents were experiencing financial hardship and that COVID-19 had unexpectedly and unavoidably created a profound and indefinite financial crisis for the family. The court found no reason to doubt the fatherâs estimate that his income for 2020 would be about half of what it had been in previous years. The court stated:
â[T]his pandemic has created such immediate financial crisis for so many individuals and businesses, that it would be unrealistic and inhumane not to understand that people are really hurting â and they need help now. [âŠ]Â
COVID-19 has at least temporarily ruined the financial prospects of both of these parties. And neither of them is to blame.â
While the court wondered why, in the face of economic uncertainty, the parents were spending money to pay lawyers to debate the sale of their homes, it acknowledged that the parents simply did not have enough money and that the sale of the two properties would free up at least $1.3 million dollars of joint funds, after clearing the parentsâ debts.
The court then stated:
âI find that both of these parties are frightened, angry and stubborn. Thatâs not enough to either force a sale or block a sale. Â
They are both acting so strategically and aggressively that they have lost sight of the harm they are doing to their children and to their bank accounts.Â
And they definitely donât seem to understand that in this COVID-19 economy, financially wasteful litigation is an indulgence they can no longer afford.â
However, the court concluded that the mother had not established any reason why either of the properties should not be sold. To the contrary, the court found that the father had clearly established that economic necessity required that both properties be sold, to alleviate a crippling debt load, and to free up significant available equity so that the parents can both get on with their lives.
As a result, the court ordered the immediate listing for sale of both properties.
