The National Stock Exchange of India Limited's Listing Compliance Department, located at Exchange Plaza, Bandra-Kurla Complex, Bandra (E), Mumbai 400 051, recently shared crucial outcomes from the Board Meeting held on July 27, 2023. The meeting took place at the Company's Registered Office.
In compliance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Board of Directors made significant decisions, which are detailed as follows:
Unaudited Financial Results Approval: The Board of Directors approved the Unaudited Financial Results of the company for the quarter ended June 30, 2023. The Limited Review Report accompanies the financial results.
Strategic Changes in Key Management: To enhance business operations and strategic planning, the Board decided to induct qualified professionals into key management positions. The new appointees will play crucial roles in constructively strategizing, directing, and conducting the business.
The following appointments, re-designations, and resignations were approved in the Key Managerial Persons (KMPs) and Board of Directors of the Company, based on the recommendation of the Nomination and Remuneration Committee:
Appointments:
Mr. Deepak Kumar Gupta (DIN: 00057003) was appointed as an Additional Director (Category: Executive) with immediate effect from July 27, 2023.
Mr. Deepak Kumar Gupta (DIN: 00057003) was further appointed as the Chief Executive Officer (CEO) and Whole Time Director of the Company for a period of 5 years, commencing from July 27, 2023, and ending on July 26, 2028.
Mr. Puneet Ralhan (DIN: 03588116) was appointed as an Additional Director (Category: Executive) with immediate effect from July 27, 2023.
Mr. Puneet Ralhan (DIN: 03588116) was designated as "Director (Marketing), (Category: Executive)" for a term of five consecutive years, effective from July 27, 2023, to July 26, 2028.
Mr. Ishan Mudgal (PAN: ENZPM2242E) was appointed as the Chief Financial Officer (CFO) of the company with immediate effect from July 27, 2023.
Cessations/Resignations:
Mr. Manoj Kumar Sharma (DIN: 09665484) resigned from the office of Whole-time Director of the Company with immediate effect from July 27, 2023.
Ms. Mansi Gupta (DIN: 09271995) resigned from the post of Non-Executive Independent Director of the company with immediate effect from July 27, 2023.
Alongside the above changes, the Board also approved the reconstitution of various Committees of the Company.
In addition to the above, the draft Notice of the 16th Annual General Meeting of the Company, scheduled for Monday, September 04, 2023, through Video Conferencing (VC) / Other Audio-Visual Means (OAVM), was discussed. The Notice, along with the Annual Report of the Company, will be circulated separately in due course.
The Board meeting commenced at 4:00 P.M. and concluded at 5:15 P.M.
Detailed information in accordance with Regulation 30 read with Schedule III of the Listing Regulations, and SEBI Circular CIR/CFD/CMD/4/2015 dated September 9, 2015, is enclosed for reference.

HOLI Celebration - A Closure
Hello Spandhana,
Dear Dear Dear Spandhana 🤗,
Don't have enough words to thank you for your spirit, participation, enthusiasm, encouragement, tolerance(of our shortcomings), and cooperation(specially the residents close to the amphitheater and park, wrt light and sound). 🙏🏻
We thank each one of you for making the 3-day event successful.
Wish to specifically mention a few names here:
1. Our **Core Organizing team** comprising Asma, Alamelu, Minal, Shruti, Mansi, Mira, Paromita. Enjoyed long & heated planning meetings with them. 🤗
2. Our **Extended organizing team** comprising Priyadarshini(proved distance matters not), Neha Aggarwal, Poonam, Arundhuti, Vidya, Geetanjali, Sreemoti, Nitasha. 🤗
3. Our **Elders** for their support and participation. Sukanya Mohan Madam's science quest was a hit. Her and Subramaniam Sir's suggestions for elders games helped a lot. Mathur uncle brought the breeze of Golden Era on stage. 🙏🏻
4. Our menfolk who backed us throughout the time we planned and executed:
(i) **Rahul Shridhar** for his help with Flea market & music arrangements, all-round support, involvement and guidance throughout. He spent long hours discussing with the Flea & music folks with us.
(ii) **Piyush Sharma** for his constant guidance, getting sponsorships, getting the amazing instrumental ensemble on-board, and tireless presence on ground, handling issues, supporting us in every aspect.
(iii) **Pinaki Ghosh** for getting sponsorships, always coming to our rescue even in early & late hours, for guiding us through financials and supporting throughout.
(iv) **Rohit Mahajan** for his help with the tent house, and Arun cook, sports, and constant presence on ground with his ever ready smile, help with backstage and support throughout.
(v) **Nitin Agrawal** for his support & tips, and photography, and ensuring I get my plate of chicken alright 😄.
(vi) **Shailesh, Ashutosh, Madhukar** for their support and help with the logistics.
(vii) **Harish** for his support and help with the Bullock Cart ride.
(viii) **Gagan Aggarwal** for his help and support. He saw to it that the famished organizers get their momos🤩.
5. **Geeta and Lokesh** for the rocking spinning band performance. Lokesh, your singing left us all spellbound. Your band is equally amazing. 👏🏼👌🏻
6. Our brilliant **Teens & Children** for their participation, painting deco, and enthusiastic performances in science quest, artwork, on tabla, dance, rap.
7. Vijay and ALL our participating men, women and children.
8. Last but not the least ever, our Support Staff in office, in security and on the ground. We attempted to thank them with a Holi sweet box, they are so so invaluable, cant thank enough.
It was our humble attempt to bring the community together across gender, age groups, faith & language.
We tried to have something for every taste too, from food to stalls to activities to the cultural evening.
We fixed the shortcoming we saw in our last programme on 19th Dec, 2021. Noticed few new ones, will address them too going forward.
We did not arrange for a professional photographer as we have faith in Spandhanites' photography abilities.

With the lockdown extending for two more weeks, there is no denying that we are living in difficult and unusual circumstances. As the countries across the globe continue to take stringent measures (including a complete lockdown) in a desperate attempt to contain the spread of the novel coronavirus, it has certainly changed the face of normalcy.
Schools have been shut worldwide and organizations have authorized remote working to their employees, which has collectively led to a shocking transition in our daily lives. It can be especially harder for the younger minds who have to stay cooped up all day long, instead of playing on the streets with their friends and sharing lunch during recess.
While working from home may have sounded like a gift, in the beginning, we all know how it has turned out. Most working parents are trying really hard to maintain a work-life balance and ensuring that their children are not glued to the gadgets. There is no denying that the responsibility of ensuring our kids sail through this quarantine time smoothly has brought its own complexities.
As parents, it is the time to step up our game and keep our little ones informed about what is happening around them to satiate their curiosity. Yes, an important part of keeping them safe and sound is to keep them aware. Here is what parents can do:
1.Provide them answers to what is happening around them and why is it happening
2.Work together to keep them engaged in a productive manner
3.You can engage them in doing household chores as well
4.Brainstorm to find new ways to battle boredom. One way encourage the child to follow his/her passion in the free time
5. Discuss with your child and set a reasonable limit on screen time and gadgets
How should parents communicate with kids
The first and the most important step is to validate what your child is feeling by giving them a non-judgmental platform to share their thoughts and feelings where your child will feel heard and understood.
Secondly, engage and spend more time with your family and find out ways to actively connect to them. This will help the kids to develop a close-knit bond with their extended family as well. For instance, children who are between the age of five to eight years share a closer bond with their grandparents, so you can try to schedule video calls with them regularly.
Children between the age of nine to twelve years can be taught mindful ways to reconnect with their friends and family members through Facetime dates, phone calls, or drawing something and sharing it with their friends via messaging platforms.
It is very important to understand that there will be phases when your children will tremendously miss their friends, teachers, and even the fun that they used to have in their schools. Hence, as a parent, you will have to think of creative ways to help them feel connected to their loved ones and also acknowledge the fact that not being able to see friends and family members can be incredibly difficult.
Learning while homeschooling:
One of the biggest challenges in current times is managing to effectively educate our children at home. Here are some tips that can help parents:
Set up a schedule: Following a proper routine is healthy and has become even more important during this time. As parents, fix a healthy yet balanced routine for your children just like the school time table. Remember, that it is okay to take a break from the schedule and be a little flexible with the same.
To set up a routine, you can start the day with a fun and easy-to-do exercise session and have a healthy and delicious breakfast afterward. Pick a topic of child’s interest to discuss over the dining table as it will help them get in the right frame of mind. This can be followed by studying online with teachers and friends. Make sure to allot recess and breaks regularly and schedule some time for fun-filled activities such as board games or dumb charades with the whole family as well.
Parents, remember to not get too caught up with the idea of replicating school at home. Take it one day at a time and gently nudge your children to explore their passions during the lockdown.

What there is a limit to however, is the duration the makers of a TV serial can stretch the storylines. TV Actress Who Quit Popular Shows Recently. 1. Nia Sharma (Roshni, Jamai Raja) Nia Sharma decided to quit the show the moment she heard about the two decade leap. She was sure that she didn’t want to age on the show and hence she decided to part ways from a serial she was a part of since the inception. 2. Drashti Dhami (Gayatri, Ek Tha Raja EK Thi Rani) Drashti too wasn’t comfortable with the idea of the show taking a leap. She wasn’t ready to play a mother on screen so early in her career. She felt she was not mentally prepared prepared for it and hence she and her production house amicably decided to end the character. 3. Eisha Singh (Dhaani, Ishq Ka Rang Safed ) Eisha, who is the new protagonist in Ek Tha Raja Ek Thi Rani, recently quit Ishq Ka Rang Safed. She, being a teenager, naturally didn’t want to essay the role of a mother. She discussed the problem with the producers but when things didn’t work out the way she wanted, Eisha decided to part ways from the show. 4. Mansi Srivastava (Prerna, Sasural Simar Ka) Mansi was still contemplating whether or not to continue after the five-year leap when the makers of Sasural Simar Ka announced the 20-year leap. Like all other young actresses, she too wasn’t comfortable with ageing on screen at this point in her career and hence she made the tough decision of quitting the much popular show. 5. Shilpa Shinde (Angoori Bhabhi, Bhabhiji Ghar Par Hai) Shilpa, who played the lead in the show, was apparently made to sign a contract that would have barred her from doing other shows. This and many other legal complications compelled Shilpa to quit the much liked show. 6. Upasana Singh (Pinky Bua, Comedy Nights Live) Upasana Singh was the only member from Kapil Sharma’s team who decided to stick by Colors and the Comedy Nights Live.
