NCLAT hiring Law Research Associates in New Delhi, Chennai for three-year contracts, ₹60k/month; Indians under 30 with law degrees.
The National Company Law Appellate Tribunal is seeking applications for the engagement of Law Research Associates (LRA) on a purely contractual basis. There are 20 vacancies available at the Principal Bench in New Delhi and 4 vacancies at the Chennai Bench in Chennai, Tamil Nadu. The period of appointment for LRAs is initially one year, with the possibility of extension for up to three years. LRAs may be discontinued before completion of one year if their services are found to be unsatisfactory. They are also required to give six weeks’ notice if they intend to leave the assignment within one year.
Candidates must be under 30 years of age and citizens of India. Eligibility criteria include being a graduate in law with a minimum aggregate of 50% marks from a recognized institution in India. Candidates who have passed all their examinations within the duration of their course are eligible to apply. Law graduates who obtained their degree not earlier than two years prior to the date of advertisement are also eligible. Candidates in the fifth year of the Five-Year Integrated Law Course or the third year of the Three-Year Law Course after Graduation in any stream can apply, provided they furnish proof of acquiring their law qualification before taking up the assignment. Candidates pursuing postgraduate degrees or other programs requiring compulsory attendance elsewhere during the expected period of engagement are not eligible.
LRAs must have research and analytical skills, writing abilities, and knowledge of operating computers and common software. They must also have a good knowledge of Company Law with IBC and Competition Law. LRAs are entitled to one day of casual leave per month, with a maximum eligibility of 12 days per year. They are required to obtain prior permission from the Competent Authority before leaving the station.
LRAs will be paid a consolidated fixed amount of Rs. 60,000 per month as honorarium/remuneration, with no additional allowances or perks. During the period of their assignment, LRAs are not allowed to practice as advocates or take up any other employment. They are also prohibited from practicing before the Member with whom they were attached for a period of three years after the end of their assignment.
The duties, responsibilities, and other conditions of the assignment as LRA are governed by the ‘Scheme of engagement of Law Research Associates in the NCLAT and NCLT.’ The application process requires submitting a completed application form along with self-attested photocopies of the required documents. The appointment on a contractual basis is full-time, and LRAs are not permitted to take up any other assignment during their engagement with the NCLAT.
The National Company Law Appellate Tribunal reserves the right not to fill all the vacancies. Applications should be sent to the Registrar of the NCLAT before the closing date of March 7, 2024. Late or incomplete applications will be rejected. The vacancy circular and necessary forms can be downloaded from the NCLAT website.

Here is why liquidation holds precedence under insolvency and bankruptcy code

Introduction
Insolvency and Bankruptcy Code, 2016 (IBC) is a distinctive enactment providing revival opportunities to a company reeling under debt. The code has streamlined the existing fragmented laws dealing with insolvency of a company into a uniform code thereby accelerating the entire insolvency process in India. It is one integrated statute that enumerates provisions for both insolvency resolution and in case of the corporates wherein no course of action can resuscitate them, their liquidation and winding-up.
The Adjudicating Authority time and again keeps adding various tints to the yet evolving jurisprudence of the Code through its various orders and judgements.
In this article, I will analyse a recent judgement dated 18th June, 2020 passed by the National Company Law Appellate Tribunal, New Delhi in the matter of Mr. Srikanth Dwarakanath, Liquidator of Surana Power Limited V. Bharat Heavy Electricals Limited.
Why is the case in headlines?
The National Company Law Appellate Tribunal (NCLAT) set aside the order of National Company Law Tribunal, Chennai giving a nod to initiate the liquidation process of Surana Power Limited holding that the liquidation process under the said code outweighs the outcome of arbitration proceedings without hampering the process under IBC.
Facts of the case
Surana Power Limited, a Tamil Nadu based company, was admitted by the Adjudicating Authority into Insolvency Resolution Process under IBC on 20th January 2019.
The company did not receive any resolution plans and subsequently was ordered to be liquidated by the Adjudicating Authority.
Meanwhile, a state-run Bharat Heavy Electricals Limited (BHEL) was successful in getting an ex parte arbitral award against the Surana Power Limited.
The award granted lien to BHEL over the equipment and goods lying at the site of the Corporate Debtor along with the title rights over finished and unfinished buildings.
However, BHEL is also one of the secured creditors to Surana Power holding 26.24% share (in value) who would get preference over other unsecured creditors.
But due to the waterfall mechanism the share of BHEL would fall to a great extent.
Therefore, on the basis of the arbitral award BHEL did not consent to the liquidation process by refusing to relinquish its security interest in the assets of the Corporate Debtor.
The refusal was challenged by the Liquidator by filing an application seeking permission to proceed with the sale of the assets of Surana Power before the National Company Law Tribunal, Chennai.
Ruling of National Company Law Tribunal, Chennai
The Hon’ble Tribunal ruled out in favour of BHEL stating that BHEL’s lien has a preference over the charge created in favour of the remaining Secured Financial Creditors and the Liquidator cannot proceed with the sale of the assets of Surana Power unless BHEL relinquishes the Security interest.
Appeal
Aggrieved by the order of the NCLT, Chennai an appeal was filed by the Liquidator before the NCLAT, New Delhi to set aside the impugned order of the Hon’ble Chennai bench and to allow the sale of the assets of the Corporate Debtor.
Ruling of National Company Law Appellate Tribunal, New Delhi
The Hon’ble Tribunal set aside the impugned order dated 20th November 2019 allowing the Liquidator to proceed with the liquidation process of Surana Power Limited. The Hon’ble Bench established the precedence of the liquidation process over the outcome of the arbitral proceedings and thus no arbitral award can halt the proceedings under Insolvency and Bankruptcy Code,2016.
Reasoning and analysis of the judgement
To begin with it becomes imperative to note that upon liquidation, the Secured Creditors have the following two options to realise their Security Interest:
To enforce its Security Interest by staying outside the liquidation process wherein there is a possibility that the Secured Creditors might lose their priority in distribution of assets with respect to any portion of debt that they could not recover on enforcement as per Section 52 of the code;
To relinquish the Security Interest and be a part of the Liquidation process wherein their dues are placed at a high rank in the priority of distribution as stated under Section 53 of the Code.
It is pertinent to note that when all the Secured Creditors have relinquished their Security Interest in the liquidation estate of the Corporate Debtor, then only the Liquidator can proceed under Regulation 32 of the IBBI (Liquidation Process), Regulations, 2016 and dispose of the assets of the Corporate Debtor. In the present scenario, the refusal of BHEL to relinquish its Security Interest has created a deadlock situation wherein the Liquidator is unable to proceed with the sale of the assets of the Corporate Debtor despite the other Secured Creditors having a total value of 73.76% in the Secured Assets have relinquished their Security Interests.
Further, the view taken by the Adjudicating Authority that BHEL’s lien has a preference over the Secured Assets of the Corporate Debtor as against the remaining Secured creditors is violative of Section 53 of the IBC which enumerates the waterfall mechanism.
What is the waterfall mechanism under Section 53?
It sets forth the manner in which the proceeds from the sale of liquidation assets are to be distributed amongst various stakeholders.
The top most priority is given to the Insolvency Resolution Process costs followed by the Workmen dues of the Corporate Debtor.
The Workmen dues include all sorts of funds maintained for the welfare and social being of the Workforce such as salaries, provident, pension, retirement etc.
Under this mechanism, Secured Creditors are prioritized over Unsecured Creditors. The Secured Creditors are to be paid in full to the extent of their admitted claim before proceeding with the claims of the Unsecured Creditors.
Therefore, it becomes evident that only when all the dues of the Secured Creditors are served, the Liquidator can move towards the claims of the Unsecured Creditors.[1]
Hence, the Adjudicating Authority has erred in realizing that all the Secured Creditors are placed at the equal footing in the liquidation process and BHEL cannot presume to have a preferential right over the assets against the other Secured Creditors.
As BHEL is also a Secured Creditor at par with the remaining other ten Secured Creditors of the Corporate Debtor, it becomes pertinent to state the provisions of SARFAESI Act dealing with the enforcement of Security Interest.
As per Section 13(9) of the SARFAESI Act, 2002:
[Subject to the provisions of the Insolvency and Bankruptcy Code, 2016, in the case of] financing of a financial asset by more than one secured creditors or joint financing of a financial asset by secured creditors, no secured creditor shall be entitled to exercise any or all of the rights conferred on him under or pursuant to sub-section (4) unless exercise of such right is agreed upon by the secured creditors representing not less than [sixty per cent] in value of the amount outstanding as on a record date and such action shall be binding on all the secured creditors;
Considering the above stated provision, the NCLAT opined that it would be prejudicial to stall the liquidation process at the instance of one creditor having only 26.24% share (in value) wherein all the other creditors having 73.76% share (in value) have already relinquished their Security Interest into the liquidation estate. Hence, the decision of the 73.76% Secured creditors who are in majority shall be binding on the other dissenting Secured creditors, herein, BHEL.
Further, the Appellate Tribunal placed reliance on its verdict in JM Financial Asset Reconstruction Company Ltd. Vs. Finquest Financial Solutions Pvt. Ltd wherein it opined that under Section 52 only one Secured Creditor can enforce his right to realise his Security Interest out of the Secured Assets of the Corporate Debtor. When one Secured Creditor has enforced his right by virtue of Section 52, no other Secured Creditor can enforce his right subsequently with respect to the same Secured Assets, as the excess amount after the first enforcement is required to be deposited in the account of the Liquidator.[2]
In the present case the Liquidator has cleared the air by reiterating that the right of BHEL is not exclusive as there are other ten Secured Creditors placed at par with the Creditor in question in respect of the same Secured Assets. Therefore, the only option left with BHEL was to realise its Security Interest in accordance with provisions of Section 13(9) of the SARFAESI Act, 2002.
Since, BHEL did not have the requisite 60% share (in value) it cannot be allowed to realise its Security Interest as it would become detrimental to the interest of other Secured Creditors thereby subverting the very essence of the Liquidation process.
Conclusively, in the above-mentioned case the Appellate Tribunal reiterated that the Insolvency and Bankruptcy Code,2016 is itself a complete code and no outcome of Arbitral Proceedings can halt the proceedings under IBC. It further stated that all the Secured Creditors under IBC are placed at the equal footing and no Secured Creditor can said to have a preferential right as against the other Secured Creditors over the Secured Assets of the Corporate Debtor as it would violate the purpose of the Liquidation process itself. In order to ensure that every stakeholder receives fair value of their shares, it becomes indispensable to follow the waterfall mechanism as it enumerates a crystal-clear manner in which the assets of the Corporate Debtor are to be distributed at the time of Liquidation. Hence, the verdict of the Appellate Tribunal explicitly states the precedence of liquidation process under IBC over the outcome of arbitral proceedings.

Facebook rolls out new video tools, plus Instagram and IGTV scheduling feature
Facebook on Monday announced a number of updates aimed at video creators and publishers, during a session at the International Broadcasting Convention (IBC) taking place in Amsterdam. The updates involve changes to live video broadcasting, Facebook’s Watch Party, and Creator Studio, and they include enhancements to tools, expanded feature sets, and improved analytics, among other things.
The highlights include better ways to prep for and simulcast live broadcasts, ways to take better advantage of Watch Party events, new metrics to track video performance, and a much-anticipated option to schedule Instagram/IGTV content for up to six months’ in advance.
Live Video
In terms of live video, Facebook says it listened to feedback from those who have been broadcasting live on its platform, and is now rolling out several highly-requested features to Facebook Pages (not Profiles.) The changes are an attempt to better accommodate professional broadcasters who want to use Facebook’s live broadcasting capabilities instead of or in addition to other platforms, like YouTube.
Through the Live API, publishers can now use a “rehearsal” feature to broadcast live only to Page admins and editors in order to test new production setups, interactive features, and show formats before going live to a full audience. QVC has tested this feature, as they broadcast live on Facebook for hundreds of hours per month, and have wanted to try out new workflows and formats.
Publishers will also be able to trim the beginning and end of a live video, and can live broadcast for as long as 8 hours — double the previous limit of 4 hours.
This latter capability has already been used by NASA, who broadcast an 8-hour long spacewalk, for example, and it also leaves room for broadcasting things like live sports, news events, and Twitch-like gaming broadcasts.
Most notably, perhaps, is that the company realizes live broadcasters need to serve their audiences outside of Facebook. Now, publishers will be able to use apps that let them stream to more than one streaming service at once, by simulcasting via the Live API.
Live video recently rolled out to Facebook Lite, as well, the company also noted.
Watch Party
Facebook additionally announced a few new updates for its co-watching feature, Watch Party, which include the ability for Pages to schedule a party in advance to build anticipation, support for “replays” that will let others enjoy the video after airing, the ability to tag business partners in branded content, and new analytics.
As for the latter, two new metrics are being added to Creator Studio: Minutes Viewed and Unique 60s Viewers (total number of unique users that watched at least 60 seconds in a Watch Party.) These complement existing metrics like reach and engagement.
The Live Commenting feature, which allows a host to go live in a Watch Party to share their own commentary, is also now globally available.
Creator Studio
And wrapping all this up is an update to Creator Studio, which is what publishers use to post, manage, monetize and measure their content across both Facebook and Instagram.
The dashboard will soon add a new visualization layer in Loyalty Insights to help creators see which videos loyal fans want to see, by measuring which videos drive return viewers.
A new Distribution metric will score each video’s performance based on the Page’s historic average on a range of metrics, including: 1 Minute Views, Average Minutes Watched, and Retention. This feature, rolling out in the next few months, will offer an easy-to-read snapshot of a video’s performance.
Creator Studio will also now support 13 more languages for auto-captioning: Arabic, Chinese, German, Hindi, Italian, Malay, Russian, Tagalog, Tamil, Thai, Turkish, Urdu, and Vietnamese. These are in addition to those languages already available, which included English, French, Portuguese and Spanish.
Instagram & IGTV Scheduling
And finally, publishers and creators will be able to publish and schedule their Instagram Feed and IGTV content for up to 6 months. In a few more months, Instagram Feed and IGTV drafting and editing will also become available, the company says.
This feature was already spotted in the wild before today’s announcement, and sent the social media management and influencer community abuzz. It also follows an update to the Instagram API last year to allow scheduling by third-party applications. However, a native feature is not as limited as some of those other options.
The feature is now open to all creators and publishers with Facebook Pages, whereas before some were seeing it labeled only as “coming soon” or were not able to get it working. Story scheduling is not yet included here, but it wouldn’t be surprising to see it added further down the road.

Facebook additionally announced a few new updates for its co-watching feature, Watch Party, which include the ability for Pages to schedule a party in advance to build anticipation, support for “replays” that will let others enjoy the video after airing, the ability to tag business partners in branded content, and new analytics.
As for the latter, two new metrics are being added to Creator Studio: Minutes Viewed and Unique 60s Viewers (total number of unique users that watched at least 60 seconds in a Watch Party.) These complement existing metrics like reach and engagement.
The Live Commenting feature, which allows a host to go live in a Watch Party to share their own commentary, is also now globally available.

And wrapping all this up is an update to Creator Studio, which is what publishers use to post, manage, monetize and measure their content across both Facebook and Instagram.
The dashboard will soon add a new visualization layer in Loyalty Insights to help creators see which videos loyal fans want to see, by measuring which videos drive return viewers.
A new Distribution metric will score each video’s performance based on the Page’s historic average on a range of metrics, including: 1 Minute Views, Average Minutes Watched, and Retention. This feature, rolling out in the next few months, will offer an easy-to-read snapshot of a video’s performance.
Creator Studio will also now support 13 more languages for auto-captioning: Arabic, Chinese, German, Hindi, Italian, Malay, Russian, Tagalog, Tamil, Thai, Turkish, Urdu, and Vietnamese. These are in addition to those languages already available, which included English, French, Portuguese and Spanish.

And finally, publishers and creators will be able to publish and schedule their Instagram Feed and IGTV content for up to 6 months. In a few more months, Instagram Feed and IGTV drafting and editing will also become available, the company says.
This feature was already spotted in the wild before today’s announcement, and sent the social media management and influencer community abuzz. It also follows an update to the Instagram API last year to allow scheduling by third-party applications. However, a native feature is not as limited as some of those other options.
The feature is now open to all creators and publishers with Facebook Pages, whereas before some were seeing it labeled only as “coming soon” or were not able to get it working. Story scheduling is not yet included here, but it wouldn’t be surprising to see it added further down the road.

Facebook rolls out new video tools, plus Instagram and IGTV scheduling feature
Facebook on Monday announced a number of updates aimed at video creators and publishers, during a session at the International Broadcasting Convention (IBC) taking place in Amsterdam. In terms of live video, Facebook says it listened to feedback from those who have been broadcasting live on its platform, and is now rolling out several highly-requested features to Facebook Pages (not Profiles.) The changes are an attempt to better accommodate professional broadcasters who want to use Facebook’s live broadcasting capabilities instead of or in addition to other platforms, like YouTube.
Through the Live API, publishers can now use a “rehearsal” feature to broadcast live only to Page admins and editors in order to test new production setups, interactive features, and show formats before going live to a full audience. QVC has tested this feature, as they broadcast live on Facebook for hundreds of hours per month, and have wanted to try out new workflows and formats.
Publishers will also be able to trim the beginning and end of a live video, and can live broadcast for as long as 8 hours — double the previous limit of 4 hours.
This latter capability has already been used by NASA, who broadcast an 8-hour long spacewalk, for example, and it also leaves room for broadcasting things like live sports, news events, and Twitch-like gaming broadcasts.
Most notably, perhaps, is that the company realizes live broadcasters need to serve their audiences outside of Facebook. Now, publishers will be able to use apps that let them stream to more than one streaming service at once, by simulcasting via the Live API.
Live video recently rolled out to Facebook Lite, as well, the company also noted.

COVID-19 Outbreak: Oxford's vaccine shows encouraging results in initial test; ICC postpones Men's T20 World Cup
The total number of coronavirus cases crossed 11 lakh with a single-day spike of 40,425 cases on Monday, while the toll rose to 27,497 with 681 new casualties reported. It is the first time the number of new cases registered was above 40,000.
The total tally of 11,18,043 cases includes 3,90,459 active cases and 7,00,087 cured/discharged/migrated patients and the toll. The health ministry said that the recovery rate is now 62.62 percent.
Meanwhile, a vaccine candidate developed at the University of Oxford has shown encouraging results in early human testing and appears to be "safe well-tolerated, and immunogenic", according to a study published in The Lancet on Monday.
Oxford's COVID-19 vaccine produces 'strong antibodies', shows initial study
Trials by the Oxford University involving 1,077 people showed that the injection led to them making antibodies and white blood cells that can fight coronavirus. The vaccine, named 'ChAdOx1 nCoV-19', has been made from a harmless virus called 'chimpanzee cold virus'.
"Our preliminary findings show that the candidate ChAdOx1 nCoV-19 vaccine given as a single dose was safe and tolerated, despite a higher reactogenicity profile than the control vaccine, MenACWY," the researchers, led by Pedro M Folegatti and Katiet Ewer, wrote in the study.
"No serious adverse reactions to ChAdOx1 nCoV-19 occurred. The majority of adverse events reported were mild or moderate in severity, and all were self-limiting," the study said.
The clinical trials of a potential COVID-19 vaccine on humans began in April. The human vaccine trial has been developed by scientists at Oxford University's Jenner Institute.
Reportedly, the scientists also said that they "found their experimental COVID-19 vaccine produced a dual immune response in people aged 18 to 55 that lasted at least two months after they were immunised".
The study showed that the vaccine induced strong antibody and T-cell immune responses up to day 56 of the ongoing trial.
“We are seeing good immune response in almost everybody,” said Dr Adrian Hill, director of the Jenner Institute at Oxford University. “What this vaccine does particularly well is trigger both arms of the immune system,” he said.
ICC postpones Men's T20 World Cup due to COVID-19 pandemic
The International Cricket Council (ICC) announced the postponement of this year's Men's T20World Cup in Australia due to the ongoing coronavirus pandemic. The T20 World Cup was slated to be played in Australia from 18 October to 15 November this year.
"The IBC Board (the commercial subsidiary of the ICC) agreed to continue to monitor the rapidly changing situation (regarding coronavirus pandemic) and assess all the information available in order to make a considered decision on future hosts to ensure the sport is able to stage safe and successful global events in 2021 and 2022," ICC said in a statement.
"The IBC Board will also continue to evaluate the situation in relation to being able to stage the ICC Women's Cricket World Cup 2021 in New Zealand in February next year. In the meantime, planning for this event continues as scheduled," the statement added.
ICC Chief Executive Manu Sawhney said their number one priority was to protect the health and safety of everyone involved in the sport.
Delhi seems to have reached COVID-19 peak, says AIIMS chief
Certain areas of Delhi have hit their peak of the COVID-19 pandemic, while certain other areas in the city are yet to reach the peak, said AIIMS director Dr Randeep Guleria on Monday. He added that there is not much evidence of community transmission happening at the national level.
"Certain areas have hit their peak in COVID-19 cases. Delhi seems to have done so because the cases have declined significantly. Certain areas have yet to reach the peak. They will reach the peak a little later," Guleria said, while addressing a press conference.
The National Capital had witnessed a surge in the cases of novel coronavirus cases over the past one month. However, the number of active cases has seen a dip over the past few weeks.
Bengal govt to enforce lockdown for two days every week
In light of the rising number of COVID-19 cases in the state, the West Bengal government announced a lockdown in the state for two days every week starting from 23 July.
In a press meet, the West Bengal home secretary said, "There will be a two-day complete lockdown every week starting from Thursday. Lockdown will be on Thursday and Saturday this week. This lockdown has been imposed in addition to running a broad-based containment zone approach."
The two days of lockdown will be decided on a weekly basis.
"All views have been taken into account and it has been decided the days for the lockdown will be announced each week. There will be complete lockdown in offices and transport," the official added.
State-wise cases and deaths
Maharashtra reported 176 deaths and 8,240 new COVID-19 cases on Monday. The total count of cases now stands at 3,18,695, including 1,75,029 recovered cases and 1,31,334 active cases.
Meanwhile, Mumbai reported 1,043 new COVID-19 cases, 965 cured patients and 41 deaths. The total number of cases in the city stands at 1,02,267, including 23,865 active cases, 72,650 discharged patients and 5,752 deaths.
A total 4,985 COVID-19 cases and 70 deaths were reported in Tamil Nadu. The total number of cases has risen to 1,75,678, including 51,348 active cases and 2,551 deaths.
Delhi reported 954 new COVID-19 positive cases, 1,784 recovered /discharged/migrated patients and 35 deaths. The total count of cases has risen to 1,23,747 including 1,04,918 recovered/discharged/migrated and 3,663 deaths.
Karnataka reported 3,648 COVID-19 cases and 72 deaths, taking active cases to 42,216 and toll to 1,403. Kerala reported 794 COVID-19 cases on Monday, taking the number of active cases to 7,611. A total of 5,618 patients have been discharged so far in the state.
Punjab reported 411 new COVID-19 positive cases and eight deaths. The total number of cases has risen to 10,510, including 3,130 active cases, 7,118 discharged patients and 262 deaths.
Telangana recorded 1,198 new COVID-19 cases and seven deaths. The total count of cases has risen to 46,274, including 11,530 active cases and 422 deaths.
Uttar Pradesh reported 1,924 COVID-19 cases and 46 deaths in the last 24 hours. The active cases stand at 19,137 and the toll has risen to 1,192. A total of 30,831 patients have been discharged so far.
Rajasthan reported 956 new COVID-19 cases and nine deaths till 8.30 pm on Monday. The total number of cases has risen to 30,390, including 7,627 active cases and 568 patients have died due to the disease.
A total of 998 COVID-19 cases and 20 deaths were reported in the last 24 hours in Gujarat. The state's count of cases has risen to 49,439, including 11,613 active cases, 35,659 cured/discharged patients and 2,167 deaths.
Manipur's COVID-19 case count has risen to 1,925 with 14 new cases reported today. The number of recovered cases is 1,320 and there are 605 active cases.
