almost fell for a scam caller cause im sleep deprived and etc, except their biggest pitfall was wanting me to do something that required me to put on pants
it was very professional, im almost proud. like, hello, you've been a victim of identity theft, someone has been using your name to ship hundreds of pounds of drugs across the US-Mexican border etc, there's a house in TX with your name etc, here's my badge number blah blah, im like cool cool sounds reasonable
i get transferred over to the 'US Treasury Dpt' -theyre def using a number copier, cause it did look like they were using the number of the OR Treasury bldg and idk enough to know whether or not they'd use that number to call- and i talk to a dude, and he's like, okay, here's what we're gonna do, first you're gonna go to your bank and withdraw all your money-
and im like. wait. Wait. excuse me?

OPC Compliance: Your Guide to Legal Requirements
A One Person Company (OPC) is a unique type of business entity introduced under the Companies Act 2013. It allows a single individual to form a company and enjoy the benefits of a corporate structure while avoiding many of the complexities associated with traditional business structures. However, despite being simpler, Annual Compliance For Opc are required to follow certain obligations to stay compliant with legal and regulatory requirements.
1. Annual Return Filing (MGT-7A)
Every OPC must file an annual return in Form MGT-7A, a simplified form designed for OPCs and small companies. This return contains details of the management, financial summary, and shareholders. It should be filed with the Registrar of Companies (RoC) within 60 days of the conclusion of the Annual General Meeting (AGM).
Due Date: Within 60 days from the date of AGM or the due date of AGM (which is six months from the end of the financial year).
2. Financial Statement Filing (AOC-4)
The OPC's financial statements must be filed in Form AOC-4. This form includes the balance sheet, profit and loss account, and other related financial documents. It is crucial to get these statements audited by a Chartered Accountant.
Due Date: Within 180 days from the closure of the financial year (typically, the due date is 27th September).
3. Income Tax Returns
OPCs must file their income tax returns by the prescribed date. The tax rates for OPCs follow the same guidelines as those applicable to private limited companies, and any profits are taxed at a flat rate of 25-30%, depending on the turnover.
Due Date: 30th September of the relevant assessment year.
4. GST Filings
If the OPC is registered under GST, it needs to file monthly or quarterly GST returns (depending on the turnover). Additionally, an annual GST return (GSTR-9) summarising all the transactions must be filed.
Monthly/Quarterly Returns: GSTR-1 and GSTR-3B.
Annual Return: GSTR-9 (if applicable).
5. Board Meetings
An OPC with more than one director is not required to hold board meetings. However, if the company has more than one director, it must hold at least two board meetings each year. The gap between these meetings is 90 days at most.
6. Audit of Accounts
Just like other companies, an OPC is required to get its financial accounts audited. The appointment of an auditor is mandatory, and the auditor must audit the books of accounts and submit a report.
7. Director's Report
A Director's Report must be attached along with the financial statements. This report highlights the financial status of the company and other related information such as risks, plans, etc.
8. Other Compliance
KYC of Directors: Every director of an OPC must file DIR-3 KYC annually to update their KYC information with the Ministry of Corporate Affairs (MCA).
Form DPT-3: If the company has accepted deposits, Form DPT-3 needs to be filed. It is a declaration of the return of deposits or outstanding receipt of money.
Penalties for Non-Compliance
Failure to comply with the annual compliance requirements can result in penalties for the OPC. These penalties can range from fines for late filings to disqualification of directors or even legal actions against the company.

These companies are crucial for compliance with Indian corporate laws and regulations. Failure to comply with these regulations can result in penalties and fines for the company’s officers, directors, or the company itself. Following are a comprehensive list of Annual ROC Compliances.
1. Board Meetings:
Description: Every company is required to hold at least four board meetings per year, and the difference between any two meetings must not be more than 120 days. In the case of one-person companies, dormant companies, small companies, and Section 8 companies, it is required to hold one board meeting in each half of the year, and the difference between two meetings must be more than 90 days. The first board meeting of a company must be held within 30 days of its incorporation.

2. Disclosure of Interest by Directors (Form MBP-1):

Deadline: Every company must prepare, sign, and keep minutes of every meeting within 30 days of the meeting’s conclusion.

Description: According to the Companies Act, 2013, every company is required to maintain statutory registers, which must be kept at the registered office of the company in either paper or electronic form. These registers include:

Register of Debenture Holders/ Other Securities Holders
Register of Directors and Key Managerial Personnel and Their Shareholding
Register of Renewed and Duplicate Share Certificate
Register of Sweat Equity Shares
Register of Employee Stock Option
Register of Shares/Other Securities Bought Back
Register of Charges
Register of Loans, Guarantee, Security And Acquisition Made By Company
Register of Investment Not Held In Its Own Name By The Company
Register of Contracts With Related Parties And Contracts And Bodies, Etc., In Which Directors Are Interested
5. Return of Deposits (Form DPT-3):
Description: The e-Form DPT-3 is an Annual compliance form mandatory for companies to disclose their financial obligations, more specifically about deposits and the transactions related to them, annually in a time bound manner.
Deadline: On or before June 30th, every year.
6. Filing of form MSME-1:
Description: Companies must file e-form MSME-1 if they have purchased goods or services from MSME suppliers and the payments to these suppliers are overdue by more than 45 days from the date of accepting the goods or services. The purpose of filing this form is to ensure timely payment to MSMEs and to promote their growth and sustainability by providing a mechanism to track payments due from larger companies. Deadline:The MSME-1 form is submitted to the MCA every six months. For the period from April to September, the due date is 31st October. For the period from October to March, the due date is 30th April.
7. DIR-3 KYC: Director KYC Submission:
Description: Directors must submit their KYC details annually through Form DIR-3, provided their Director Identification Number (DIN) was allotted by March 31st of that year and the status is ‘Approved’. Failure to file DIN eKYC results in a penalty of Rs. 5,000.
Deadline: It must be filed by September 30th for each year.
8. Conducting the Annual General Meeting (AGM):
Description: During the AGM, shareholders, directors, and Key Managerial Personnel gather to discuss and decide on various important matters pertaining to the company’s operations and to discuss the company’s performance, approve financial statements, declare dividends, and appoint or reappoint directors and auditors.
Deadline: The deadline for holding the Annual General Meeting (AGM) must be within 9 (nine) months from the end of the financial year for a company holding its first AGM. For subsequent AGMs, the deadline is within 6 (six) months from the end of the financial year, typically by September 30th.
9. Financial Statements Submission (Form AOC-4):
Description: This filing encompasses the submission of financial statements, including the balance sheet, profit and loss account, and cash flow statement, along with accompanying reports like the Director’s Report and Auditor’s Report.
Deadline: Within 30 days from the conclusion of the AGM.
10. Annual Return Filing (Form MGT-7/MGT-7A):
Description: The annual return offers a thorough overview of the company’s financial status, encompassing information about its shareholders, directors, and significant financial indicators. Companies other than OPCs and small companies must file Form MGT-7; on the other hand, OPCs and small companies must file Form MGT-7A.
Deadline: Within 60 days from the conclusion of the Annual General Meeting (AGM).
11. Appointment of Auditor (Form ADT-1):
Description: Companies must intimate the ROC about the appointment or reappointment of auditors in the AGM through this filing.
Deadline: Within 15 days from the conclusion of the AGM.
12. DIR-12: Regularisation of Directors at the AGM:
Description: This form relates to changes in the company’s directorship, encompassing the regularisation of additional director to director at the AGM.
Deadline: It must be filed within 30 days of the AGM.

Jd ini ceritanya tentang my new life because of new job. 
Nih yaa, aku tuh susah bgt inget sama jalan, tempat apalagi laa nama orang. Klo tentang jalanan tu kayak disorientasi arah aja gitu. Kayaknya otakku tuh ada filternya gitu yang reset tiap hari. Org" terdekatku tuh sampe yang kayak pasrah kalau mau nostalgia sama aku atau ngajak aku kemana mana pasti bilang "pasti lu ga inget kan kita pernah kesini, bla bla bla" dan iyaa aku ga inget samsek. Kek ilang aja dr memory. Biasanya tu walaupun sebelumnya aku kerja di pelosok mana mana di indonesia, aku tu ga pernah kesulitan krn hal ini krn selalu dikirimin Tuhan temen baru yg pinter bgt soal jalan, dan aku tinggal ngikut ajaa. Nah tapiiii, beberapa bulan lalu tu aku baru keterima kerja di Jakartaa. Jd kan yaa pulang pergi kantor mesti sendiri dong, apalagi ga punya kendaraan jd mesti naik Tije atau MRT atau jalan :'). Untungnya aku di Jakarta tuh tinggal sama adek aku. Jd, pertama" naik tije atau MRT tu aku diajarin dia. Walaupun dia selalu kesel klo aku jalannya kayak lambat atau keliatan bingung" gitu. Sering juga dimarahin dia :'). Soalnya perasaan aku tuh aku udh jalan cepet tapi tetep aja dibilang adek aku itu tu masi lambat. Dan bener aku ngerasain juga, jd awal awal ke kantor tu aku ga pernah dpt tempat duduk gitu, even aku udh di barisan pertama yg naik tije. Kek aku juga ga tega mesti nge"body" orang lain, tp ternyata emang gitu caranya. 
Tapii aku seneng bgt naik tije. Jd kek tiap hari aku selalu cari rute" yg paling optimum gitu utk aku pp kantor (maklum anak Teknik industri) 🤭. Trus aku tu sampe menganalisa bangku mana yg paling least ditempatin org, biar aku kalaupun ngantri tetep dpt bangku utk duduk wkwkwkkw. Masalah jalan kaki juga, untung aja ada google maps, awal" tetep bingung sih, tp yaudah jalanin aja trus lama" ternyata aku jd hapal. Aku ngerasa kek nya disorientasi arah aku mulai berkurang deh hahahah. Tiap hari aku selalu cerita ke adekku betapa aku seneng nyoba rute baru pas pp ke kantor. 
Nah lg asik" nya travel pp ke kantor aku, aku tuh dipindah utk stay di kantor client which is itu tu jauh bgttttt dr kos akuuu. Nah tu mulai deh cari" lagi rutenyaa. Kek sampe sebulanan pertama tu aku brangkat jam 5.30 pagi, padahal masuk kantor jam 8 saking takutnya macet. Aku mesti nyambung naik tije, trus ke MRT, trus dr MRT ke kantor tu jalan kaki 1.5km sekali pergi. Sampe tiap hari tu 8000-9000 record langkah di jam aku. Tiap malem tidur kaki sakit bgt. Nyampe kantor tu keringetan. Iya enak klo pulang jam 5 sore ga terlalu capek. Tapiii di kantor client ini budayanya pada ga pulang jam 5, team aku tu pada pulang jam 6 - 8 malam on average. Jd ga mungkin aku jalan kaki tu utk pulang. Jadilaa aku mencari rute" baru. Yg awalnya tu aku turun di MRT pintu satunya, skrg aku ketemu bisa keluar di pintu kedua yg aman utk pejalan kaki dan lebih singkat jalurnya, trus ke kantor trnyata ada tije bus listrik itu, pulang juga gitu aku mesti nyebrang ke JPO, naik tije, baru naik MRT. Tapi pas mau naik tije utk ke kos itu tu ternyata cuma bisa satu tije dan itu tuh penuh bgt selalu. Kek pernah pas lg PMS juga sii, aku tu pulang jam sntgh 6 dr kantor dah seneng, eh tp tetep aja nyampe kos tu jam 8 lewat. Aku nangis saking keselnya. Maap yaa aku cupu, aku tau kok yg pake krl lebih berhak bgt komplain. Kalian tu kuat bangettt 🙏
Alhasil besoknya di kantor aku cari" lagi rute supaya aku ga naik tije itu gitu. Dannn aku dapetttt, aku seneng bgt, aku ganti pemberhentian MRT aku, alhasil aku jalan kaki ke halte tijenya dikit, trus dpt tije yg bisa selalu dpt tempat duduk ga mesti desek"an parahhh. Seseneng itu ternyataa, sampe kalo di kantor mau pulang malem juga aku ga khawati lg krn aku tau it took me 1.5 jam aja smpe kos. Malah skrg saking senengnya cari jalur" tije gitu, ada temen deket aku yg akhirnya pindah ke jakarta, malah mnta tolong sama aku dan nanya aku terus terusan klo mau kemana" rutenya mending pilih yg mana yg paling enak wkwkkwkw, mba" di kantor juga jd sering nanya ke aku rute" gitu wkwkwk dan aku seneng bgt bisa bantuin mereka ngasih tau rute" tije gitu wkwkwkwk.
Kemarin aku kepengen bgt ngedate sendirian gitu, dan aku ga worry sama sekali krn aku tau aku bisa kemana aja skrg sendirian, walaupun pake public transport utk ke tempat yg aku tuju, dan cari jalur sendiri yg teroptimum dr segi harga dan jarak tanpa harus nyasar" kemana" krn disorientasi. Thanks to google maps sihh hahahah. Sumpah seneng bgt huhuhu malah ketagihan nih jadinyaa. Maap yaa alay cuma krn gini aja se seneng itu hahahahah ✌🏻 dah itu ajaa.
