TORONTO — Halo Labs Inc. (“Halo” or the “Company”) (NEO:HALO, OTC:AGEEF, Germany:A9KN) is pleased to announce that it has entered into a binding Letter of Intent to secure a purpose built hemp processing facility in Southern Oregon (the “Transaction”) to expand the Company’s production capabilities into manufacturing CBD isolate and distillate. Production at the facility is expected to start in the 3rd quarter of 2019.

At full capacity, Halo will be able to process approximately 10,000 kilograms of hemp per month, which the Company expects will yield 700 to 900 kg of high-grade distillate or isolate and is projected to result in monthly revenue in excess of US$3.5 million at current wholesale prices.

Halo is already a leader in the extraction of cannabis crude oil, distillates, and resins. The Company’s primary proprietary brands, Hush™ and Gilt™, are available to consumers in California, Nevada and Oregon. As well, the Company provides its cannabis oils on a white label and business-to-business basis to multiple customers primarily in California. This proposed entry into the CBD hemp market positions Halo to leverage current manufacturing and distribution capabilities to expand the Company’s own Hush™ and Gilt™ product suites as well as pursue additional white label opportunities.

Halo is poised to capitalize on significant growth in the CBD products space. The recent passage of the US Farm Bill that excludes hemp from the Controlled Substances Act, permits CBD derived from hemp products to be imported and exported across U.S. state lines. In addition, drug chain retailers are entering the CBD category. According to Forbes, CVS and Walgreens are two notable retailers on the forefront of this trend currently rolling out CBD products to 800 and 1500 stores respectively. Brightfield Group projects CBD products to grow rapidly from US$594 million in 2018 to US$22 billion by 2022 representing a 147% CAGR during the time period.

Halo will produce industrial hemp derived distillate from the planned facility in Talent, Oregon. Situated in the Emerald triangle, just 20 miles from the California state line and 10 miles from Halo’s Oregon THC-focused extraction facility, the Talent site enables efficient procurement of hemp biomass from both Oregon and California and will benefit from the pooling of resources between Halo’s existing facility and this new facility.

A summary of the binding LOI follows:

The initial build out will be at least 7,500 square feet purpose-built for processing hemp with adequate power, water and other utilities for the intended use and will be delivered on or before July 31, 2019.

Halo can expand the facility up to 10,000 square feet, subject to agreement on a budget and development plan and receipt of any governmental approvals from Jackson County.

The facility owner will deliver the facility with all necessary permits and approvals from the state of Oregon and Jackson County.

Halo will obtain licenses from the Oregon Department of Agriculture required to commence hemp processing at the facility and further permitting required to remain compliant.

Lease terms reflect those of leases for similarly situated facilities with similarly intended uses, such as remedies for default and the following key terms: (a) an initial term of 5 years; (b) two options for renewal of the five-year term; (c) base rent that increases by each year; (d) triple net; and (e) a right for the Company to terminate at any time upon six-months’ notice.

The Company will pay the owner a refundable deposit of $150,000. The deposit will be immediately returned if the facility is not delivered by July 31, 2019. Upon delivery and satisfaction of the closing conditions, the Company will pay the owner an additional C$1,200,000 in shares of Halo’s common stock priced at C$0.67 per share subject to a four month hold from the date of issuance and approval by the NEO Exchange Inc.

The final terms and closing of the Transaction are subject to the negotiation and execution of a definitive agreement and certain other customary conditions including the receipt of all necessary regulatory approvals. The Transaction is expected to close in the third quarter of 2019.

Empower Clinics expected to soon open CBD extraction facility in Oregon

Empower Clinics Inc. has entered into a non-binding term sheet with Aibeida LifeTech Ltd. with a view to opening a fully functioning, hemp-based CBD extraction facility in greater Portland, Ore. sometime during the second quarter of 2019. As per the agreement, Empower will pay Aibeida US$1 million in cash at closing and a US$250,000 performance holdback, notes a statement from Empower, an owner/operator of a network of physician-staffed clinics that are focused on helping patients to improve and protect their health through innovative uses of medical cannabis. Further, Empower will issue Aibeida common shares of Empower having an aggregate value of US$1 million at closing, and additional shares having an aggregate value of US$1 million, which will vest in quarterly instalments over 36 months following closing. In exchange, Aibeida has agreed to “sell and license specialized extraction equipment to Empower; provide facility build-out and set-up services; complete licensing and permitting requirements; offer equipment set-up, testing and activation; and provide ongoing facility management and maintenance for the first Empower CBD extraction facility,” the statement adds. Empower’s first extraction system—located near Mt. Hood, Ore., which is about 40 minutes southeast of Portland airport and in close proximity to numerous hemp farms—is set to have the capacity to produce 6,000 kg of extracted product per year. “The leased facility is expected to be 5,000 sq. ft. to support the first extraction production lines with the potential to house up to four of the same production systems at industrial scale,” the company reports. The facility is “built to specification internally to optimize CBD extraction production and expected to use 200 kg of hemp biomass per day to produce 20 kg of CBD extract,” states the press release. Empower notes that it intends to allocate 1,000 sq. ft. for CBD product manufacturing for wholesale and to produce its own Sollievo product lines and that of Sun Valley Clinics. The CBD extraction facility is “expected to provide Empower with vertical integration into the CBD supply chain, producing isolates, distillates and crude oil that have shown successful third-party test results in the initial test facility,” the press release notes. Shuang Xie, PhD., Aibeida’s director and chief scientist in Canada, will oversee and manage the Empower CBD extraction facility. Aibeida’s extraction technology incorporates high performance liquid chromatography which is believed to have stronger separation capability, higher extraction efficiency and lower processing costs when compared to traditional extraction techniques, the statement notes. “Aibeida’s technology has demonstrated the ability to produce full-spectrum hemp oil, 99 percent crystallized CBD isolates and separation of individual cannabinoids from hemp,” reports Xie. “Achieving vertical integration has been an objective of mine from the outset as we attempt to connect the science behind hemp-derived CBD based therapies and the efficacy of physician-recommended treatment options made available through our clinic network, online or through retail partnerships,” adds Empower CEO Steven McAuley. Marijuana Is Hurting Pets but It Might Also Cure Them

The US cannabis industry is thriving, but the surge in pot use has brought an increase in cannabis poisoning in pets. While such cases existed even before the move to liberalize marijuana use within the US, the nature of today’s poisoning has changed. In 2016 vetstreet.com reported that “While most marijuana exposures more than 10 years ago were due to ingested plant material, today exposures to edibles and cannabis concentrates are much more common.”

Poisoning on the rise

As per Mashable’s account, the American Society for the Prevention of Cruelty to Animals’ (ASPCA) Poison Control Center noted a 765% increase of marijuana-related calls in 10 years. ASPCA warns that “While many times marijuana ingestion is not life-threatening for pets If a pet gets into a product with a higher concentration, or large quantities of marijuana, more serious concerns are possible.” The organization advises pet owners to immediately call their vet or Animal Poison Control Center (888-426-4435) if they suspect that their pet might’ve ingested marijuana. Some of the more common symptoms of marijuana exposure among animals are vomiting, diarrhea, tachycardia, hypothermia, mydriasis, urinary incontinence, seizures, and coma (read more here ).

The new wave of cannabis culture attracts customers from all walks of life. Because of this companies are racing head over heals to come up with more appealing ways of consumption than smoking a cigarette. Marijuana-containing cookies, brownies, candies and oil are only a fraction of the cannabis edibles that are available on the market. In addition, the trend of “vaping” - inhaling the vapor of highly concentrated tobacco or cannabis oil, has brought a plethora of aromatized vaping products. Unfortunately, the appealing smells and tastes of marijuana edibles and concentrates are also attractive to pets.

Marijuana littering

Marijuana poisoning among pets, however, goes beyond them ingesting cannabis-containing products they found at home. The Press Democrat ran a story about the shock that Californian Lisa Mattson experienced when her Italian greyhound Dante started shaking and vomiting seemingly out of the blue. After an emergency trip to the vet, a test revealed that Lisa's dog was suffering from exposure to THC - the cannabis compound that causes the “high.” The finding left Mattson perplexed as neither she nor her husband is a pot user. A talk to a friend whose dog had gone through the same experience left Lisa to believe that the culprit was buds from marijuana cigarettes thrown by bypassers. “People come to Wine Country and indulge in legalized cannabis. When it comes time to head home, they toss it out, not realizing that roaming pets and wild animals may be attracted to it,” said Mattson for The Press Democrat.

Marijuana as a Cure

Apart from causing complications for pets and worry for their pet owners, it seems that marijuana might also provide relief to the four-legged companions. In recent years cannabis-derived substances have been heavily promoted as a cure for various diseases. But does the plant’s supposedly medicinal properties hold up to the hype? Despite the move to liberalize marijuana use and possession, the American Veterinary Medical Association (AMVA) notes that the study of this drug is still riddled with red tape. Yet, researchers find ways to examine marijuana use for vet purposes and still comply with the law. Dr. Stephanie McGrath, a neurologist and assistant professor at Colorado State University's College of Veterinary Medicine & Biomedical, has already run several studies on cannabidiol's effect on chronic pain and autoimmune diseases. AMVA reports that Dr. McGrath was working with Applied Basic Science Corp. - a manufacturer of “hemp-hybrid plant oil extract for relief of signs of various medical conditions in pet animals,” to determine whether the company’s product is safe and effective. Results of the study were published by the Canadian Veterinary Medical Association and can be accessed here . Last August California set a precedent by passing a bill that addressed marijuana research for veterinary use. As reported by VIN News Service the legislation’s purpose is to “prevent state regulators from penalizing a veterinarian for merely talking with clients about using marijuana in animal patients”. The bill, however, is not a path for vets to prescribe or administer marijuana-containing drugs. What’s more, research and use of marijuana for vet purposes may further be obstructed by federal restrictions. Even though ex-California governor Jerry Brown signed the bill in October last year, the road towards liberalizing veterinary research on marijuana is still rocky. “We think that eventually if it proves out that this helps animals and the treatment of animals, that yes, that should come along in the future. Cannabis IP patents top 10k, double in last decade, figures reveal

The number of global cannabis patent applications has doubled since 2008, Cannabis Law Report can reveal, as 2019 promises to be a landmark year for marijuana intellectual property.

The World Intellectual Property Organization said approximately 10,246 cannabis-related applications have been filed since 1978 under the Patent Cooperation Treaty (PCT), with 6,137 applications coming after 2008.

Experts say the number could potentially be even higher as firms exploit loopholes to snatch patents related to cannabis such as growing or treating addictions, without expressly referring to marijuana in their application.

Concerns have been raised that larger firms are using their size and power to snatch patents and shore up their positions, while the emergence of “patent trolls” is also causing worry that bad actors will monopolise existing knowledge and attempt to take popular strains out of play.

Europe: Watch This Space

Firms seeking to gain a foothold in Europe’s fledgling medicinal cannabis sector must take leaf from their North American counterparts on intellectual property, said Toronto specialist life sciences patent attorney Micheline Gravelle of law firm Bereskin & Parr, as the market may echo similar struggles of the past.

“Given the international competition in this hugely dynamic and commoditised industry, robust intellectual property protection will be absolutely crucial for European businesses looking to make their mark,” said Gravelle, managing partner of the firm. “As the market evolved in Canada during the 1990s, it was truly eye-opening to see such a patchy understanding of the basics of IP.”

Typically, bigger biotech players with budgets to match are well-versed in the art of protecting their innovations, said Gravelle, but in the rush to bring products to market, smaller startups can find themselves falling short on the fundamentals.

Gravelle said active and rigorous due diligence was one of the most important aspects for any firm looking at the European market, which is projected to be worth more than €115.7bn ($132bn) in the next decade.

“European companies also need to be especially mindful of the international nature of the industry,” said Gravelle. The 90-plus Canadian publicly-listed cannabis companies have market value of about CA$31bn, but the top three filers of patents there are Swiss, US and British businesses.

“Although the Canadian industry is already maturing, it remains uncertain just how swiftly the European market will follow suit,” she added.

The soaring number of patents has run parallel with the money flooding into the sector over the last decade.

Legal cannabis sales are believed to have hit $10bn in the US in 2018, and are predicted to reach nearly $23bn by 2025, according to Bloomberg Intelligence data sourced from cannabis industry intelligence firm New Frontier Data. CBD sales are expected to quadruple over the next four years, from $535m in 2018 to more than $1.9bn by 2022.

Big Pharma IP Battles

One of the most active filers of cannabis patents is British firm GW Pharmaceuticals, a world-leading biopharma firm and creator of the first prescription medicine derived from the cannabis plant.

According to a recent filing, the company’s IP portfolio at September 30, 2018, includes 82 cannabis-related “family” patents in the US, which it is aggressively seeking to defend.

From those, it owns or licenses 252 pending patent applications worldwide. Within the US it has 48 issued patents, with a further 39 pending patent applications under active prosecution. There are an additional 563 issued patents outside of the US.

The company disclosed it was involved in several IP legal struggles over its landmark drugs, Epidiolex, which uses CBD oil to treat epilepsy, and Sativex, a mouth spray with trace amounts of THC and CBD used to treat, amongst other illnesses, multiple sclerosis.

Two of its recently issued European patents, including a patent claiming the use of CBD in the treatment of partial seizures, have received a notice of opposition, it said, which may result in the patent failing. One of its US patents is involved in a review proceeding before the USPTO that could result in the revocation of the claims.

“If we fail to adequately protect our intellectual property, we may face competition from companies who attempt to create a generic product to compete with Epidiolex or Sativex,” the company said. “We may also face competition from companies who develop a substantially similar product to Epidiolex, Sativex or one of our other product candidates that is not covered by any of our patents.”

GW said many companies have encountered significant problems in protecting, defending and enforcing intellectual property rights in foreign jurisdictions.

“The legal systems of certain countries, particularly certain developing countries, do not favour the enforcement of patents and other intellectual property rights, particularly those relating to pharmaceuticals, which could make it difficult for us to stop the infringement of our patents or marketing of competing products in violation of our proprietary rights generally,” GW said.

GW said it is expecting to put significant sums of cash aside to fight the legal battles.

“There is a substantial amount of litigation, both within and outside the US, involving patent and other intellectual property rights in the pharmaceutical industry,” the company said.

A Potted View of IP

The complex history of cannabis legalisation means securing IP rights is never straightforward, and in the case of the US, where most of the business activity is taking place, the situation is extremely messy.

In the US, cannabis firms cannot use federal trademark protection to shield their brand, as the drug is still illegal at federal level despite more than 30 states giving the green light.

The issue of cannabis as a Schedule 1 narcotic has led to a bizarre situation where the Drug Enforcement Agency (DEA) refuses to downgrade cannabis under the Controlled Substances Act (CSA), yet the US government itself holds a patent on non-psychoactive cannabinoids, most notably CBD, as a medicine.

Patent 6,630,507, titled “Cannabinoids as antioxidants and neuroprotectants” was issued on October 7, 2003, to the United States as represented by the Department of Health and Human Services.

There are three basic types of patent available for cannabis firms to apply for; utility, design, and plant. A fourth, provisional, is linked to utility patents.

Utility patents:  

By far the most common patent issued by the United States Patent and Trademark Office, approximately 90 percent of applications are for utility patents, and are issued for 20 years. A utility patent is intended to protect “new and useful” inventions, such as a process, a machine, a manufacturing method, a composition of matter or a similarly new and equally useful improvement of an existing invention.

Smoking devices, or processes for extracting and purifying marijuana and its key ingredients for medical use have been covered with utility patents.  It also concerns other cannabis technologies, both recreational and medicinal. The category is extremely broad, making it a popular litigation subject.

Design patents:

Design patents are intended for new, original and ornamental designs that can be used on goods, such as the shape of a smoking device such as a pipe or a bong. They exclude parties other than the owner from using, making or selling the design. The patent is granted for a term of 14 years, and unlike the utility patent, requires no maintenance fees to be upheld.

Perhaps the most controversial in regard to cannabis are patents is issued for new, distinct variations of plants invented or discovered through cultivation, mutation, hybridization or any other artificial process. The first lawsuit over cannabis intellectual property appeared in July 2018, and has the entire sector on edge. It was filed by United Cannabis Corporation (UCANN) against Pure Hemp Collective (PHC), both Colorado corporations, in federal court.

The case concerned allegations that Pure Hemp’s tinctures, gel capsules, vape pens, and other cannabis products infringe one or more claims of UCANN’s patent for “cannabis extracts and methods of preparing and using same.” (US Patent No. 9,730,911.)

“The case has major implications on two fronts,” said David Gold, of Cole Schotz PC. “First, the enforcement of the UCANN patent specifically; and second, the overall viability of litigation concerning cannabis-related patents.”

At the industry level, Gold said, a decision to validate and enforce a rather broad patent could determine whether UCANN will be able to strongarm anyone else in the industry using a liquid cannabinoid formulation containing 95 percent cannabidiol (CBD).

More broadly, it is the first infringement suit concerning a patent on a cannabis-related product that, while patented, is used with a federally illegal. There are questions over the ability of the court to hear the case, as a result.

“Absent a quick settlement, it is difficult to conceive of any outcome, whether it be at the motion to dismiss stage or at trial, that will not send shockwaves through the industry,” said Gold. “Who those shockwaves impact most remains to be seen.”

The cannabis industry has reached an important milestone, said Rod Kight, cannabis legal expert and author of the Kight On Cannabis blog. “Truly novel inventions should be granted protection from infringement,” he said. “This incentivizes and promotes advances in the field. However, patent ‘land-grabs’ that are broad in scope and based on inventions which existed but were not well documented are a blight on on the industry and will stall advances.”

Tinley's formulator has the USA's ONLY patent on the technology that encapsulates the oil (hemp, cbd, or thc) and micellizes it so that the nutrients in the oil survive the digestive process intact (and then also induces the gut to allow the nutrients into the bloodstream and through the blood barrier). It obviously masks the horrible taste of the oils, which is another key characteristic. Here is a quote taken directly from an interview with Jeff Maser: "The ability to have access to such advanced technology is another advantage of outsourced product development. The Pencer family introduced us to this formulator, and this is one of the many benefits of having the family that built the third-largest beverage company in the world (after Coke and Pepsi) as backers." This patent is obviously huge for Tinley and the relationship that they have with the formulator is exclusive. Here is another quote from that same interview: "Several of our competitors solve this problem by reducing the oil into isolates (often referred to as crystals), which means stripping out all nutrients except a single cannabinoid. While this method solves the taste challenges, it denies consumers a wide spectrum of cannabinoids, turpenes and other nutrients, many of which are believed to be highly synergistic." I don't believe that enough investors realize the power that this patent will have for Tinley when it comes to licensing deals with other companies. You can bet that it won't just be the licensed producers in Canada who will want in on the action. The CBD/THC beverage market is going to be transformational, so there will be many different brands/companies that will want in on the action.

Now, you can see on their Corporate Presentation that they are not only in 7/11 but Shell & Chevron. That is HUGE, do you understand how many stores these three companies alone have in the world…. If not I can give you the numbers…

Shell, approximately 25,000 Shell-branded gas stations in the U.S.alone. Chevron has nearly 8,000 retail stations in the United States alone. 7/11 has 56,000 world wide.

I will put these numbers modestly into perspective at first.

If "Hemplify Beverages" only, were to obtain shelf space in half of the 56,600 stores due to some regulatory issues in other countries perhaps, & earn a modest 1,000 dollars in revenues from each location on an anual basis, which is extremely modest in my opinion, but regardless the revenue generated from Hemplify alone would be in excess of 28 Million Dollars. The numbers are impressive to say the least.

If I readjust these numbers to a more optimistic outlook of 10,000 in anual revenues from Hemplify alone, in half of the 56,600 7 Eleven Franchises, we start to see the massive opportunity here. The reveune would be a a jaw dropping 283 Million anaully from Hemplify alone lol

And based on the recent update by Jeff, it's likely that the THC infused beverages may do way more numbers than the CBD infused. I personally think that the demographics for the CBD infused beverages are much more attractive & will be a huge cash generator for Tinley, but that's JMO.

Tinley has sold more of its cannabis margarita in the weeks subsequent to Q2 than the combined sales of Hemplify in fiscal 2017. Accordingly, the Company is shifting the majority of its resources to its cannabis infused beverages, while allocating a limited amount for the maintenance of the Hemplify CBD products.
