Salesforce is officially making Seattle its second HQ after its Tableau acquisition
Here’s an interesting by-product the news today that Salesforce would be acquiring Tableau for $15.7 billion: the company is going to make Seattle, Washington (home of Tableau) the official second headquarters of San Francisco-based Salesforce, putting the company directly in the face of tech giants and Salesforce frenemies Microsoft and Amazon.
“An HQ2, if you will,” Salesforce CEO Marc Benioff quipped right after he dropped the news during the press and analyst call.
HQ2, of course, is a reference to Amazon and its year-long, massively publicised, often criticised, and ultimately botched search (it eventually cancelled plans to build an HQ in NYC, but kept Arlington) for its own second headquarters, which it also branded “HQ2.”
If real estate sends a message — and if you’ve ever seen Salesforce Tower in San Francisco, you know it does for this company — Salesforce is sending one here. And that message is: Hello, Microsoft and Amazon, we’re coming at you.
As we pointed out earlier today, there is a clear rivalry between Microsoft and Salesforce that first began to simmer in the area of CRM but has over time expanded to a wider array of products and services that cater to the needs of enterprise knowledge workers.
The most well-known of these was the tug-of-war between the two to acquire LinkedIn, a struggle that Microsoft ultimately won. Over the years, as both have continued to diversify their products to bring in a wider swathe of enterprise users, and across a wider range of use cases, that competition has become a little more pointed. (Indeed, here’s some perfect timing: just today, Microsoft expanded its business analytics tools.)
I’d argue that the competitive threat of Amazon is a little more remote. At the moment, in fact, the two work very closely: specifically in September last year, Amazon and Salesforce extended an already years-long deal to integrate AWS and Salesforce products to aid in enterprise “digital transformation” (one of Salesforce’s catch phrases).
Placing Salesforce physically closer to Amazon could even underscore how the two might work even closer together in the future — not least because cloud storage is now a notably missing jewel in Salesforce’s enterprise IT crown as it squares up to Microsoft, which has Azure. (And it’s not just a Seattle thing. Google, which has Google Cloud Platform, acquired Tableau competitor Looker last week.)
On the other hand, you have to wonder about the longer-term trajectory for Salesforce and its ambitions. The Tableau deal takes it firmly into a new area of business that up to now has been more of a side-gig: data and analytics. Coming from two different directions — infrastructure for AWS and customer management for Salesforce — enterprise data has been a remote battleground for both companies for years already, and it will be interesting to see how the two sides approach it.
Notably, this is not Salesforce’s first efforts to lay down roots in the city. It established an engineering office in the city in 2017 and as Benioff pointed out today, putting deeper roots into what he described as a “unique market with tremendous talent” will open up the company to tapping it even more.

The Men Who Built 21st Century America

For every additional two day delivery on Amazon, and for every new member on Facebook; their owners inch closer to the titans of industry that encapsulated the Gilded Age. While their companies reach to a level better suited as a small government rather then that of a tech start-up from a garage or a dorm room. But at what point do these monolithic successes pass the line of celebration and walk into the eye of those with a similar prescription to that of John Sherman? Sherman encountered similar entities emerging and warranting action through law in the late 1800s. The creation of the Sherman Act was the first avenue of legal recourse in the United States for stopping monopolies. The definition set into law being; “[e]very contract, combination in the form of trust or otherwise, or conspiracy, in restraint of trade or commerce among the several States, or with foreign nations, is declared to be illegal” [1]. However this act didn’t reciprocate complete clarity in the specifics of what types of actions by companies were illegal in the name of competition, and is why the Clayton Anti-trust Act was a necessary addition in 1914.
One of the most notable uses of the Sherman act came shortly after its enactment, in 1911 the U.S. government brought suit against Standard Oil Company. Ordering the trust to devolve into 33 different companies. The backing for the lawsuit other than the acts allowing them to, was a deeper concern with their economic power becoming excessive and its influence on the economy being far wider spread than just the oil industry [2]. The industries of technology and oil have similar characteristic in the sense of their products are used in every aspect of every industry. Oil is the blood of the economy, and computers and software are the brain. Oil makes the car run, while the GPS tells the driver where to go.
The comparison is an important distinction because many get lost in the persona of tech companies always being on the forefront of innovation and unable to stifle competition. The comparison furthers when looking into how Standard Oil used vertical and horizontal mergers to maximize economies of scale and have the ability to offer prices that were impossible to compete with. Amazon has used their forward thinking business model to do the same thing, but with different mechanisms. This being the cloud computing aspect of their business that sells access to their servers, storage, and databases, to other companies and which comprises a majority of their profits [3]. This alternate revenue source allows Amazon to worry less about the margins of individual profits and more about the general retention of their customers. While this seems to be a possible example of predatory pricing, a price being too low to compete. The FTC website sheds lights on the problems associated with these types of matters, “FTC examines claims of predatory pricing carefully, courts, including the Supreme Court, have been skeptical of such claims”, it is a hard legal case to win since it is somewhat subjective to determine when a price crosses the point of being competitive to predatory [4].
Whether or not the practices of these companies push them into the realm of a monopoly is not the purpose of this article, but to analyze the grievances voiced against these companies and how a lawsuit could be used to break them up, as in the aforementioned Standard Oil case. While there are many similarities between Big Tech and the oil and steel empires of the 19th century, the structure of the businesses are incredibly different and may cause issues when trying to utilize existing anti-trust laws.
The major question that needs to be the forefront of the case research is wether the company can be consider a coercive[1] or a natural[2] monopoly. The difference determines the correct response of law; a natural monopoly achieves that level through innovation and superior products which is legal, while coercive ones achieve it through predatory or exclusionary acts which then make it illegal. [5]. A good base for constructing this legal argument would be to use The Microsoft Case as an example, since it is the most relevant use of the anti-trust laws to these type of businesses. For example, Microsoft had immense market share of the software systems for personal computers, while also possessing Internet Explorer which was used together to reinforced each others market share through actions that made it hard to compete and or discouraged competition through free rebates, and purposeful compatibility problems with outside software.
The first layer of the case should focus on proving that Amazon is a monopoly in the first place. Which can be done through statistics, such as Amazon having 49.1% of all e-commerce sales [6]. Then lead into how Amazon owning the marketplace, while also participating in the marketplace creates a conflict of interest with allowing competition from other sellers. Since they are able to and have created Amazon generic brand based off data received through the buying and selling of similar products on their site. In addition to their customer loyalty program known as Amazon Prime, which allows Amazon to have a competitive advantage over competing products, since it allows for Amazon products to take the for front in advertising and the offering of free day two shipping can discourage users from buying non-amazon products either do to convenience or not seeing an alternative.
The second aspect adds on the first layer is how Amazon’s Web Service (AWS), allows Amazon the possibility to sell products at a loss in order to drive others out of business. Since a large bulk of profits come from AWS the losses consumed in the e-commerce side of the business can be offset. Regardless if Amazon is currently doing this or not is not important, because the AT&T case sets a past precedent that shows if a company merely posses the ability to fix prices unfairly, or too fairly for the consumer it can warrant a break up, as shown by Ronald Regan[3].
The third aspect and most important is finding evidence that separates the theoretical coercive Amazon monopoly from a natural monopoly. Which can be found through analyzing the interactions between the government and Amazon. A major defining event that shows Amazon is unfairly aided by the government, can be seen through the bidding war for Amazon’s HQ2 hunt, which pinned state governments against each other to offer the best incentive to move to their city or state. Mainly in the form of tax breaks, for New York this means giving Amazon 3 billion in subsidies [7].
If the court rules in favor of the evidence provided and indicting Amazon of being a coercive monopoly, the most logical fix would be the separation of Amazon’s marketplace, generic product production, and the Web Service into 3 separate businesses. If the court rules in favor of Amazon not being a monopoly, the outcome is equally important because the act of asking the question is the law doing its due diligence thought examining possible infringements on consumer protections and the safeguard of fair competition. The importance of oversight from the law can be seen in our ability to ask this question at all, which was made possible by Microsoft[4] being ruled a monopoly in 1998, giving root to the possibility for companies like Amazon and Facebook to be created in the first place [8].
