What Warren Buffett Is Buying Warren Buffett is playing it safe Berkshire Hathaway’s latest annual results, and the accompanying letter to investors from the Oracle of Omaha, reveal a clear theme: Warren Buffett isn’t taking as many risks — or big swings at deal-making — as he used to. Berkshire is spending more of its $138 billion in cash on smaller investments, as opposed to deploying it on the huge acquisitions that he famously made in the past. The conglomerate bought back nearly $25 billion of its own shares last year, a record for a company that until recently was reluctant to spend its cash this way. Mr. Buffett admitted a big mistake in his last foray into blockbuster deal-making. He wrote that the $37 billion he paid for Precision Castparts, a maker of airplane parts, was too much. (The 2016 transaction resulted in a $10 billion write-down last year.) “No one misled me in any way,” he wrote. “I was simply too optimistic.” Berkshire’s biggest bets don’t look particularly contrarian. They include a $120 billion stake in Apple and majority stakes in the Burlington Northern railroad and Berkshire Hathaway Energy. Berkshire’s stock is up but has underperformed the S&P 500 in recent years. Mr. Buffett isn’t bullish on bonds, writing that bond investors face a “bleak future” amid signs of anxiety in the debt markets, and he warned that “risky loans” and other ways to juice fixed-income returns would lead to ruin. Investors don’t seem to mind that Mr. Buffett has put down his so-called elephant gun for big acquisitions, at least for now. “He doesn’t really have to find the elephant because he has two elephants already corralled that need to be fed,” said Thomas Russo, a Berkshire shareholder, referring to the railroad and energy companies. That suggests investors are on board with Berkshire focusing on buybacks and its existing businesses rather than bold new bets — for now. HERE’S WHAT’S HAPPENING Senate Democrats will drop a minimum wage increase from the stimulus bill. The move came after the Senate parliamentarian ruled that increasing the federal rate to $15 an hour broke the chamber’s rules, The Wall Street Journal reports. The House, which had approved the wage increase in its version of the $1.9 trillion bill, must sign off on the change. The F.D.A. approves Johnson & Johnson’s Covid-19 vaccine. The one-shot treatment is the latest to win emergency approval, as the decline in new coronavirus cases appears to have plateaued. But supplies of J.&J.’s vaccine will be limited at first. President Biden won’t sanction Saudi Arabia’s No. 2 leader over Jamal Khashoggi’s murder. The decision not to punish the country’s crown prince, Mohammed bin Salman, over his approval of Mr. Khashoggi’s killing in 2018 was the latest sign that there are limited consequences for the act. Nasdaq presses forward with its board diversity proposal. The stock exchange’s plan to require companies listed on its market to have more diverse directors has overwhelming public support, it told the S.E.C. Nasdaq is making some tweaks, including giving companies a one-year grace period and offering more flexibility to companies with smaller boards. Streaming services dominate the Golden Globes. Netflix collected 10 awards last night, while Amazon’s “Borat Subsequent Moviefilm” was the first title from a streamer to win best motion picture comedy or musical. What’s next for WeWork? SoftBank said on Friday that it had settled its legal dispute with Adam Neumann, opening the way for WeWork to go public just 16 months after SoftBank rescued it from collapse, The Times’s Peter Eavis reports. A recap: At the time of its rescue, SoftBank offered to buy $3 billion of stock from WeWork shareholders, including the co-founder Mr. Neumann, who stepped down as C.E.O. during the company’s disastrous I.P.O. attempt in 2019. Then, as the coronavirus was emptying WeWork offices, SoftBank said in April that it wouldn’t go ahead with the purchase, prompting Mr. Neumann to sue. Who came out ahead in the settlement? SoftBank is now spending only $1.5 billion on the stock, instead of $3 billion, according to two people with knowledge of the settlement. But the lower bill is because SoftBank is cutting the number of shares it will buy in half; that means Mr. Neumann will get $480 million instead of up to $960 million. Now what? Settling the dispute removes a big obstacle to taking WeWork public. SoftBank has been in talks to merge with BowX Acquisition, a SPAC run by Vivek Ranadivé, the founder of Tibco Software and owner of the N.B.A.’s Sacramento Kings. Such a deal would raise some crucial questions: SoftBank owns 70 percent of WeWork’s shares but has direct control over just under half of shareholder votes. Would those numbers change after an offering? Who does control WeWork? Would investors balk at WeWork’s financial performance, again? It’s not clear how the company has performed recently; it last publicly disclosed its financials some 18 months ago. And a glut of office space is coming, which might be more attractive to companies than taking WeWork space. Individuals, meanwhile, may be less likely to use a co-working space now that they’ve gotten used to working from home. The week ahead The state of consumer spending is a theme, with a wide range of retailers reporting earnings, including Kohl’s, Nordstrom and Target on Tuesday; Dollar Tree on Wednesday; and Costco and Gap on Thursday. In other earnings news, later today Zoom is expected to release another blockbuster report, but executives will be quizzed on whether the company’s growth can continue when many workers return to the office. The annual meeting of the National People’s Congress of China begins on Friday, where the country’s latest five-year economic plan will be announced, among other measures. The latest U.S. jobs report is released on Friday, with economists expecting a gain of 165,000 jobs in February, up from 49,000 the previous month. Citi may face a shareholder vote on a racial equity audit Citigroup has no legal basis for blocking an investor proposal demanding a report on how its practices affect minority communities , the S.E.C. ruled Friday. That increases the likelihood that the bank’s board will have to examine itself in the glare of the public. Citi had asked the S.E.C. for permission to keep the proposal off its annual shareholder proxy. DealBook first reported last year that two investment groups linked to unions, the CtW and SEIU, would call on the country’s six largest banks to conduct “racial equity audits.” The unions asked them to work with civil rights groups, employees and customers on examinations of practices that would then be made public. In its submission to the S.E.C., Citi said it had already “substantially implemented the essential elements” of the proposal. But Dieter Waizenegger, the executive director of CtW Investment Group, told DealBook, “It’s important to establish an independent assessment” of the banks’ practices. Citi could face a legal fight if it chooses to ignore the proposal, after the commission refused to give the firm cover. A spokeswoman for the bank noted in a statement that it has committed more than $1 billion to help Black homeowners and entrepreneurs, as well as to better diversify its work force. “Citi is acutely focused on addressing racial inequity, especially in terms of the wealth gap it creates,” she added. A warning for ‘reckless’ buyouts Until recently, those who sold companies to private equity firms were not held liable if things went awry after the sale — that, after all, was the new owner’s problem. Those days may be over, Bill Cohan writes for Times Opinion. Officers and directors can be held responsible for approving a “reckless” sale, a New York federal court judge concluded in December. Jones Group, the struggling apparel company that owned Nine West and Stuart Weitzman, sold itself to Sycamore Partners in 2013. The buyout firm later changed the terms of the deal and the company’s debt exceeded bankers’ recommendations. Nine West filed for bankruptcy in 2018 and shareholders sued the Jones Group’s former directors. There is still a trial looming, but would-be sellers “had better think twice before agreeing to sell a company to a buyout firm,” Mr. Cohan wrote. In a message to clients, the law firm Ropes & Gray wrote that the ruling was “a serious warning,” noting that even though the selling directors may not be involved after an exit, they “cannot ignore” a company’s post-exit balance sheet. If a precedent is set, private equity firms could suffer, Mr. Cohan suggested: “The days of just selling a company to the highest bidder regardless of the consequences — the legal standard on Wall Street since the Delaware Supreme Court decided the so-called Revlon case in 1986 — might just be over.” Or not: lawyers at Fried Frank believe the broader implications of the case are “overstated,” noting that the facts of this case raised specific “red flags.” For more on the prospects for private equity deal-making, Bain’s latest annual report on the state of the industry is out today. “A number of headwinds will make for a uniquely challenging recovery,” it writes. Black Friday, one of the most anticipated days by consumers, shifted its consumption patterns due to the COVID-19 pandemic this year. More shoppers have opted for online sales, and in-store shoppers tend to buy things much faster than before. Right before Thanksgiving, the National Retail Federation (NRF) gave hope to retailers left struggling from the pandemic. NRF predicted November-December holiday sales would increase between 3.6% and 5.2% over 2019, excluding automobile dealers, gasoline stations and restaurants.
Its forecast was so optimistic that the low-end of the projection exceeded the five-year average growth of 3.5%.
Then right afterward, it crushed that hope. Consumers spent 14% less compared to last year over the five-day Thanksgiving weekend through Cyber-Monday, $312 on average vs. $362 last year.
Rather, this year’s spending squared with that in 2018, according to the survey conducted by NRF and Prosper Insights and Analytics among 6,500 American consumers.
And since these five days are the “official-unofficial” start of the holiday shopping season, that weekend’s results may be a better gauge of how the retail economy will fare for the rest of the season.
If that is the case, we are looking at a final result in the $700 billion range as in 2018, rather than the $755.3-to-$766.7 billion that NRF projects. In other words, a 4% decline from 2019’s final tally of $729.1 billion. NRF did not respond to a request for comment.
Admittedly, economic forecasting is a risky business and more risky this year with so many unknowns, like the rapidly rising Covid infection rates. And to its credit, NRF often gets its forecasts within or close to its range, as it can typically depend on American shoppers’ enthusiasm for the holiday season.
But not all years, most recently in 2018 when it predicted growth from 4.3% to 4.8%, but the actuals came in at 1.1%. Then there was 2008, when NRF got it spectacularly wrong, expecting a 2.2% increase, only to see a drop of 4.8%.
Given all the unknowns, you’d think the NRF would error on the side of caution and give a more modest forecast. But then the headlines wouldn’t look so good or its members feel so confident.
Battle of the forecasts
IBM’s IBM Karl Haller, who heads up its Consumer Center of Competency that advises retailers and consumer goods companies, offers a more realistic and subdued forecast for November-December retail sales.
IBM expects only a 1.8% increase heavily weighted toward the retail categories that prospered during the earlier pandemic shutdowns. These essential retailers – home improvement, grocery, mass discounters, and e-commerce – have become consumers’ “habitual first-choice shopping destinations,” he says.
Further, Haller expects a lot of that spending will not be holiday related because consumers are cutting the number of people they buy gifts for and reducing their participation in holiday-related activities, like sending cards or attending parties.
The result is that holiday-related spending will decline 19% from last year, $539 as compared with $670 last year.
Acknowledging that forecasting this year is particularly tricky – “Our first forecast in August was 1%, then a month later 2.4% and now it’s 1.8%, so it basically doubled then dropped by 33%. That’s a lot of movement.” – Haller reflected that that may be why the NRF’s forecast covered such a broad spread, especially for one that was released so late in the season.
And he presented three factors that need to be added for an accurate reflection of the what’s really happening in retail during the holiday season:

To accurately capture holiday spend, Haller believes this year’s and any year’s forecast must capture the full fourth quarter and extend into January, when most gift cards are redeemed. “Gift cards are a $100 billion industry so forecasts should definitely extend into January,” he says.
Further, consumers are shopping for gifts earlier, especially this year.
“Rather than Thanksgiving, Amazon AMZN Prime Day (October 13-14) was when the holiday really started,” he says, and adds, “It wasn’t just an Amazon thing either, with people ordering earlier to allow for shipping and worrying about availability because supply chains have been broken” he shares.
The IBM survey found that about 35% of consumers had already started holiday shopping in October. “Retailers have been trying to pull forward spending and it worked this year,” he notes.
Expand the data coverage
NRF’s forecasts ignore three important categories in retail which IBM includes in its calculations – food service, gas stations and automobile.
Food service last year was virtually equal to food and beverage stores, $766 billion and $765 billion respectively. But this year, food services are way down, -19% through the first ten months, while food and beverage stores are way up, 12%.
“There has been a $100 billion shift from restaurant to grocery. You can’t just measure retail growth with grocery without putting restaurants back in,” Haller asserts.
Gasoline stations, a $500 billion category last year, too have seen a 16% reduction in sales through October, which would be a moderating factor in NRF’s forecast.
And then there is automobile, which is the biggest single category in the Census’ retail reporting,$1.2 trillion last year.
“What if people actually acted like the Lexus PLXS commercial?” Haller quips. “It doesn’t take that many people buying his-and-hers cars to add up to a lot of spending. NRF wouldn’t get that data.”
Allow for the bifurcation in the consumer economy
Haller sees this as a critical issue. “The top 30% of consumers [based on income] spend about as much as the bottom 70%. It’s basically a 50/50 split,” he says, based on the Bureau of Labor Statistics Consumer Expenditure Survey (CEX).
The NRF’s forecast factors in a strong stock market and rising home values, but those mostly impact the upper-income consumers. The middle-and-lower incomes households, which represent roughly 90 million households, haven’t fared so well, suffering more job losses and not having a cushion to fall back on.
Can the top 30% affluent consumers punch above their current 50% weight and fulfill NRF’s expectations?
Haller believes they have a chance, but it won’t be in gift purchases, since they along with middle-and-lower income consumers are reducing gift spending. Lower and middle-income consumers are cutting back 20-to-30%, while upper-income consumers will spend 7% less.
“What appears to be happening is the affluent consumers, who have this pot of money and are feeling wealthy, have shifted their spend from discretionary services [travel, hospitality, dining] into goods, mostly durable goods, some into non-durable goods,” he says.
So the question is will the affluent indulge in gifts for themselves this holiday season, like that Lexus car, a new living room or kitchen, or whether they will sit tight and wait to spend on discretionary services like travel once the pandemic lifts?
“It’s a conundrum,” he says. “Macy’s M or Best Buy BBY don’t care if it’s a million customers buying $1,000 each, or if it’s 100 million customers spending $10 each. They just want the sale.”
Garbage In, Garbage Out (GIGO)
Ultimately, retail forecasts are only as good as the data that goes into them, and in that regard, Haller believes every retail forecaster suffers from inadequate reporting on consumer spending. The government provides three sources of consumer economic data and none of them line up adequately.
“We are all missing the boat,” Haller believes. “The BLS, BEA and Census data need to be more aligned, because if you’re in a consumer-facing business, that is what you’re battling against.”
The Bureau of Labor Statistics CEX doesn’t tell you where consumer purchases are made, but does a good job in breaking down expenditures by demographics, like age, income, ethnicity and size of household.
Likewise, the Bureau of Economic Analysis (BEA) personal consumption expenditures data doesn’t break out where purchases are made. And because expenditures by nonprofit institutions serving households are also included in the same table, its numbers are further blurred. There are roughly 1.5 million non-profits representing over $1 trillion in contributions to the economy.
“Consumer spending is roughly 70% of the economy, but retail is only 40%,” Haller says. “Discretionary services spending like travel, entertainment and hospitality isn’t captured in retail.”
And then the Census Department’s monthly retail survey is veering further and further from what is actually happening in retail. The e-commerce data is particularly problematic.
“Walmart WMT and Macy’s measure it in different ways,” he says. “And then Amazon reports its Whole Foods WFM data differently. A Whole Foods order made online but picked up in-store is tracked as an e-commerce sale. But for most other retailers, it would count as a store sale. The e-commerce percent of retail is becoming less and less irrelevant.”
And since retailers hang on the Census Department retail data, it encourages tunnel-vision so that the more important shifts in consumer behavior is missed.
“The problem is companies are only focused on the competitor next door and ignoring the fact that spending is shifting out of the category entirely from a good to a service,” Haller concludes. “You go out of business because you are battling to be number one or two in the department store business, let’s say, but you are missing the fact that people are renting clothes or buying by subscription.”

In recent years pre-Christmas shopping has been at its highest over the Cyber Weekend of Black Friday to Cyber Monday, but the shape of this year’s shopping could well be different since English non-essential shops are now closed until 2 December under a second Covid-19 lockdown, while in Scotland non-essential shops are closed in 11 Tier 4 areas including Glasgow. Non-essential shops are currently open in Wales and Northern Ireland.
NOVEMBER CROSS-BORDER ONLINE SALES GROW 88% YOY AS THE IMPACT OF BLACK FRIDAY STARTS EARLY
International online same store sales have increased by 88% over the first two weeks of November, compared to 2019, as cross-border ecommerce sales remain at record levels, according to data compiled by cross-border ecommerce leader, eShopWorld (ESW).
With lockdown directives varying from market to market, the 2020 Peak Trading period continues to be marked by unparalleled uncertainty as online shopping increases and numerous countries launch early discounting for an online only Black Friday.
However, as coronavirus restrictions tighten across the country, data shows that UK consumer confidence has fallen to its lowest level since May.
This new downturnin consumer spend highlights the need for UK brands and retailers to embrace international sales opportunities not just associated with the Golden Quarter but for long-term business performance, as many brands brace themselves for the fall out of covid and the looming impact of Brexit on trade.
ESW’s sales data reveals the top 10 markets for YOY cross-border sales growth during the first two weeks of November with Mexico (376%), Chile (312%) and Israel (304%) recording the highest increases as the most prevalent emerging international ecommerce markets.

IS BLACK FRIDAY 2020 HEADING FOR A £8.49BN DISASTER?
Black Friday 2014 turned from a retailer’s dream to a delivery nightmare as overwhelming demand crashed many UK websites and snapped supply chains. ParcelHero fears a lockdown Black Friday will be even worse this year, estimating a £8.49bn disaster.
With online sales already up 53% YOY because of the impact of the pandemic, the added surge in demand from the Black Friday sales could cause another disaster, says ParcelHero’s head of consumer research, David Jinks MILT.
This year, it is predicted that retailers’ deliveries will put an estimated 592 million parcels in the system in the weeks before Christmas. Due to Black Friday, this Mount Everest of Christmas peaks will spike between 27 and 30 November – still inside the critical lockdown period in England.
Following the multiple catastrophes of Black Friday 2014, huge numbers of consumers decided to turn to buying online instead; spending a then-record £810m online. Yet, no-one was prepared for this scale of online ordering. Nearly one in three (31%) online shoppers experienced problems with their orders that Christmas, 49% suffered from missed deliveries due to overstretched companies’ erratic delivery patterns, while 45% experienced late deliveries or never received their goods.
The spike in online orders caught many of the UK’s most respected brands off-guard. The likes of AO.com, M&S, River Island, Currys-PC World, Shop Direct and Debenhams all admitted to disruptions to their delivery networks in fulfilling the record amount of orders.
WHAT WILL CONSUMERS WANT THIS CHRISTMAS SALE SEASON?
How consumers shop this Peak will be different, but how different? Research by Diginius, a UK provider of proprietary software for digital marketing and ecommerce solutions, suggests that there are a few key elements of customer demand that retailers need to focus on this season.
Promotions, price and everything nice – While businesses seek to claw back some lost revenue, following the financial impact of the coronavirus, it is important to keep in mind that consumers will also be motivated by price and value this year. Black Friday sales, pre-Christmas offers and Boxing Day deals will perhaps be the most appealing times to shop for these customers.The most popular channels for online research are Amazon (62%), Google (47%) and brand websites (45%) – in that order. These are the channels retailers need to focus their marketing on. With 70% of users checking the price of products on Amazon before placing an order, there is clear evidence that price is the deciding factor.
Trust – Considering the uncertainty and disruption caused by the pandemic, it is key that trust and brand confidence remains with the consumer. To achieve this, retailers must manage activity effectively; especially for those now dealing with multiple sales channels, online, offline or via different marketplaces. For instance, ecommerce platforms such as VTEX align and integrate all of a brand’s sales channels. With all information kept in a centralised management system, businesses can be more responsive, retrieve data faster and in turn, provide better customer support that is quick to respond, and to effectively resolve issues, should they appear.Similarly, as shoppers will be buying online and having gifts shipped to friends and family this holiday season, businesses need to ensure they offer a reliable delivery service, too. With regular updates on shipping progress and informing customers of any delays.
Product trends and predictions – Google trend research has shown that ideas for homemade gifts have experienced a 10% increase in search volume than this period last year. Similarly, searches for hampers have increased by 175% and letterbox gifts by 450%, suggesting items that can be gifted ‘remotely’ or from a distance are the theme for this year’s wish lists. However, searches for traditional gift items such as perfumes, aftershaves and jewellery remain consistent.

The calendar may not read November 29th, but loads of stores in top-notch cities around the world, have either announced or launched their Black Friday sales. Being originated in the United States of America, for many, it signals the ‘official’ start to the holiday shopping season.
To make your life easier, I have already cherry-picked some stores with the best Black Friday deals in five of the first rated cities of the world. My team and I have planned on offering flight deals and hotel deals in favour of you, to make your Black Friday shopping more comfortable and flexible. With my Black Friday experiences over the years, I have jotted down 5 of the high trending Black Friday destinations for your convenience.
Tip: Black Friday is the day following Thanksgiving, and they use it as a positive event where both customers and retailers gain benefits. Basically, this is the 1st day of the Christmas shopping season with many special offers.
What to expect on Black Friday?

Best Buy's Black Friday 2019 sale: The best new deals for this week
Justin Sullivan/Getty Images Best Buy's early Black Friday sale has now shifted into second gear. A number of the best discounts we saw over the weekend have now expired but a slew of new ones have emerged to take their place. The retailer got our attention last week with some of the lowest prices on Apple gear we've seen this year. Now, it's dishing up a new slate of deals on Lenovo's awesome Yoga convertible laptop, the 11-inch iPad Pro, a terrific Dyson vacuum cleaner and more. You need to be a member of My Best Buy rewards program, the basic tier of which is free, to take advantage of some of the best sale prices. Discounts are available online and in-store. And Best Buy has also revealed its Black Friday ad, offering many specific products it's selling for the real Black Friday timeframe later this month. We'll keep this list up to date with the best deals in real-time, but the current highlights are below.
Lori Grunin/CNET We've long been fans of Lenovo's flagship Yoga laptops -- and the C940, which debuted in January, is one of a handful of Intel's Project Athena devices designed to make it perform more like a phone. The C940 wakes instantly from sleep and has a fingerprint reader that works in a second and Wi-Fi that connects just as fast. Tyler Lizenby/CNET The Dyson Cinetic Big Ball Animal Allergy vacuum does its job without a filter -- and maintains suction over the long haul because of it. It's great with fine particles and bested the competition at deep cleaning. Our only beef is that it's too pricey -- and Best Buy has taken care of that. This is a steal. Sarah Tew/CNET Sure, this entry-level configuration has lower-end components (Intel Core i3 processor, 4GB of RAM, 128GB SSD). Best Buy deals that have expired (but are likely to return)

David Carnoy/CNET Best Buy has the JLabs JBuds Air on sale for $30 through Sunday, Nov. 10. They normally retail for $50. JLabs makes a lot of true wireless earphones and this is its most affordable -- and frankly, the only one I'd buy. It's a decent set of true wireless earbuds that's a relative bargain at $30.

Sarah Tew/CNET If you're less inclined to buy from Apple, Garmin's rugged fitness watches are great. The Fenix 5X cost $700 when it came out in 2017 -- now, Best Buy has it for $300. I've been using Garmin's lower-end Forerunner 245 and I like it a lot. The model on sale here includes all of its fitness tracking functions and adds an altimeter and barometer. Free next-day delivery on some items, free shipping on everything else
Feeling the heat from Amazon Prime, Best Buy is now adding free next-day delivery on "thousands of items" purchased on its website. And it's also offering free standard shipping on everything else through Christmas Day, with no membership or minimum purchase required. Same-day delivery is also available for some online orders in dozens of US cities, too.
