Leveraged buyouts are not like mortgages
Tumblr media
I'm coming to DEFCON! On FRIDAY (Aug 9), I'm emceeing the EFF POKER TOURNAMENT (noon at the Horseshoe Poker Room), and appearing on the BRICKED AND ABANDONED panel (5PM, LVCC - L1 - HW1–11–01). On SATURDAY (Aug 10), I'm giving a keynote called "DISENSHITTIFY OR DIE! How hackers can seize the means of computation and build a new, good internet that is hardened against our asshole bosses' insatiable horniness for enshittification" (noon, LVCC - L1 - HW1–11–01).
Tumblr media
Here's an open secret: the confusing jargon of finance is not the product of some inherent complexity that requires a whole new vocabulary. Rather, finance-talk is all obfuscation, because if we called finance tactics by their plain-language names, it would be obvious that the sector exists to defraud the public and loot the real economy.
Take "leveraged buyout," a polite name for stealing a whole goddamned company:
Identify a company that owns valuable assets that are required for its continued operation, such as the real-estate occupied by its outlets, or even its lines of credit with suppliers;
Approach lenders (usually banks) and ask for money to buy the company, offering the company itself (which you don't own!) as collateral on the loan;
Offer some of those loaned funds to shareholders of the company and convince a key block of those shareholders (for example, executives with large stock grants, or speculators who've acquired large positions in the company, or people who've inherited shares from early investors but are disengaged from the operation of the firm) to demand that the company be sold to the looters;
Call a vote on selling the company at the promised price, counting on the fact that many investors will not participate in that vote (for example, the big index funds like Vanguard almost never vote on motions like this), which means that a minority of shareholders can force the sale;
Once you own the company, start to strip-mine its assets: sell its real-estate, start stiffing suppliers, fire masses of workers, all in the name of "repaying the debts" that you took on to buy the company.
This process has its own euphemistic jargon, for example, "rightsizing" for layoffs, or "introducing efficiencies" for stiffing suppliers or selling key assets and leasing them back. The looters – usually organized as private equity funds or hedge funds – will extract all the liquid capital – and give it to themselves as a "special dividend." Increasingly, there's also a "divi recap," which is a euphemism for borrowing even more money backed by the company's assets and then handing it to the private equity fund:
https://pluralistic.net/2020/09/17/divi-recaps/#graebers-ghost
If you're a Sopranos fan, this will all sound familiar, because when the (comparatively honest) mafia does this to a business, it's called a "bust-out":
https://en.wikipedia.org/wiki/Bust_Out
The mafia destroys businesses on a onesy-twosey, retail scale; but private equity and hedge funds do their plunder wholesale.
It's how they killed Red Lobster:
https://pluralistic.net/2024/05/23/spineless/#invertebrates
And it's what they did to hospitals:
https://pluralistic.net/2024/02/28/5000-bats/#charnel-house
It's what happened to nursing homes, Armark, private prisons, funeral homes, pet groomers, nursing homes, Toys R Us, The Olive Garden and Pet Smart:
https://pluralistic.net/2023/06/02/plunderers/#farben
It's what happened to the housing co-ops of Cooper Village, Texas energy giant TXU, Old Country Buffet, Harrah's and Caesar's:
https://pluralistic.net/2021/05/14/billionaire-class-solidarity/#club-deals
And it's what's slated to happen to 2.9m Boomer-owned US businesses employing 32m people, whose owners are nearing retirement:
https://pluralistic.net/2022/12/16/schumpeterian-terrorism/#deliberately-broken
Now, you can't demolish that much of the US productive economy without attracting some negative attention, so the looter spin-machine has perfected some talking points to hand-wave away the criticism that borrowing money using something you don't own as collateral in order to buy it and wreck it is obviously a dishonest (and potentially criminal) destructive practice.
The most common one is that borrowing money against an asset you don't own is just like getting a mortgage. This is such a badly flawed analogy that it is really a testament to the efficacy of the baffle-em-with-bullshit gambit to convince us all that we're too stupid to understand how finance works.
Sure: if I put an offer on your house, I will go to my credit union and ask the for a mortgage that uses your house as collateral. But the difference here is that you own your house, and the only way I can buy it – the only way I can actually get that mortgage – is if you agree to sell it to me.
Owner-occupied homes typically have uncomplicated ownership structures. Typically, they're owned by an individual or a couple. Sometimes they're the property of an estate that's divided up among multiple heirs, whose relationship is mediated by a will and a probate court. Title can be contested through a divorce, where disputes are settled by a divorce court. At the outer edge of complexity, you get things like polycules or lifelong roommates who've formed an LLC s they can own a house among several parties, but the LLC will have bylaws, and typically all those co-owners will be fully engaged in any sale process.
Leveraged buyouts don't target companies with simple ownership structures. They depend on firms whose equity is split among many parties, some of whom will be utterly disengaged from the firm's daily operations – say, the kids of an early employee who got a big stock grant but left before the company grew up. The looter needs to convince a few of these "owners" to force a vote on the acquisition, and then rely on the idea that many of the other shareholders will simply abstain from a vote. Asset managers are ubiquitous absentee owners who own large stakes in literally every major firm in the economy. The big funds – Vanguard, Blackrock, State Street – "buy the whole market" (a big share in every top-capitalized firm on a given stock exchange) and then seek to deliver returns equal to the overall performance of the market. If the market goes up by 5%, the index funds need to grow by 5%. If the market goes down by 5%, then so do those funds. The managers of those funds are trying to match the performance of the market, not improve on it (by voting on corporate governance decisions, say), or to beat it (by only buying stocks of companies they judge to be good bets):
https://pluralistic.net/2022/03/17/shareholder-socialism/#asset-manager-capitalism
Your family home is nothing like one of these companies. It doesn't have a bunch of minority shareholders who can force a vote, or a large block of disengaged "owners" who won't show up when that vote is called. There isn't a class of senior managers – Chief Kitchen Officer! – who have been granted large blocks of options that let them have a say in whether you will become homeless.
Now, there are homes that fit this description, and they're a fucking disaster. These are the "heirs property" homes, generally owned by the Black descendants of enslaved people who were given the proverbial 40 acres and a mule. Many prosperous majority Black settlements in the American South are composed of these kinds of lots.
Given the historical context – illiterate ex-slaves getting property as reparations or as reward for fighting with the Union Army – the titles for these lands are often muddy, with informal transfers from parents to kids sorted out with handshakes and not memorialized by hiring lawyers to update the deeds. This has created an irresistible opportunity for a certain kind of scammer, who will pull the deeds, hire genealogists to map the family trees of the original owners, and locate distant descendants with homeopathically small claims on the property. These descendants don't even know they own these claims, don't even know about these ancestors, and when they're offered a few thousand bucks for their claim, they naturally take it.
Now, armed with a claim on the property, the heirs property scammers force an auction of it, keeping the process under wraps until the last instant. If they're really lucky, they're the only bidder and they can buy the entire property for pennies on the dollar and then evict the family that has lived on it since Reconstruction. Sometimes, the family will get wind of the scam and show up to bid against the scammer, but the scammer has deep capital reserves and can easily win the auction, with the same result:
https://www.propublica.org/series/dispossessed
A similar outrage has been playing out for years in Hawai'i, where indigenous familial claims on ancestral lands have been diffused through descendants who don't even know they're co-owner of a place where their distant cousins have lived since pre-colonial times. These descendants are offered small sums to part with their stakes, which allows the speculator to force a sale and kick the indigenous Hawai'ians off their family lands so they can be turned into condos or hotels. Mark Zuckerberg used this "quiet title and partition" scam to dispossess hundreds of Hawai'ian families:
https://archive.is/g1YZ4
Heirs property and quiet title and partition are a much better analogy to a leveraged buyout than a mortgage is, because they're ways of stealing something valuable from people who depend on it and maintain it, and smashing it and selling it off.
Strip away all the jargon, and private equity is just another scam, albeit one with pretensions to respectability. Its practitioners are ripoff artists. You know the notorious "carried interest loophole" that politicians periodically discover and decry? "Carried interest" has nothing to do with the interest on a loan. The "carried interest" rule dates back to 16th century sea-captains, and it refers to the "interest" they had in the cargo they "carried":
https://pluralistic.net/2021/04/29/writers-must-be-paid/#carried-interest
Private equity managers are like sea captains in exactly the same way that leveraged buyouts are like mortgages: not at all.
And it's not like private equity is good to its investors: scams like "continuation funds" allow PE looters to steal all the money they made from strip mining valuable companies, so they show no profits on paper when it comes time to pay their investors:
https://pluralistic.net/2023/07/20/continuation-fraud/#buyout-groups
Those investors are just as bamboozled as we are, which is why they keep giving more money to PE funds. Today, the "dry powder" (uninvested money) that PE holds has reached an all-time record high of $2.62 trillion – money from pension funds and rich people and sovereign wealth funds, stockpiled in anticipation of buying and destroying even more profitable, productive, useful businesses:
https://www.institutionalinvestor.com/article/2di1vzgjcmzovkcea8f0g/portfolio/private-equitys-dry-powder-mountain-reaches-record-height
The practices of PE are crooked as hell, and it's only the fact that they use euphemisms and deceptive analogies to home mortgages that keeps them from being shut down. The more we strip away the bullshit, the faster we'll be able to kill this cancer, and the more of the real economy we'll be able to preserve.

felt like explaining more on my "the SentiKids are hybrids" theory! Keep in mind, it’s just how I see it, but I hope it at least sounds interesting! Would love to hear your thoughts!
So, I think most people are at least a little uncomfortable with the idea that many Sentimonsters are Sapient beings that Ladybug is basically killing. I personally also feel like just "creating life" like that makes the whole thing feel . . . best word I have is "cheap". Sentimonsters, to me, should read more as advanced AI, or maybe programmed toys, which sounds a bit demeaning, but that might be kind of the point? No, maybe puppets is better. They should feel like reflections of real things, but not real themselves, if that makes sense? But I also feel that them eventually BECOMING real people shouldn’t be impossible. Like, it should take either a LOT of time, or immense amounts of power, but Sentimonsters are made from human emotions, I feel like the building blocks for having them be real should be there.
Jumping to the SentiKids for a minute, the way I see it working, is you could absolutely create a "kid" with the Peacock, but it wouldn’t really act like an actual child. More like a highly advanced doll, like the ones they market to little girls, that can "eat", "poop", and "cry". Plus, you'd have to be really particular, unless you wanted them to be a child forever. One thing I headcanon, is Sentimonsters don't "grow" in the conventional sense. They are created as is, so a Senti-baby, even if they eventually become a person, would kind of be stuck in a child form. And, of course, that's not what Emilie or the others want. They want actual kids.
So, the way I see it, they kind of cheat the system a little. They don't use the Peacock to wholesale make children, but to fertilize an egg, making a fetus. The Peacock magic is sort of used as a power source, to "power" the process of making a kid, which they don’t have to think about too hard. I mean, besides the act of conception, once you're pregnant, your body kind of just . . . gets on with it, with little to no input from you. And I have no idea what kind of fertility issues were making it so that Emilie & Amelie (&Tomoe, if she didn’t just want in for other reasons) decided that magic was the way to go, but let's say that the Peacock can kind of . . . fill in those gaps, and it works very similarly to how conception works. So, the SentiKids are less straight up Sentimonsters, and more hybrids. They are born as human babies, they grow up and act like humans, cause they basically ARE human, their moms just used magic to power them as apposed to relying on biology. (I hope this is making sense)
But, the kids are still technically part Sentimonster, so they are effected in similar ways. If you are holding their Amoks, you can give them orders, but rather than seeing it as programming, I see it more like Ella Enchanted (if you've read that book). The kids HAVE to obey, but they can find loopholes if they know what to look for, and with enough strength of will, they can resist the orders all together, although it’s VERY hard, and unlike Ella, resisting hard enough doesn’t "break the spell" because the Amoks are PART of the kids, in a way Ella's "gift" wasn’t ever a part of her. The best way I've found to describe the kids themselves, would be sort of like Steven Universe, where the Amoks are analogous to Steven's Gem. The Amoks are tied to their life forces, and damaging them hurts the kids. Somewhat conversely, they also mean that as long as the Amoks are okay, the Kids can survive just about anything that might kill a regular human, the Amoks supplying energy to keep their bodies alive long enough to heal.
Anyway, the end result I see is that the kids can't "become" real. They ARE real, real people, real humans, their origin is just a little different. The Amok thing, either the kids have to keep a hold of their Amoks at all times, or find a way to "absorb" them into themselves, so they are no longer separate from them, meaning their existence becomes closer to that of "regular" humans.
Aaaaaand, that’s all I got right now, so, tell me what you think!
I love hearing thoughts and theories!!
I complete agree, I have an exchange with @princess-of-the-corner regarding the revised butterfly and one of the big things we agreed on was that all Sentimonsters being alive default feels way too easy and rather messy given the murder. Plus I don't feel it really add much to most of them conceptually when many are essentially just tools or magically generated guard dogs.
That is an interesting spin regarding the live doll angle, kudos there!
(Low key, if and when I do roll with Senti!Kagami I just have it be that Tomoe was like, "I want to magically bio-engineer my kid to be able t do all the things, maximum potential, can fulfill any role, the ideal heir" and it never went beyond that. motive wise.)
But yeah I think that is a good way to square the circle and if I had kept my revised Peaock of Evocation & Emotion, I'd have done the same thing.
Mhm I think that angle works really well for the Amoks, kudos there! Though I do tend to think the angle of them being able to survive anything doesn't work as well with the hybrid angle. I think if anything it should be more a case of like... So long as their body remains alive & the Amok un-damaged they can eventually heal from any damage.
IE, unlike most humans who stop healing after a point and scar, they don't. Which also means Kagami has to keep re-developing her calluses which sucks XD
Anyway very interesting stuff and yeah I can see the logic of wanting to absorb them or keep them safe.
Thanks for sharing!

@authorityissues replied to your post “i post about the silliest shit on tumblr dot com....”:
I wanna know the skinny on dtla
ok not to be silly but i'm gonna make this a whole dang post because it's probably too big for just a reply! as a caveat i've never been to la and i only recently started reading about dtla so i am no expert i just think it's interesting lmao. also i truly infodumped here i'm so sorry
i think what's so fascinating about dtla is that it's so not like other cities of its stature, especially in the us (and canada?). i'm more used to the nyc/chicago style of city where downtown is kind of the "jewel" of the city, the center of both business and tourism and is also very expensive. the financial district part of dtla LOOKS a lot like a city like nyc or chicago in its style of architecture and the fact that it's got all these government buildings and museums but looking at google street view, you can tell it's..... kind of vacant? and while there are hotels and museums around, i can't see much else for tourists to do. and tbh, when i think of tourism in la, i'm not thinking dtla anyways (again, unlike nyc and chicago), i feel like tourists would stick towards hollywood and the beach.
so that's not wholly weird i guess especially for a suburbanized city like la (houston gives me similar vibes) BUT what makes it even more unique to me is what's surrounding the financial district, particularly the "industry" districts and skid row.
i'll start with the industry districts because it's my favorite: there's a bunch of them but i think the biggest ones are the fashion district and the toy district? there's also a pinata one and a flower one too! anyways this area is RIGHT next to the financial district and is a bunch of low-rise wholesale stores that sell (what i think are) mostly imported goods! idk how these places are doing economically but the fact that they STILL EXIST after over 20 years of online shopping is amazing to me, especially for something like toys and pinatas! i've heard of wholesale fashion districts but never anything like toys, pinatas, and flowers. the actual look of it is interesting too: mostly single-story small warehouses, sometimes painted and decorated. it's really interesting and cool!
and then there's skid row which i won't dwell on too much because i don't want to sound like i'm making a judgment call on it... because i really don't know enough to say. but i will say that like the wholesale districts, i'm really surprised it exists just outside of downtown and is such a large area. it's possible i'm ignorant in this, but i've never heard of anything like skid row elsewhere in the US (at least in the last 40 years). but even besides that, it's really fascinating to see what it looks like building-wise on google streetview. i see a surprising amount of construction! i also see a lot of occupied buildings, a surprising amount of which are churches (or "missions"?)! hotels (probably for residents) are also very common. i feel pretty ignorant with the Who, How, and Why of skid row and it's something i'd like to look more into, as well as why dtla has one and no other american cities have one (at least to this extent).
and finally, i think it's fascinating how all these places blend into each other, including how skid row blends into the tourist-friendly little tokyo. all of these places are so different, yet blend into each other in just a few blocks. i try to compare this all to eastern and northern cities like nyc/chicago or hell even rust belt cities like detroit/cleveland/st louis but it just doesn't fit the pattern of how downtowns "should be" compared to any of those. it doesn't even fit the pattern of san francisco, which i have been to. i think the fact that it is so unique is what makes it so interesting!

Know About The Versatility and Beauty of Wooden Bits
Tumblr media
In the era of plastics and metals, wooden bits from the wooden bits factory are adaptable and ageless components that have been a vital part of human history for ages. This blog will look at the beauty and variety of wooden bits, as well as their functions and importance.
Wooden Bits' Origins
Humans have utilized wooden bits, also known as wooden components or bits, for many centuries. Wood was one of the first materials utilized by mankind, dating back to prehistoric times when our forefathers used wooden implements for hunting, cooking, and constructing. Wood, in many forms, has enabled civilizations to live and evolve. Wooden fragments are a testament to humanity's eternal bond with nature.
Toys: From simple building blocks to complex puzzles, wooden toys have enduring appeal. They are prized for their endurance and natural beauty. Wooden toys from wooden bits manufacturer are also a safer and more environmentally friendly alternative to plastic toys.
Sustainability and environmental friendliness
One of the major benefits of wooden bits is their environmental friendliness. Wood is a renewable resource with a minimal environmental effect when collected ethically. Furthermore, wooden bits are biodegradable, which means they will not pollute the environment for future generations. Choosing hardwood bits over plastic or metal alternatives is an environmentally conscientious decision that contributes to a lower carbon footprint.
Tradition & Heritage Preservation
The usage of wooden pieces is very closely associated with cultural and traditional traditions. Many civilizations have a long history of woodworking, with techniques and abilities passed down from generation to generation. Wooden bits help to preserve these traditions, ensuring that the workmanship of the past is still relevant in the present.
Conclusion
Wooden pieces may appear to be little, insignificant components, yet they have a distinct appeal and relevance in the worlds of craftsmanship, design, and sustainability. The beauty and adaptability of hardwood bits remind us of the elegance and timelessness of natural materials in an era dominated by mass-produced plastic and metal equivalents.
Tumblr media
We not only honor heritage by appreciating and incorporating wooden bits from wooden disc wholesale into our lives, but we also take a step toward a more sustainable and ecologically responsible future.

The Mothership
I step out of my Mom’s house in Port Isabel, Texas. The air feels like a weighted blanket of heat and vapor. Her massive garden rises all around, twelve to twenty feet high, with soaring banana leaves, enormous monstera, and cascading bougainvillea. Like I’ve seen her do my whole life, she has culled from the earth an incredible bounty - full of layers and shapes and color.
Mexican-flag colored string lights hang down from the driveway. I walk past the garden, onto the street, and toward the water - two blocks away. The residential neighborhood is quiet, with a few kids’ toys laid about on grass lawns. Small brick houses with whirring AC units, the occasional dog behind a fence.
The water is an inlet, connected to the bay side of South Padre Island and several miles away from the breaking waves of the Gulf. The water appears thick and green and dark. Along the edge is a seafood wholesaler in a low slung building. Below that is a shrimping boat with a large man at the wheel. He seems pleased and smiles up at me as if to say, “wanna go?”
I take a seat at the picnic table and strain my eyes to the Southern horizon. I know where to look, based on prior visits. There, a couple miles away, I can see a large building next to some narrower structures: SpaceX. Specifically, SpaceX Starbase – where dozens of engineers build massive, next-generation rockets for launching cargo and people on missions to the moon and Mars.
Starbase is so close to Mexico, that I imagine employees could walk down to the US-Mexico border and sit on the banks of the Rio Grande. I doubt anybody does though. Grassy marshlands, clouds of mosquitoes, and herds of prickly pear... you’d have to be looking for a fight.
During my visits here, I’ve heard the locals talk about SpaceX. The sounds they hear when tests are being conducted. The times when they might see a rocket launch. Or the talk of real estate prices and rent hikes. At the edge of town, next to the Walmart and an RV park, a billboard blares, “Beach & Beyond!” with a picture of a rocket ship next to some beach towels.
It’s interesting to think about what people build. The size, the scope, the purpose. There is that which we don’t have – and we reach to. The moon, the stars, the planets. And there is that which we have – and quickly leave behind. The earth, the water, the plants.
While it’s unlikely we will colonize a new planet in our lifetime, the one we have is in dire need of preservation. Imagine what might happen if the amount of money, technology, and innovation that is going into SpaceX were directed at something like, say, fresh drinking water. Just two states away, 150,000 residents of Jackson, Mississippi are in crisis.
At the end of my trip, I arrange for a local taxi to take me to the airport. Before dawn, a woman driver pulls up in a minivan. She’s speaking both Spanish and English into the radio, tracking dispatches. Afterwards, we get to talking. She recognized my Mom’s house, and guessed that I was her daughter. “Your Mom,” she says… “One time she gave me a beautiful plant. No flowers, just beautiful leaves,” and she made the shape of the leaves with her hands.
As we drive through the dark toward the airport, I think about my Mom’s garden – growing, reaching upward to the stars. What miracle of life is this? Right here on Earth. The Mothership.
*** 🌿Post-script for the gardeners. My Mom’s favorite TX plants include:
Variegated Shell Ginger or Alpinia Zerumbet Varigata
Bougainvillea
Liriope Big Blue
Delonix Regia or Royal Poinciana
Rhapsody Excelsior or Lady Palm
Canna, Black Knight
Various ferns
Birdsnest Anthurium
Banana
Pseudo-bombax or Shaving Brush Tree
Zamia Furfuracae or Cardboard Palm
