     A crescendo of NO’s ( keyu’s or kiyo’s ) rattle his exhausted, dreaming mind, arousing him from his already restless sleep. The jesuit’s mind takes much longer to register who exactly these exclamations came from, body lifting a weary head above a sea of warm bodies. Jonathan had accepted the offer to take refuge in this chukka while the church and missionaries’ very European home was being built by their very gracious hosts. He sleeps alongside Nashoba, uncles, and male cousins, strategically walled off from the tribal women. There is an understanding in the logic and, actually, a safety felt by the missionary in the decision. Every day he fears a break in social code and the rumored ( and semi-fabricated ) consequences of such actions. So to be segregated, to lessen the chance of social injury, brought him great comfort.      But even as he mulls over the possibility of painful retribution, he still possesses a great bit of concern for Natoma, whose whines and whimpers quietly disturb the cool night air. Amber hues glance at a ‘ sleeping ’ Nashoba, who, he is certain, is watching him through thick lashes. Nevertheless, he stands, taking hold of the clay wall to steady himself before eyeing the spaces between each sleeping person, mentally creating a path to Natoma. Jonathan takes his first step and finds, even with his lanky, clumsy form, that he makes it to her without disturbing anyone else.      Bending at the waist, lengthy arms extend and allow their hands to grip her shoulders. They give her a shake, gentle enough to not frighten her but firm enough to wake her. “Natoma,” he whispers harshly. “My dear, wake up. WAKE UP.” The devil plagues her; he is SURE of it. Panicked, he shakes her a little more forcefully. “It is a just a dream.” Or NIGHTMARE.

Newly Built Modern Architectural Marvel in Atherton on Market for $30M

A modern architectural marvel has landed on the market in ultra-exclusive Atherton, CA, for $29.8 million. Completed in 2017, the concrete, glass, and steel structure was designed by the renowned San Francisco-based architect Stanley Saitowitz of Natoma Architects.
The clever creation is composed of two “L”-shaped forms that balance on top of each other around a courtyard. The resulting building creates bridges and cantilevered overhangs, each spanning 23 feet. 
“The form derives from the site,” Saitowitz says, “It protects the interiors from the hilltop cul-de-sac, frames the views, defines and bounds interiors, and establishes outdoor living spaces.”

Outside are landscaped grounds, a barbecue area, fire pit, bocce ball court, pool, spa, poolhouse with 1.5 baths and kitchen, and a studio with bath and kitchen.
Along with a large patio area are numerous oaks and imported 100-year-old olive trees. The fully automated home includes solar panels, a four-car garage, and electric car-charging stations.
The question remains, who will lay down the $30 million to move into the house, which was built by a developer? While that’s a lot of money, keep in mind, Atherton was rated the most expensive ZIP code in the country in 2017 by Forbes.
Both Google’s Eric Schmidt and Facebook’s Sheryl Sandberg call Atherton home. With tech titans sizing up the architecture as the potential buyers, it’s not surprising that Saitowitz has compared the design to an iPhone, which he calls “a remarkable yet discreet instrument which facilitates enormous opportunities for … use.”
“In the same way,” he says, “this house is an instrument that sets the occupants free to occupy the landscape with the minimum constraints and clutter of an object.”
And a pricey object at that.

Corporate Leaders’ Duty of Loyalty and Conflicts of Interest in California
This article outlines the duty of loyalty imposed on corporate leaders, how the business judgment rule provides protection against liability for directors if they act with reasonable care, and how conflicts of interest should be handled by corporate leaders.
I. Duty of Loyalty
California law imposes certain fiduciary duties on officers and directors of a corporation, duties which are owed to the corporation’s shareholders and to the corporation itself. One such duty is referred to as the duty of loyalty, which requires that officers and directors act in the best interests of the corporation and its shareholders. Any breach of this duty by corporate leaders exposes them to civil liability, and can expose them to criminal charges as well, depending on the circumstances.
Guidance on how to interpret this duty of loyalty is provided by the California Corporations Code, which provides, in part, that a director of a corporation operating in California has a duty to act “in good faith…in the best interests of the corporation and its shareholders,” with a level of care, “including reasonable inquiry, that an ordinarily prudent person in a like position would use.” Cal. Corp. Code § 309(a). See also Small v. Fritz Companies, Inc., 132 Cal.Rptr.2d 490, 499 (2003).
II. Conflicts of Interest
Self-dealing, such as when an officer or director has a conflict of interest with the corporation and acts in his or her own interest, and against the corporation’s interests, is a frequent example of a breach of the duty of loyalty. California law states that an interested director can avoid violating the Corporations Code if he or she discloses to the other directors the material facts of any transaction in which they have a conflict of interest, and a majority of the non-conflicted directors approves the transaction. Cal. Corp. Code § 310. It is important to note that the fact that a conflict of interest is present does not prevent a director from fulfilling his or her obligations to the corporation, but the director should act with the utmost candor concerning the facts of such transactions and abstain from voting on such matters.
III. Business Judgment Rule
Where a conflict of interest is alleged to have occurred, the business judgment rule will often come into play as well. Courts will not typically intervene in corporate decisions if the decision-makers acted in good faith and with the reasonable belief that their actions were in the corporation’s best interest. However, pursuant to long-standing legal precedent, this protection is NOT extended to corporate officers, who must act with a higher level of prudence and should carry adequate insurance to protect against the possibility of civil liability being imposed for their business decisions. See Gaillard v. Natomas Co., 208 Cal.App.3d 1250 (1989)

Sacramento International Airport
I just recently wrapped up a trip to Sacramento, CA, touching down just long enough to see a bunch of old friends, eat copious amounts of Mexican food, and attend my main man Noah’s wedding.
While it was an exhausting whirlwind, it was still fun, as Sacramento is the city I lived in for about a decade until 2011 (at which time I moved abroad to Costa Rica), and it also wasn’t inconvenient. In fact, whether it was taking the Capital Corridor train from San Francisco to Sacramento or flying out of Sactown to Los Angeles, traveling in the capital of California is pretty easy.
A big part of that is thanks to Sacramento International Airport, which is just big enough to offer plenty of routes, direct flights, and even international destinations, but still small enough to be easily accessible and not at all overwhelming or unmanageable.
With the IATA airport code SMF, this airport serves all of northern California, but specifically the capital region (Oakland, San Francisco, and San Jose are the nearest airports in the Bay Area). And just like the 916 has seen a dynamic transformation and meteoric growth in the last few years as the downtown area is completely redeveloped, Sacramento’s airport has seen vast improvements and growth, as well.
Last year, nearly 11 million passengers (10,912,080) flew in or out of SMF on 118,783 individual flights. That’s way up from just 2014, for instance, when less than 9 million passengers flew in and out of Sacramento’s airport. These days, it also serves as a hub for Southwest Airlines, which made up more than half (53%) of all flights. Other popular airlines include American Airlines (11% of all flights), United Airlines (7%), Delta Airlines (6.8%), and SkyWest Airlines (6%).

The great thing about SMF is also its location, as it sits smack dab in the middle of nowhere on the outskirts of Sacramento in an area called Natomas, with nothing but farmer’s fields around. That means that once you clear downtown and Natomas traffic, you have smooth sailing up until the airport, with no confusing surface streets to contend with. Parking is also easy at SMF, as they have a huge span of outdoor parking where you can leave your car (although it takes a while to walk and catch the shuttle), and new parking structures if you want your ride indoors or for the shorter term.
Inside, SMF is almost never too crowded and clean, modern, well laid out, and spacious. However, double check your ticket because airlines sometimes consolidate or sponsor smaller routes, so even though your ticket says Alaska, for instance, you may be actually on an American Eagle flight in a separate terminal. Once you check in, you’ll find a few nice cafes, restaurants, and places to get a beer or glass of wine while you wait.
So, where can you fly from SMF? Of course, the most popular destination is Los Angeles, followed by San Diego, Seattle, Phoenix, Denver, Las Vegas, and more in Orange County. But I especially appreciate the nonstop flight on JetBlue from Sacramento to JFK in New York, which only costs about $300 on average, so I can easily fly cross country from my second home to my real hometown in Connecticut.
